MUTUAL non-Circumvent AGREEMENT
This Agreement is entered into as of the 5th day of June, 2003, by and between ___________________________ (hereinafter referred to as MEC) and EDebitPay, L.L.C. Both parties agree that neither will: 1. Try to go around one another to strike direct agreements with banks, processors, or technology providers that may be disclosed as part of any pending discussions. Any such direct contact, or attempted contact, by either party, their affiliates or associates, shall be cause for immediate discontinuation of any discussions and negotiations with no further obligation or implied interest by either party. 2. Try to enlist or solicit business from a current or pending client that may be disclosed during pending discussions. In the event a client is disclosed that the other party may be dealing with, it shall be immediately disclosed to the other party and discussions shall cease.
This agreement shall be superceded by any agreement which shall, in the future, be entered to by the parties. The parties make no other representations or warranties, written or verbal, other than those described herein. This agreement shall not be interpreted or construed in any way as to signify any partnership, joint venture or any business agreement between the parties.
