					                                   CO-OPERATING BROKERAGE AGREEMENT
HOSPITALITY BROKERAGE EXPRESS (hereinafter referenced as HBX is marketing a Confidential Hospitality Property, referenced

Our firm’s goal is to sell this Property for the Seller. HBX therefore extends this conditional offer to other licensed real estate firms and their
agents (hereinafter referenced as Co-op Broker) and to share any commission that is earned by the sale of this Confidential Listing Property,
in the event that the Co-op Broker produces or refers a Buyer who consummates the purchase of this listing, subject to the following terms
and conditions: (50%) PERCENT OF GROSS COMMISSION TO CO-OP BROKER Co-op Broker represents Buyer with ALL
contact with their Buyer, including providing property information, attending ALL showings and/or inspections, preparing Buyer’s purchase
offer, prepares Buyer’s form contract (if desired), coordinates Buyer financing, and coordinates Buyer’s property transfer actions.

                                              ADDITIONAL REQUIREMENTS & TERMS
    •    Prior to receiving information about the Property, Co-op Broker and Prospect must execute a Buyer Registration & Confidentiality
         Agreement. Co-op Broker agrees all registrations are subject to acceptance by HBX and having the right to refuse registrations.
    •    Co-op Broker agrees that all registrations are valid only for 90 days from HBX acceptance of said registration.
    •    Co-op Broker agrees that their firm may not advertise or mass market (telephone, direct mail, etc.) the availability of the HBX Listing
         without written consent of the Listing Agent.
    •    Co-op Broker agrees that the Buyer must acknowledge as part of contract that Co-op Broker was Selling Agent.
    •    Prior to distribution or disclosure of any information related to this listing, including disclosure of any material or information which
         may serve to identify the Property (such as room count, chain affiliation, city or state location, or other descriptive information, etc.);
         the Co-op Broker agrees to submit in writing the names of the prospective purchaser.
    •    It is further understood the commission will be paid to Selling Broker in the form and kind when and as received by HBX. HBX is
         under no obligation to Selling Broker other than to transmit the appropriate share of the commission when and as received.
    •    Co-op Broker agrees at the time of the acceptance of each registration by HBX, and prior to the distribution of any information on
         the listing to secure from all parties to whom information shall be accessible the HBX provided registration and confidentiality
         agreement. This shall be submitted to HBX for distribution to the Seller.
    •    Co-op Broker that the Offering Memorandum and other information provided to the Co-op Broker is Confidential in nature (Public
         record not withstanding). Co-op Broker agrees that this information is provided solely for use in the review of this offering by the
         registrant only and that this information shall not be used in any manner/fashion detrimental to interests of the Seller and/or HBX.
    •    Co-op Broker agrees represent Buyer and to perform ALL contact and duties as listed. If Co-op Broker fails to comply to these
         requirements with prospective purchaser, then commission share may be revised solely at the discretion of the HBX Listing Agent.
    •    Co-op Broker agrees to coordinate all property showings and submit all questions, offers and all communications through the HBX
         Listing Agent. Co-op Broker agrees to not contact Seller or their employees without the HBX Listing Agent’s permission.
    •    Co-op Broker agrees that HBX may withdraw this offer of cooperation at any time with written notice. Co-op Broker’s outstanding
         and accepted registrations shall remain valid per the terms of this agreement.
    •    The Offering Memorandum and other information provided to the Co-Op Broker contains information pertaining to the business and
         affairs of the Property, which has been prepared by HBX, primarily from information supplied by Seller of the Property. The Offering
         Memorandum does not purport to be all-inclusive or to contain all of the information which a prospective purchaser may desire
         regarding the Property. Neither Seller nor HBX, nor any of their officers, employees or agents make any representation or warranty,
         expressed or implied, as to the accuracy or completeness of the Offering Memorandum or any of its contents and no legal liability is
         assumed or implied with respect thereto.
    •    Co-op Broker certifies that they are properly licensed to conduct real estate sales activities on this property.
    •    It is further agreed that any unauthorized disclosure will constitute a material breach.
    •    The agreement expresses the entire agreement and understanding of the parties. This Agreement shall not be modified or changed
         in any manner except in writing and signed by both parties. In any action to enforce the rights of the parties hereto, the prevailing
         party shall, in addition to the actual settlement, be entitled to reasonable attorneys fees.

Co-op Broker hereby agrees to these terms and conditions and desires to share commission as outlined above.

                  BUYER REGISTRATION AND CONFIDENTIALITY AGREEMENT
CLIENTS FROM YOUR OFFICE MUST BE REGISTERED WITH HOSPITALITY BROKERAGE EXPRESS (HBX) PRIOR TO HBX SUBMITTING
DATA ON THE BELOW MENTIONED PROPERTY, YOU AND YOUR PROSPECT MUST EXECUTE A REGISTRATION AND CONFIDENTIALTITY
AGREEMENT. THE RIGHT TO APPROVE OR REJECT THE REGISTRATION OF ANY PROSPECT IS RESERVED BY HBX, AND SUCH
REGISTRATION SHALL BE DEEMED REJECTED UNLESS THE REGISTRATION AND CONFIDENTIALITY AGREEMENT IS RECEIVED AND
EXECUTED BY HBX.
Prospect, as identified below, is interested in the acquisition of the below-named Property and has engaged (NAME OF BROKER/AGENT)

to represent the Prospect as the Selling Broker for this transaction. Prospect understands that this fore-mentioned Brokerage Firm is
cooperating with HBX, the Listing Broker, and will be compensated by seller or as set forth by a Cooperating-Brokerage Agreement written
agreement. It is further understood and agreed that information on the Property described above has been or will be delivered and supplied
by the Listing Broker to the Selling Broker and Prospect. Selling Broker and Prospect agree not to at any time directly or indirectly, use,
disclose, deliver, discuss, duplicate, reproduce, share, make aware or in any other fashion divulge any discussions with HBX or Confidential
Information concerning the property to any party or entity other than that mentioned below without the prior and express written permission
of HBX. Confidential Information shall include, but not be limited to, any conversations or discussions with HBX, the Seller’s agents or
employees, and any information related to the Property. The use of Confidential Information for any purpose other than to determine Buyer’s
possible acquisition of property is expressly prohibited. Any inquiries, negotiations, offers, letters of intent, or correspondence in connection
with the Property shall be communicated to HBX at the address as set forth above. PHOTOCOPYING OR OTHER DUPLICATION IS
STRICTLY PROHIBITED. Prospect represents that it has or will continue to rely only upon information related to the Property (written or
oral) supplied and delivered by the Listing Broker and that Prospect shall not rely upon other information supplied by the Cooperating Broker
unless confirmed in writing by Listing Broker. Prospect and Cooperating Broker agree that all inspection appointments and contact with the
Seller(s) will be made through HBX. DO NOT CONTACT OR DISCUSS ANY POTENTIAL PURCHASE WITH THE ON-SITE STAFF.
Buyer acknowledges that the Confidential Information may contain data regarding HBX, which is material to the future business activities of
HBX. Buyer agrees that the Confidential Information will not be disclosed or used to perform any act detrimental to HBX. Promptly upon
request by HBX, Buyer agrees to return all written Confidential Information. It is further agreed that any unauthorized disclosure will
constitute a material breach. Co-Broker and Buyer understands that this Confidentiality Agreement is being entered into as a condition to the
release of the Confidential Information by HBX and that the information contained therein, while not guaranteed, is secured from sources
deemed reasonably reliable. The agreement combined with Cooperating-Brokerage Agreement if any, expresses the entire agreement and
understanding of the parties. This Agreement shall not be modified or changed in any manner except in writing and signed by both parties. In
any action to enforce the rights of the parties hereto, the prevailing party shall, in addition to the actual settlement, be entitled to reasonable
attorneys fees.

ACCEPTANCE OF REGISTRATION
We have received this Registration and Confidentiality Agreement and accept the Prospect as listed above, and agree that in the event a
transaction is consummated with a Prospect from which a commission is paid to the Listing Broker, that an agreed upon portion of such
commission shall be paid to Selling Broker as per Co Broker Agreement. This Agreement will expire in 90 days from acceptance date.
