                         NOTICE INVITING TENDER

 TENDER FOR HOUSEKEEPING & HANDLING JOBS CONTRACT
  AT BUDGE BUDGE TERMINAL ,M.G. ROAD, BUDGE BUDGE,
      DIST- 24 PARGANAS (SOUTH), KOLKATA -700137

INDIAN OIL CORPORATION LIMITED (Marketing Division), public sector oil
company, invites sealed tenders under Two-Bid system, from competent and
experienced contractors with sound technical and financial capabilities fulfilling
the requirements as stated hereunder as well as in the tender documents for
contract for housekeeping & handling jobs at Budge Budge Terminal.
1. NAME OF WORK, LOCATION & PERIOD: Housekeeping & handling jobs at
   Budge Budge Terminal for a period of 1 (one) year, with an option for
   extension for additional two years in two stages of one year each at the
   same rates, terms & conditions at the sole discretion of the
   Corporation.
2. TENDER DOCUMENTS: The Tender documents can be obtained on
   payment of Rs.1000/- (Rupees one thousand only) per set by DD (Non-
   refundable) drawn on any scheduled bank payable Kolkata in favour of
   “Indian Oil Corporation Ltd (MD)”. The tender documents are not
   transferable. The tender documents will be available at the following offices
   during the working hours:

       Dy. General Manager (Operations), West Bengal State Office, Indian Oil
       Corporation Limited, Indianoil Bhavan, 5th Floor 2,Gariahat road (S),
       Kolkata - 700068


      The tender documents can also be downloaded from the website of the
      company www.indianoiltenders.com. Tender documents downloaded from
      the website should be submitted along with DD (non-refundable) of Rs.
      1000/- per tender, drawn on any scheduled bank payable at Kolkata, in
      favour of “Indian Oil Corporation Ltd (MD)”. Tender documents which are
      downloaded from website but not submitted with DD of Rs. 1000/- per tender,
      shall be rejected.

3.    VALUE OF JOB: Rs. 39.725 lacs per annum (approx.)

4. EARNEST MONEY DEPOSIT (EMD): Tenderer shall pay Rs. 1,19,176.00 as
EMD per tender by DD drawn on any scheduled Bank payable at Kolkata in
favour of “Indian Oil Corporation Ltd (MD)”. Tenders received without EMD will
be rejected.


5. SUBMISSION OF TENDER: Selling of tender documents will start from
10.08.2009. Tenders are to be submitted in tender box provided at the office of
Deputy General Manager (Operations), Indian Oil Corporation Ltd (MD), West
Bengal State Office, Operations Department (5th Floor), Indian Oil Bhavan, 2
Gariahat Road (S), Dhakuria, Kolkata: 700 068
      Last date & time for selling the tender documents   :   07.09.2009 1100 HRS

      Last date & time for submission of the tender documents :07.09.2009 1430 HRS

      Opening date & time for the tender documents        :   07.09.2009 1500 HRS.


6. SECURITY DEPOSIT (SD): Successful tenderers would be required to
deposit Security Deposit of 10 % of Work Order value in the form of DD / Bank
Guarantee for 42 months within 15 days of issuance of letter of intent /
confirmation of award of contract, failing which the EMD submitted by the
contractor may be forfeited without prejudice to other rights and award may be
cancelled without giving further notice.

7. DURATION: The successful tenderer will have to sign an agreement with the
Company. The period of Agreement with successful tenderer would be for 1(one)
year with option to extend the same by another 2 (two) years in two stages of
one year each in same rates, terms and conditions at sole discretion of Indian Oil
Corporation (MD). Further, Agreement would, however, be subject to the right of
Company to terminate it prematurely as per terms of the Agreement. Draft of the
Agreement is enclosed with Tender Forms.

8.    MINIMUM QUALIFYING CRITERIA:
           (i)  Average Annual financial turn over during the last 3 years,
                ending 31st March of the previous financial year, should be at
                least 30% of the estimated cost.
           (ii) Experience of having successfully completed similar works
                during last 7 years ending last day of month previous to the one
                in which applications are invited should be either of the
                following:

                     a.     Three similar completed works costing not less than the
                            amount equal to 40% of the estimated cost.
                                                    Or
                     b.     Two similar completed works costing not less than the
                            amount equal to 50% of the estimated cost.
                                                    Or
                     c.     One similar completed work costing not less than the
                            amount equal to 80% of the estimated cost.

                     iii)   Documentary proof of having PF/ESI registration code
                            and labor license.

Similar nature of work: working experience of handling and maintenance in
any Petroleum products handling Terminal/Depot/LPG Plants/Refineries
and fully conversant of safety norms and hazards.
9. OPENING OF TENDER: The „Credential Bids‟ will be opened in the
presence of the attending tenderers at 15:00 Hrs on date of closing at the office
of Deputy General Manager (Operations), Indian Oil Corporation Ltd (MD), West
Bengal State Office, Operations Department (5th Floor), Indian Oil Bhavan, 2,
Gariahat Road (S), Dhakuria, Kolkata: 700 068

      After scrutiny of the „credential bids‟, the eligible tenderers will be notified
      regarding date, time and venue for opening of the „price bids‟. The tenders
      will remain valid for 240 days from the closing date unless extended by
      mutual consent in writing.

      The corporation reserves the right to accept or reject any or all the tenders in
      part or in totality, or to negotiate with any or all the tenderers, or to withdraw /
      cancel / modify this tender without assigning any reason whatsoever.

      Tenders received late for whatever reasons / without EMD / submitted at the
      wrong address / non-conforming above / incomplete in any other respect will
      not be considered.

                        GUIDELINES FOR TENDERERS
1.    GENERAL:
1.1   This tender is being invited for Contract for Housekeeping & Handling jobs
      at Budge Budge Terminal. Tender documents are to be purchased from
      “Indian Oil Corporation Ltd (MD)”, Indian Oil Bhavan, WBSO Operations
      Department, 5th Floor,2, Gariahat Road(South), Kolkata 700068. The tender
      documents are issued in 2 sets; one set duly filled is to be submitted and
      other set duly filled to be retained by the tenderer.
1.2   Each page of the Tender documents is to be signed by the legally
      authorized representative of the tenderer, over the official seal.

1.3   All entries are to be made in ink. No over-writing / erasing / whitening out is
      permitted. All corrections are to be made by scoring out incorrect entries
      and these are to be signed by the legally authorized representative of the
      tenderer over the official seal. Tenders deficient in this respect are liable to
      be rejected.
1.4   Selected items are to be CIRCLED in ink, and all other options are to be
      clearly CROSSED out in ink.
1.5   For any further clarification, concerned officials at IOC (MD), Kolkata /
      Tender document issuing office may be contacted.

1.6   This tender is in two bid system, comprising of credential bid and price bid.

2.6    Enclose demand draft for EMD. If it is found that the EMD paid through DD
       is not acceptable due to technical or any other reason, the tender will be
       rejected.
2.7    Attested copy of latest Income-tax Clearance Certificate, in absence of
       which an acknowledged copy of the latest Income Tax Return Filed to be
       enclosed.
2.8    Attested copies of trading license or Company Registration Certificate.
        Attested copies of Partnership Deed or Certificate of Incorporation.
2.9    Attested copies of PF / ESI codes & labour license.
2.10   Enclose DD of Rs. 1000/- for tender documents downloaded from website or
       photocopy of the cash receipt for payment for purchase of tender document.
       If it is found that DD is not acceptable due to technical or any other reason,
       the tender will be rejected.
2.11   Power of attorney.
     All the papers of the credential bid are to be submitted in the envelope
     marked ‘A’; the envelope is to be closed and sealed by gum / adhesive.
     Tenders received open will be rejected.
2.12 For any further clarification, concerned officials at IOC(MD), Kolkata/Tender
document issuing offices may be contacted.


3.     SET - B: PRICE BID :

       All the documents of the price bid/rate schedule are to be submitted in the
       envelope marked ‘B’. Rates are to be quoted both in figures and words. In
       case of any discrepancy, the rates quoted in words will be taken as
       authentic. The envelope is to be closed and sealed by gum / adhesive.
       Tenders received open will be rejected.

IMPORTANT:
(i) Both envelopes „A‟ and „B‟ are to be placed in envelope ‘C’ which should be
    closed, sealed and put in the designated Tender boxes before the CLOSING
    time and date at the office of Dy. General Manager (Operations), Indian Oil
    Corporation Ltd (MD), West Bengal State Office, Operations Department (5th
    Floor), Indian Oil Bhavan, 2, Gariahat Road (S), Dhakuria, Kolkata: 700 068

                     SPECIAL TENDER CONDITIONS

THESE CONDITIONS ARE SET IN CONTINUATION OF THE TERMS &
CONDITIONS SPECIFIED IN THE TENDER NOTICE AND THE GUIDELINES
FOR THE TENDERERS
A. GENERAL GUIDELINES:
1. Near Relatives (list of definitions enclosed) of officer/s responsible for award
   and execution of this contract in the Corporation is not PERMITTED to quote.
   The tenderer shall be obliged to report the name/s of person/s who are near
   relatives of any officer of the Oil Companies (IOC/ HPC/ BPC) or any officer
   in the State or Central Government, and who are working with the tenderer in
   their employment or are subsequently employed by them. Any violation of
   this condition, even if detected subsequent to the award of contract, would
   amount to breach of contract on tenderer‟s part entitling the Corporation to all
   rights and remedies available thereof including termination of contract.
2. All rates quoted should be both in words and figures. In case of any
   difference between the two, the rates quoted in words shall be considered as
   final and authentic.

3. Rates quoted shall be on lump sum basis and inclusive of all statutory
   levies etc. No escalation of finalised rates will be admissible under this
   contract, during the contract period.
4. Rates quoted would be valid and binding on the tenderer for 240 days from
   the date of opening of Tender unless extended by mutual consent in writing.
   Breach of this provision will entail forfeiture of the Earnest Money.
5. Validity of Tenders: Offers should be valid for acceptance within a period of
   240 days from the date of opening of tender unless extended with mutual
   consent in writing. During the validity period, tenderer will not be allowed
   either to withdraw or revise his offer on his own. Once the tender is accepted
   and work awarded, the rates will be valid for the entire contractual period.
6. The corporation reserve the right, at their sole discretion, and without
   assigning any reason whatsoever, to negotiate with any or all tenderers and
   reject any or all tenders either in full or in part. Corporation also reserves the

     right to appoint parallel contract at any time subsequently without giving any notice
     whatsoever to the contractor(s) appointed against this tender.
7.   All the enclosed Tender Documents shall form part of the contract. The tenderer
     should study all the Tender Documents carefully and be familiar with the operations /
     local conditions at the place of work. Tenderer OR his representative should
     personally deposit the sealed Tender (in the envelope provided) well before the
     CLOSING time and date in particular Tender Box earmarked for this purpose at the
     office of Dy. General Manager (Operations), Indian Oil Corpn. Ltd (MD), WBSO,
     Ops. Dept (5th Floor), 2 Gariahat Road (S), Dhakuria, Kolkatta 700 068. The
     corporation will not accept any responsibility if the tender is not dropped in the
     correct tender box personally by the Tenderer but instead handed over to any
     employee / person.

8. Wherever applicable the following statutory requirements are to be complied with:
     (a) The tenderer must have PF Code No.
     (b) The tenderer must have ESI registration Number of the concerned State Govt.
     (c) The tenderer should confirm implementation of all Labour laws and that the
         minimum wages statutorily required to be paid are actually paid by the tenderer
         to the labor.
Note: The contractor has to ensure payment of wages to his labors on or before
stipulated date and not later than 7th of each month and based on daily Attendance
Registers to be maintained for specific job and in presence of Officer of the Corporation.
Wage register is to be jointly signed by all concerned. The contractor has to ensure
payment of statutory levies like PF/ESI etc up to date as per statute and produce
documentary proof along with monthly bills for processing / payments purposes. Copy of
PF/ESI half- yearly return, which is mandatory, is to be submitted to IOC on regular basis
apart from other statutory formalities.
9. Tenders not meeting tender conditions / incomplete in any respect / or with
     modifications are liable to be rejected. Tender received late / in open condition /
     without EMD / not meeting the tender conditions / incomplete in any respect are
     liable to be summarily rejected.

10. Penalty Clause: For non adherence to Safety System and procedures, the
     Corporation may impose penalty as under:
     (1) Violation of applicable Safety, Healthy and Environment related norm, a penalty
         of Rs. 5,000.00 per occasion.
     (2) Violation as above resulting in:
         Any physical injury, a penalty of 0.5 % of the contract value (minimum of Rs.
         2,00,000.00) per injury in addition to Rs. 5000.00 as in item (1),
         Any fatal accident, a penalty of 1 % of the contract value (maximum of Rs.
         10,00,000.00) per fatality in addition to Rs. 5,000.00 as in item (1).
         The above penalties are over and above the applicable statutory requirements.
10. Tenderer should submit all the details and enclosures as has been asked. In case
     any of the information is not applicable to them, "Not applicable" may be written
     against that para. Not submitting any information/ enclosure sought may be the
     ground for rejecting the tender.

11. Any additions/ deletions or changes in our format will not be accepted. These
    may be ground for rejecting the Tender.

12. Over-writing should be avoided. The tenderer, if any, should initial
    corrections.

13. Before quoting the rates, the tenderer should be well acquainted about the
    job to be carried out. Tenderers would be presumed to have acquainted
    themselves with the working conditions existing at the location, before
    submission of the tender.
14. Tenderer may witness the opening of tender on the appointed date and time
    by sending one of his authorized representatives.

B. EARNEST MONEY DEPOSIT (EMD):
1. Tenders not accompanied by EMD shall be rejected.
2. EMD of Rs. 1,19,176.00 by Demand Draft drawn any Scheduled Bank in
   favour of “Indian Oil Corporation Ltd (MD)” at Kolkata and a photocopy of a
   cash Receipt towards purchase of tender documents should be enclosed in
   Credential Bid envelope „A‟.
3. Cheques OR request for adjustment against any previously deposited EMD /
   pending dues / bills / security deposits for other contracts etc. will not be
   accepted as EMD, and any tender with such stipulation will be treated as
   without EMD.
4. No interest is payable on EMD.
5. EMD is liable to be forfeited, if the tenderer modifies / withdraws the offer and
   / or refuses to accept the work order after acceptance of Corporation‟s offer
   within the prescribed validity of the Tender, OR if the Tenderer does not
   furnish the required security deposit.

5. No cash receipt will be issued for the EMD. EMD would be refunded only
   after finalization of the Tender. A claim for refund is to be made to the
   Corporation.

C. NEGOTIATIONS:
1.   The Corporation reserves the right to negotiate with any OR all the
     Tenderers.
2. Tenderers may be required to visit IOC West Bengal State office or any other
   office of the Corporation for negotiations / verification of documents, entirely
   at the cost of Tenderers.
3. Only the proprietor of the firm OR the legally authorized representative of the
   firm may personally attend such negotiations, as commitments made and / or
   clarifications given during the negotiations will be binding on the Tenderer/s.
   He / She should carry the necessary authorization to attend such

     negotiations and to hand over an authenticated copy of the same to the
     corporation‟s representative/s participating in negotiations.

4. Originals of the documents submitted as copies along with the Tender
   Documents, as well as documentation to substantiate statements made in the
   Tender Document are to be produced for verification by the Corporations
   during negotiations OR at any other time at the discretion of the Corporation.

D. SECURITY DEPOSIT (SD):

   15 days of issuance of letter of intent / confirmation of award of contract,
   failing which the EMD submitted by the contractor may be forfeited without
   prejudice to other rights and award may be cancelled without giving further
   notice.
2. Adjustment of EMD towards SD is permissible for the portion of SD paid by
   DD.
3. No interest is payable on SD.
4. Any loss and / or damage arising out of the performance of the contract
   would be adjustable against the SD. Any damages against SD will be
   recovered from payments due to the contractor under this contract OR
   deposits made by OR payments due to the same contractor under any other
   contract with the Corporations.
5. Security deposit would be refunded after expiry of six months of completion
   of the contract, subject to satisfactory performance, And on written request
   from the contractor, with surrender of the original cash receipt.
6. In the event of loss / misplacement of the cash receipt of the SD, the refund
   would be made only after the contractor furnishes an Indemnity Bond in the
   prescribed proforma, on non-judicial stamp paper of appropriate value (at
   contractor‟s cost), duly notarized.
7. Separate SDs are to be submitted for each contract.
8. Successful tenderers before undertaking the work, would be required to
   deposit Security deposit and execute an Agreement with the Company
   within 15 days from the date of award of business/ Acceptance of offer failing
   which, the EMD submitted by the Tenderer shall be forfeited and the award
   cancelled without giving further notice.
9. Successful Tenderer will be entrusted with transportation work only after
   signing of Agreement and depositing of Security Deposit amount.

E. CONTRACT PERIOD:

The contract will be w.e.f. 01.11.2009 or at a date to be decided at the discretion
of the Corporation. Unless otherwise specified OR agreed to, the contract will be
awarded initially for 1 (one) year with option for extension up to 2(two) more
years at the sole discretion of the Corporation and at the same rates, terms &
conditions.
F. EXECUTION OF AGREEMENT:

1. Successful tender/s will be required, before undertaking the contract, to
   execute the standard agreement, within 15 days of the date of issue of the
   work-order.

2. (a) One specimen set of agreement form is enclosed to these tender
       documents. Tenderers are advised to carefully scrutinize the same
       before submitting their tender. This set may be retained by them and
       need not be submitted with their tender.

     (b) We would supply another set of agreement form only to the successful
         tenderer after finalisation of this tender, for stamping and execution.

3. Successful tenderer would have to paste non-judicial special adhesive stamp
   of Rs. 22.50 (at his own cost) on one set of the Agreement forms and submit
   both the sets duly signed by him on each page within the stipulated period of
   30 days.

4. When the person signing the Tender is not the sole proprietor, necessary
   power of Attorney authorizing the signatory to act on behalf of the proprietor /
   firm should be produced before signing the agreement, and an authenticated
   copy of the same power of Attorney should be submitted for the Corporation„s
   Record.

5. FAILURE TO EXECUTE THE AGREEMENT AND / OR FURNISH
   REQUIRED SECURITY DEPOSIT WITHIN 15 DAYS TIME MAY RENDER
   THE TENDERER LIABLE FOR FORFEITURE OF EARNEST MONEY
   DEPOSIT AND TERMINATION OF CONTRACT WITHOUT PREJUDICE TO
   THE RIGHTS OF THE CORPORATION TO RECOVER THE DAMAGES
   UNDER LAW.

6. All terms & conditions stipulated in the Tender Notice, Guidelines for
   Tenderers, standard conditions, Declarations, Agreement and other
   documents furnished with the Tender and related correspondence shall form
   part of the contract.
7. Separate contract agreement will have to be executed for each contract.

G. MISCELLANEOUS:

1. (a) The provision of reservation will be 15% (fifteen percent) & 7½ % (seven
       and a half percent) for Scheduled Caste and Scheduled Tribes
       respectively on all India basis.
     (b) The SC/ST members should fulfill all tender conditions, and will not be
         eligible for any price preference or relaxation of standards.

     (c) The SC / ST tenderer/s desirous of operating under partnership firm, or
         Private Ltd. Co., or Public Ltd. Co. or a Cooperative Society, or any other,
         should have all the partners or members of private/ Public/ Cooperative
         firms belonging to the same category without exception, i.e. either SC or
         ST as the case may be. Caste certificate for each individual member of a
         Partnership/ Public/ Private/ Cooperative Firm should be enclosed as
         proof along with the Credential bid. In the event of any of the members
         failing to submit the caste certificate as proof of belonging to SC / ST
         category, the tender will be treated as a General Category tender.

2. No unsolicited correspondence / queries will be entertained while the award of
   the business is under review / consideration. Corporation/s regrets / regret
   their inability to answer individual queries.
3. If the performance of the successful contractor is found to be unsatisfactory,
   the Corporation reserves the right to cancel in part or whole of the contract
   and get the same executed through alternate means at the entire risk and
   cost of the contractor on whom the order was first placed. In such cases, the
   contractor should make good all losses that the Corporation may suffer due to
   this. This is without any prejudice to the rights of the Corporation for
   foreclosure of the contract with one – month notice to the contractor. In case
   of any extreme uncalled for situation/erratic/poor performance on the part of
   contractor during the period of the contract, the Corporation may even opt for
   holiday listing of the party in order to protect the interest of the Corporation.
4. In case the contractor abandons the work, the balance work will be carried out
   by any agency appointed by the Corporation, at the entire risk and cost of the
   Contractor.
5. Any damage cost to the existing facilities while carrying out the work shall be
   made good by the contractor to the entire satisfaction of the Corporation at his
   own risk and cost.
6. The contractor will abide by the Rules, Regulations, Bye Laws and Statutes
   etc. imposed by the Government/Semi-Government & other Local Authorities
   for the execution of the job.
7. Any omissions/deviations noticed in the items without the prior approval of the
   Corporation shall result in rejection of the contractor‟s claim for payment for
   these items.
8. The contract shall be deemed to be executed in full only when the contractor
   has fully discharged all his obligations in terms of all the contract documents.
   All the papers of the tender will also form the part of the contract.
9. The Corporation reserves the right to increase /decrease the tendered
   quantity of any or every item and delete any item at any stage of work at the

    accepted rates. The contractor‟s claim for compensation or damage on
    account of these shall not be entertained.
10. All works shall be measured as per procedure laid down in the IS standards
    (latest edition)/prevailing practice, and final payment will be as per measured
    quantities and not as per WORK ORDER quantities.
11. Once the Corporation supplied items are handed over to the contractor, the
    safety and security of the same is the responsibility of the contractor.
12. Corporation shall not be responsible for the safety & security of Contractor‟s
    materials and equipments.
13. As the Work is to be done inside and outside the Terminal/Installation/Jetty
    area/Industry Pipeline area, the contractor shall have to observe all local rules
    for safety/security, gate passes etc., as advised by the Location Incharge.
14. Taxes, Duties and Govt levies etc as applicable in the state as per state Govt
    or Central Govt rules, will be directly recovered from party‟s bill.
15. The contractor’s workmen should be on uniform, safety shoe and
    helmet during the period work, which should be at the cost of the
    contractors only.
16.

H. DUPLICATION OF CLAUSE:

Whenever there is duplication of clause either in the terms and conditions or in
the agreement, the clause, which is beneficial to the contracting Corporation, will
be considered applicable at the time of any dispute.

by the Contracts but in the event of violation of the provisions of various amenties and
facilities to the workers under the different labour laws, not only the Contractors but also
the Corporation as the principal employer becomes liable for the acts of Commission
and omission by the Contractors.
IT IS THEREFORE THE INTENT OF THIS INDEMNITY BOND / UNDERTAKING by the
Contractor/s to indemnify and keep identified the Corporation as stated hereinafter:
1.    The Contractors hereby agree, confirm and declare that they have fully compiled will
      comply with the provisions of various labour laws, particularly those refereed to
      herein above and that no violation of the provisions of various amenities and
      facilities to the workers under different laws has been done by them in the event of
      any past or future violation of various labour laws the Contractors shall indemnify
      and keep the Corporation duly indemnified against all losses, damages, costs,
      charges, expenses, penalties, suits or proceedings which the corporation may incur,
      suffer or be put to.

2.   Contractors hereby undertake to furnish a certificate with regard to the number of
     laborers employed by them in the Corporation in other organisation throughout the
     country to the location in charge of the Corporation where the Contractors undertake
     the work.

3.   The Contractors hereby confirm and state that they are duly registered under the
     Contract Labour (Regulation and Abolition) Act, 1970 as amended from time to time
     and they undertake to furnish a certified copy of the requisite License obtained by
     the Contractors from the competent authority to the Corporation‟s representative.

4.   The Contractors hereby under take to keep proper record of attendance of his
     laborers and will give opportunity to the officers of the Corporation to supervise the
     same and confirm upon the Corporation‟s representative the right to countersign the
     said register. The Contractor shall provide a copy of the pay sheets to the Location
     in-charge of the Corporation nominated by the Corporation for supervision of the
     payment of wages made to the Laborers by the Contractors and also confirm the
     right on the Corporation‟s representative to supervise the payment of wages to the
     laborers on the spot.

5.   The Contractors state that they are fully aware of the provisions of the Provident
     Fund Act, particularly with regard to the enrolment of the laborers as a member of
     Provident Fund. The Contractors further confirm that they are aware of the
     provisions that they are obliged to recover Provident Fund contribution from the
     eligible laborers engaged by them and, after adding their own contribution, remit the
     same to RPFC. The Contractors state and confirm that they are fully aware of the
     obligation to remit the said amounts on account of Provident Fund to the RPFC
     within the prescribed period and they have obtained a separate code number from
     the RPFC which is bearing S/No. ____________ dated ____________ from RPFC.

6.   The Contractors will afford all opportunities to the officers of the Corporations to
     verify that the Provident fund is actually deducted by the Contractors from the
     wages of the laborers and the same together with Contractors‟ contribution have
     duly remitted by the contractors to the concern PF commissioner. The Contractor/s
     also undertake to provide photocopy of the receipt issued by the Concerned PF
     Commissioner for having received the P.F. contribution from the Contractors.

7.   In the event the Location In-charge of the corporation is not satisfied about the
     payment of wages made and recovery of P.F. etc. From the labourers employed by
     the Contractors, the Contractors hereby agree and authorise the Corporation to
     withhold the payment of their bills till the Contractors complete all the obligations in
     this matter.

8.   Not-withstanding the provisions contained in this Clause 7, the Contractors hereby
     undertake and authorise the Corporation to recover dues payable by the
     Contractors to the labourers employed by them as also amounts of P.F.
     contributions (including the Contractors contribution) as also all losses, damages,
     costs, charges, expenses, penalties from his bills and other dues including the
     security amount).

     addition to and not in substitution of terms and conditions in the Tender documents

NOW THIS AGREEMENT WITNESSTH AND IT IS HEREBY AGREED BY AND
BETWEEN the parties here to as follows:
     1. a)     The contractor shall provide all the equipment and man power
         required for carrying out any of the work assigned to them, as detailed in
         schedule of Rates attached hereto, by the Corporation (Terminal Mgrs/
         Depot Mgrs).
     b) The contractor‟s workmen should be on uniform, safety shoe and helmet
     during the period work, which should be at the cost of the contractors only.

     2. The Corporation shall pay to the contractors for the performance of the
        various works at the rates finalised by the Corporation as per the items of
        schedule of Rates attached thereto.
     3. The contractors shall submit to the Corporation bills by a stipulated date
        or within two months whichever is earlier and in the form prescribed by
        the Corporation‟s office duly certified by the Officer-in-charge. The
        Corporation may reject bills submitted after two months from the date of
        completion of work.
     4. The contractor shall be responsible for the compliance of all Government
        Rules and Regulations regarding employment and working conditions of
        personnel, including various statutory facilities, which shall be provided
        by the contractor. The contractor‟s shall be responsible for any fines for
        non-compliance of any such rules.
     5. The contractor shall maintain all records as required under the Factories
        Act, payment of Wages Act, Workmen‟s Compensation Act, Employees
        State Insurance Act or any other Act in-force by Central Government /
        State Govt. at any time. These records will be open for inspection by
        Corporations representatives as and when required.
     6. Under the contract Labour Regulations and Abolition Act, 1970 it is
        obligatory for the contractors to get themselves registered and obtained
        necessary licence. It shall be obligatory on the part of the contractor/s to
        obtain such licence.
     7. Contractor‟s firm must be registered with office of the Regional PF
        Commissioner and must possess a valid PF code (if applicable)
     8. Contractor must have a valid ESI code (if applicable).
9. The contractor shall remain fully responsible for the supervision of the safe
   custody of the materials. The contractor shall be liable for any loss or
   damage to Corporation‟s property, Corporation‟s employees, contractor‟s
   own employees or to any third party resulting from fire, leakage, negligence,
   explosion, accident or any other cause in carrying out the work assigned to
   them and the contractor shall indemnify and keep with the Corporation such
   amount, as the Corporation may called upon by law to pay.
10. All labours, workmen and persons engaged by the contractor shall not be on
    account of Corporation and shall be deemed to be Contractor‟s own labour
    so that no service conditions, payment liability in respect of such persons
    would be attached to the Corporation and the Contractors shall have to
    indemnify the Corporation against the same.
11. The Contractor will make good to the Corporation any losses arising from:
         (a) The confiscation by Government or local authorities of any goods
             delivered to the contractor for transportation, clearing, forwarding,
             handling etc.

         (b) Loading, unloading or in transit, it may be clearly understood that the
             property or the goods in possession or under power of the Agent will
             remain the sole and absolute property of the Corporation and that the
             contractor will be liable for any loss or damage to the said goods.
12.   The contractor shall have to employ competent and efficient employee and to
      ensure that the work assigned is handled and performed correctly and as
      directed by respective location in charges / their representatives. Any loss
      caused on account of contractor‟s employee‟s negligence or any other sub
      agents including road transport employed by him, theft, default of any
      commission etc shall be made good by the contractor.
13. Contractors, their representatives and employees shall have to abide by
    various rules in force at our location and shall confirm to the location‟s
    timings.
14. The contractor shall have to clear / forward consignment by rail / road / river /
    sea within a reasonable time of being asked to arrange the same. Any
    demurrage, warfage or other charges levied by the transport agency shall be
    on contractor‟s account. The contractor shall also be responsible for the safe
    custody of goods in transit.
15. In the event of Contractor‟s failure to carry out the work assigned to them
    within a reasonable time, contractor shall be liable to make good to the
    Corporation any extra expenses that may be incurred by the Corporation in
    making alternate arrangements for carrying out the work.
16. The rates finalised shall be valid for 3 (three) years. Rates once finalised
    shall not be revised under any circumstances whatsoever. The rates finalised
    shall apply under all working conditions and the contractor shall not be
    entitled to any extra allowance during the period of the contract.
17. Taxes like octroi etc paid by the contractor on behalf of the Corporation shall
    be reimbursed on production of original receipts.
18. On the finalisation of the contract, the contractor shall be required to deposit
      a sum of Rs.______________ (Rupees ______________________________ only)
      as SECURITY with the Corporation for the due performance of the work and
      observations of all conditions hereof. This sum shall not bear any interest.
      Further, Company may at its sole discretion accept bank guarantee of the
      said amount valid till 6 months after the expiry of the Agreement in lieu of
      Security Deposit. It shall be lawful for the Corporation to appropriate the
      entire deposit or part thereof against damages, costs, charges or expenses
      arising out of the Contractors failure. This is without prejudice to the other
      remedies under the law open to the Corporation. SD to be withdrawn after six
      months from the date of expiry of the contract.
19. The Corporation reserves the right to award parallel contract/s without giving
    any notice or prior intimation to the existing contractor/s for the same work or
    part thereof awarded under the contract or any other contractor or

     contractors and the contractor the party of the other part thereof shall have
     no objection to such parallel contract that may be awarded by the
     Corporation.
20. The Contractor/s shall be responsible for and shall pay any compensation to
    their employees payable under the workmen‟s compensation Act, 1923 &
    1933 and the amendments thereof, for the injuries caused to the workmen.
    The contractor/s shall be responsible for and pay the expenses for providing
    medical treatment to his employees who may suffer any bodily injury as a
    result of any accident. The contractor/s shall be liable for any payments to his
    / their staff employed for the performance of carrying out of the said work and
    the Corporation shall in no event be liable for nor responsible for any
    payment and the contractor/s shall keep the Corporation indemnified against
    the same and from all proceedings in respect thereof. In every case in which
    by virtue of the provisions of section 12, sub-section (1) of the workmen‟s
    compensation Act, 1923, the Corporation is obliged to pay compensation to
    workmen employed by the contractor/s in execution of the works, the
    Corporation will recover from the contractor/s the amount of the
    compensation so paid and without prejudice to the rights of the Corporation
    under section 1, sub-section (2) of the said Act, the Corporation shall be at
    liberty to recover such amount or any part thereof by deducting it from the
    Security Deposit or from any sum due by the Corporation to the contractor/s
    whether under this contractor otherwise. The Corporation shall not be bound
    to contest any claim made against it under section 12, sub-section (1) of the
    said Act except on the written request of the contractor/s and upon his giving
    to the Corporation full security for all costs for which the Corporation might
    become liable in consequence of contesting such claim.
21. For non adherence to Safety System and procedures, the Corporation may
    impose penalty as under:
    (1) Violation of applicable Safety, Health and Environment related norm, a
        penalty of Rs. 5,000.00 per occasion.
    (2) Violation as above resulting in:
        Any physical injury, a penalty of 0.5 % of the contract value (minimum of
        Rs. 2,00,000.00) per injury in addition to Rs. 5000.00 as in item (1),
        Any fatal accident, a penalty of 1 % of the contract value (maximum of
        Rs. 10,00,000.00) per fatality in addition to Rs. 5,000.00 as in item (1).
        The above penalties are over and above the applicable Statutory
        requirements.

22. Contractor must furnish the name /s of relatives, if any, working in Indian Oil
    Corporation Ltd & his / their place of posting.
23. This Agreement would be valid for period of one year w.e.f. __________ with
    option of Company to extend the same by two years in two stages of one
    year each on same terms and conditions. However, Company reserves the
    right to terminate this Agreement by giving two months advance notice
    without being liable to give any reason or pay any compensation.

         Notwithstanding anything to the contrary contained hereinabove, Company
         reserves the right to terminate this Agreement forthwith upon or at any time
         after happening of any of the following:
         (a) If the contractor shall commit a breach of any of the Covenants and
             stipulations contained in the agreement and fail to remedy such breach
             within three days of the receipt of a written notice from the Corporation in
             this regard.
         (b) The death or adjudication as insolvent of the contractor if he be an
             individual.
         (c) Dissolution of partnership of the contractor/s from the death or
             adjudication or adjudication as insolvent of any partner of the firm if the
             contractor be a firm.
         (d) The liquidation whether voluntary or otherwise or the passing of an
             effective resolution for winding up if the contractor be a company or a co-
             operative society.
         (e) If any attachment is levied and / or continued to be levied for a period of
             seven days upon the effects of the contractor or any individuals/ partners
             for the time being of the contractor/s firm or any member of the
             contractor/s co-operative society.
         (f) If the contractor or any partner of the contractor/s firm or any member of
             the co-operative society appointed as contractor hereunder shall be
             convicted in a criminal offence.
         (g) If a receiver shall be appointed of any property or assets of the
             contractor of any partner if the contractor‟ s firm or of any member of the
             contractor‟s co-operative society.
         (h) If the license issued to the contractor by the relevant authorities is
             cancelled or revoked.
         (i) If the contractor shall for any reason make default in payment to the
             Corporation in full or his outstanding as appearing in the Corporation‟s
             Book of Accounts beyond four days of demand by the Corporation.
         (j) If the contractor dose not adhere to the instructions issued from time to
             time by the Corporation with safe practices to be followed by him in
             carrying the products of the Corporation or otherwise.
         (k) If any information given by the contractor shall be found to be untrue or
             incorrect in any material particular.
         (l) The contractor shall either by himself or by his servants, agents commit
             or suffer to the committed any act which in the opinion the State Office
             Operations Manager of the Corporation for the time being in Kolkata
             whose decision shall be final if prejudicial to the interest or good name of

         the Corporation, the State Office Operations Manager shall not be found
         to give reasons for such decision.
25. The contractor shall be bound to perform as contractor to the Corporation for
    the aforesaid term and in the event of sooner determination of the agreement
    by the contractor by given 90 days notice in writing to the Corporation, the
    Corporation shall be at liberty to claim damage, compensation, rate
    difference whatsoever from the contractor or Corporation„s accepting such
    sooner determination of the agreement and the contractor hereby agrees to
    pay such damage, compensation, rate difference to the Corporation as may
    be calculated by the Corporation and intimated to the contractor.
26. Any goods in custody or power of the contractor/s at the time of termination
    of contract by efflux of time or by notice or otherwise however shall be
    handed over to the Corporation properly.
27. Any dispute or difference of any nature whatsoever regarding any right,
    liability, Act, omission, interpretation on account of any of the parties hereto
    arising out of or in relation to this agreement shall be referred to the sole
    arbitrator the GM (Regional Services), ER, Kolkata of the Corporation or an
    officer of the Corporation who may be nominated by the GM (Regional
    Services), ER, Kolkata. The Contractor shall not be entitled to raise any
    objection of such arbitrator on the ground that the arbitrator is an officer of
    the Corporation or that he has to deal with the matter to which the contractor
    related or that in the courses of his duties as an office of the Corporation he
    had expressed his views on all or any of the matters in dispute of difference
    in the events of the arbitrator to whom the matter in originally referred being
    transferred or vacating his office or being unable to act for any reason the
    GM (Regional Services), ER, Kolkata as aforesaid at the time such transfer,
    vacation of office or inability to act shall design to another officer to act
    observer in accordance with the terms of the agreement. Such shall be
    entitled to proceed with the reference from the point at which it was left by his
    predecessor. It is also a terms of this contract that no person other than the
    GM (Regional Services), ER, Kolkata of the Corporation or an Officer
    nominated by such GM (Regional Services), ER, Kolkata as aforesaid shall
    be act as arbitrator hereunder. The award of the arbitrator so appointed shall
    be final, conclusive and binding on all parties to the agreement, subject to the
    agreement of the Arbitration & Conciliation Act 1996 or any statutory
    modifications or re-enactment thereof, and the rules made there under and
    for the time being enforced shall apply to the arbitration proceedings under
    this clause.
28. That all notices required to be given by either party to the other shall be
    deemed properly served if delivered in case of the Corporation at its State
    Office at Indian Oil Bhavan, 2 Gariahat Road (S), Dhakuria, Kolkata-700068
    for Marketing Division herein above mention or sent by Registered Post to its
    said Office and in case of the contractor if sent by Post or delivered by hand
    at the said premises herein above mentioned or Posted there at. The Courts

     in the City of Kolkata along shall have jurisdiction to entertain any Suits,
     Applications or other proceedings in respect of any claim or dispute arising
     under this agreement.

6.       This guarantee will not be discharged due to the change in the constitution of the
         Bank or the contractor(s).
