Christin O’Callaghan read Roll Call.

Wallin called the meeting to order at 3:00 p.m.

1. Approval of past meeting minutes
   Motion to approve the December 13 meeting minutes by Hayes. Seconded by Riecker.
   Approved unanimously.

2. Financial Reports for October and November
   Maday presented the December 2006 financial statements. Motion to approve statements by
   Beck. Seconded by Riecker. Approved unanimously.

3. Reports

Wallin reported that a Strategic Planning Session was held that day and was very good. A vision
statement was developed “Small City Charm with Big City Choices.” Committees will review
prior to board adoption at a later date.

         a) Budget Committee
            Riecker reported that the budget committee has met twice and will meet again on
            January 23, 2007.

         b) Design Committee
            Beck introduced the new City Horticulturist – Stephanie Szostak. Szostak is a
            Michigan State University graduate with experience running her own Landscape
            Design business in Kalamazoo.

             Beck reported that the requests for proposals for the redevelopment and design
             study have been mailed and are due back by January 30th at 2 pm. A special board
             meeting will held on February 7, 2007 at 3 pm to discuss the proposals and select
            bidders for interviews. Another special board meeting is scheduled for February 14,
            2007 at 9 am to interview select bidders. Both meetings are open to all Board
            members and the general public.

        c) Economic Restructuring Committee
           Reisner noted there are 6 downtown properties available for rent and 2 properties
           for purchase. Also, new legislation signed by Governor Granholm will allow
           additional liquor licenses to be available in the DDA district based on development
           money spent. For each $200,000 increment of investment in the district, an investor
           can request a license at a cost of $20,000 per license with a $75,000 investment into
           the building required.

        d) Creating Cool Promotions Committee
           The 2007 Downtown Art Project is officially titled “da Benchi – Hot Seats in a
           Cool City.” Letters were sent to artists in the whole Tri-County region and beyond.
           Applications are available on the DDA website. Deadline to apply is January 31,
           2007. It will be a juried selection with artists being notified by mid-February.
           Northwood University students are working on a family ice cream social for the
           Kick-Off party, which is scheduled for June 1, 2007. The public auction is
           scheduled for September 13. The benches will be free-form.

        e) Midland Downtown Business Association Report
           Joe Garrison, MDBA President, reported that the MDBA committee structure is
           modeled after the Michigan Main Street program with 4 subcommittees; Executive
           Committee, Marketing Committee, Physical Improvement Committee, and
           Business Liaison Committee.

            Garrison reported on upcoming events, including:
            February 17, 2007 – Sizzlin’ Shiver Winter Festival sponsored by Ashman Court
            Hotel…more details to come.
            April 13, 2007 – Tailgate Party celebrating Opening Day of the Great Lakes Loons
            2007 Season…more details to come.

1. Introductions & Survey Results
   The meeting began at 10:05 a.m. Bolger discussed the transformation of the DDA and
   downtown Midland over the past few years and the many exciting opportunities coming up,
   including: Main Street designation, Leadership Academy at Ashman Court Hotel, and the
   arrival of the Great Lakes Loons Minor League Baseball team.

   Bolger reported that there were 12 survey responses from a survey sent to the board in
   October. She discussed the key ideas and critical issues for 2016. Bolger discussed the
   strategic planning expectations along with the DDA Mission statement.

   Attendees were asked “What is the central value of having a great downtown?” with these
   responses:
          Rogowski – a great downtown supports the whole community
          Cline – improves the quality of life
          Reisner – is a good first impression of the community
          Allen – shows community pride
          Wallin – is a focal point and is the fabric of the community
          Ireland – community pride – Midland Blooms program is one example of how
          newcomers to Midland are impressed with involvement
          Brines – it’s the emotional center of the community
          Hufford – a great downtown is fun – people don’t want to live in a boring community
          Chapman – Do people want to live downtown? Important question
          Henniger – the emotional center and personality of a town
          O’Callaghan – Heart and soul of community and reflects what the community wants
          and needs.
          Walker – a good downtown can help combat urban sprawl similar to Detroit
          communities and can help attract a good workforce.
          Emmel – it is a historical city center, a solid identity
          Riecker – it’s a reflection of Middle Class America
          McCandless – center of the town
           Poprave – improve adjacent neighborhoods and focus on business retention
           Liveris – need attractive downtown to attract the best and brightest
           Beck – face of the community
           Gray – establishes a community’s identity
           Hayes – downtown is Midland’s front porch – need to think big with development, a
           crowd draws a crowd
           Hallberg – pedestrian-based downtown and need to address first floor retail
           Lynch – emotional and practical, change is constant so we need to be proactive.

2. Vision Statement & Objectives
   Bolger lead a discussion of four sample vision statements.

4. Top three priorities with timing, budget, justification & accountability
   Organization Committee – Objectives for 2007 were discussed including some Board
   development activities. The possibility of bringing a keynote speaker to the area was
   discussed, including a professional to discuss the mixed use of 2nd story residential. Final top
   three 2007 objectives:
       1. Budgeting diversification of fund sources
       2. Program public relations (public speaking engagements)
       3. Board development activities.

   Economic Restructuring Committee – need to address the obstacles and solutions for 2nd
   story housing in downtown. Would like to development a program similar to the fascade
   program and give incentives to property owners to develop 2nd story housing. Some
   discussion regarding whether we should focus so much on 2nd story housing as opposed to
   just all housing. Group decided to change the goal to identifying obstacles and solutions for
   market rate and 2nd story housing. Final top three 2007 objectives:
       1. Property Development & potential purchase
       2. Identify obstacles and solutions for market rate and second-story housing
       3. Retail recruitment

   Creating Cool Committee – Objectives for 2007 include the design and distribution of a
   downtown brochure. Discussion from group led to a commitment to have something by the
   Loons opening day in April with a more complete product as soon as possible after that.
   Another discussion involved the improvement of the downtown website. Again the group
   would like to have some improvement in place by the Loons opening day with more
   improvements as soon as possible. Some discussion regarding budget constraints. Also
   discussion about how to market the web page to the general public. Final top three 2007
   objectives:
       1. Comprehensive marketing plan
       2. Website Update by April 13; re-engineering by fall 2007
       3. Downtown brochure/map
   Design Committee – Discussion regarding the upcoming redevelopment and design study.
   Final top three 2007 objectives:
      1. Redevelopment and Design Study
      2. Wi-Fi
      3. Wayfinding signage

   All four committee recommendations were approved unanimously.

   Each committee was instructed to assign a champion for each objective and assign a
   deadline. Additionally, committees are to look at ways of measurement for objectives.

5. Vision Concept
   Hayes requested that the group continue to work on the vision statement with the additional
   time available prior to the regular board meeting. After much discussion, “Small City Charm
   with Big City Choices” was chosen as the vision statement for the DDA. Each committee is
   to review the vision statement, indicating their concepts of “small city charm” and “big city
   choices.” Board to consider adoption of vision statement at the February 2007 board meeting.

   The meeting concluded at 2:30 p.m.

 5. Vision Statement               Small city charm with big city choices; this is vision for 2017 and the
                                   benchmark for all project decisions moving forward. Email O’Callaghan
                                   with personal connotations for “charm” and “choices”. O’Callaghan to add
                                   mission and vision statements to every agenda at bottom.
 6. Action Item Champions          The action item champions will work to keep projects on task but are not
                                   responsible for all of the work. Website Update – need champion;
                                   Downtown Map/Brochure – Laurel; Comprehensive Marketing Plan – will
                                   ask Bob Rogowski

                                   11:30.

 3. Vision Statement                   Everyone will review and send comments to Christin. ☺


 4. 2007 Horticulture Design           Stephanie shared photos and the will have the fullness and color
    Recommendations                    with some height differences to the plantings. We all liked what
                                       she showed us and I recommended she talk to Doug.
 5. Main & Cronkright                  Stephanie showed the drawing Christin had done and will work
                                       with us on the project. Hopefully will tie into the Mural design.

 6. Michigan Main Street Design        We approved this request. Claudia moved approval and Patty
                                       seconded. Motion passed.

 7. Signage                            Not sure of status on this will cover at next meeting.


 8. Action Item Champions              Tabled to next meeting.


 9. Memorials in corner beds           Need to discuss more and possibly get feedback from other
                                       committees to see what they think. We mostly agreed it could be a
                                       good source of funds for the plantings.

Action Item – DDA Vision Statement


At the January 10, 2007 Strategic Planning session, the Board considered a new vision
statement for the Downtown Development Authority, “Small city charm with big city
choices.” It was determined that this vision statement could guide the board in decision
making so as to ensure that the overall downtown integrity and environment be retained
and improved in an appropriate manner.
Resolution:
The Downtown Development Authority hereby adopts the vision statement “Small
city charm with big city choices”.
Action Item – 2007/2008 Budget


The budget committee has reviewed the proposed 2007/2008 budget. A copy of the final
budget will be provided at the board meeting. A draft copy has been included in this
packet.
Resolution:
The Downtown Development Authority hereby adopts the 2007/2008 budget as
presented at the February 14, 2007 board meeting for recommendation to the
Midland City Council.
Action Item – Liquor License Legislation


In December, 2006, the State of Michigan passed new legislation which provides for
liquor licenses to be issued within a Downtown Development Authority district based on
investment within the district. As part of the legislation, the City Assessor must send an
affidavit to the Liquor Control Commission regarding the amount of investment in the
Downtown District. This resolution authorizes the DDA to request council to direct the
City Assessor to create the affidavit. Additionally, the Economic Restructuring
Committee will create a Liquor License Recommendation for approvals of licenses in the
district. This recommendation will be brought to the full board for approval and submittal
to City Council at a later date.
Resolution:
The Downtown Development Authority requests Midland City Council to direct the
City Assessor to create an affidavit related to the past five years of investment in the
Downtown District, as required by the Liquor Control Commission relative to
PA501 of 2006.
Action Item – Redevelopment & Design Study Firm Selection


A Request for Proposal was sent to over 10 firms in Michigan for a Downtown Midland
Redevelopment and Design Study. The DDA received five proposals. After staff review
and a special board meeting on February 7, 2007, four firms were selected for interview
on Wednesday, February 14, 2007.
Resolution 1:
The Downtown Development Authority recommends __________________________
(firm chosen at February 14, 2007 9:00 a.m. meeting) be awarded the contract for
the Downtown Midland Redevelopment & Design Study, and requests Midland City
Council’s approval of such.
Resolution 2:
The Downtown Development Authority hereby requests of Midland City Council an
amendment to the DDA 2006/2007 budget in the amount of $_________________ for
the Downtown Midland Redevelopment & Design Study.
Action Item – SARA


Biennially, the SARA board makes a recommendation to the City Council to establish a
special assessment district for the following two years. The SARA board is not asking for
an increase in the assessment.
Resolution:
The SARA Board hereby recommends to Midland City Council the establishment of
a Special Assessment District for 2007-2008 and 2008-2009 in the amount of $36,000
annually.
