1.0 SERVICES
Desert Jewel Marketing provides internet marketing services including hosting and customer database
management using state of the art data Center (“Desert Jewel Marketing”), database, website content
management software, monitoring, maintenance and management, file-system backup and reporting services.
2.0 FEES AND COMMITMENT
____________________ (Customer) shall pay Desert Jewel Marketing all fees, including one time set up
charges, monthly fees, and usage fees, indicated above._______________________(Customer) acknowledges
that in consideration of the discounted pricing set forth, Customer commits to be liable for and pay the monthly
fees set forth for a 1 year term, paid for monthly, quarterly, bi-annually or annually in advance.

3.0 TERM
The term of this Exhibit shall commence on the date of its execution by Customer and continue for a term of
___1__year(s), and provided further, that with regard to any Agreements then outstanding, this Exhibit shall
continue to govern such Agreements until such Agreements have been fully performed or terminated. Each
Agreement shall have a minimum period of one (1) year, and so long as this Exhibit remains in effect, shall be
automatically renewed at the then current fees for additional periods, unless either party gives written notice
otherwise to the other party, not less than thirty (30) days prior to the expiration of such Agreement. Agreement
may only be issued while this Exhibit is in effect. This Exhibit may be renewed for additional terms upon the
mutual written consent of both parties.
4.0 TERMINATION
In the event of any expiration or earlier termination of this Exhibit, ____________________Customer will be
obligated to pay to Desert Jewel Marketing fees and charges incurred prior to termination, and, if such
termination is not the result of Desert Jewel Marketing’s fault, the payment of any waived or discounted
installation fees, as well as the monthly fees for each remaining month of the term of the affected Agreement(s).
5.0 SERVICE LEVEL AGREEMENT
We Guarantee! that our network will stay up 99.9% of the time.
Server uptime on the other hand is dependent on a variety of issues, ranging from the activity by our clients,
traffic to other sites, hardware failure, to issues like hard-drive failure and file corruption. Most issues are
resolved in approximately 15 minutes, however on extreme issues it may take more than 15 minutes to resolve
the issue. In these extremely rare circumstances the server may require additional time to resolve the issue. This
can take several hours and in very rare cases as much as a day to get your server back up and running.
If in any calendar month, Customer’s server is down for more than 15 minutes (exclusive of (i) scheduled
maintenance windows and (ii) customer enabled faults), Desert Jewel Marketing will credit to Customer’s
account twenty-five percent (25%) of such month’s Managed Services fee, as set forth in the Order. This Section
5.0 sets forth Customer’s sole and exclusive remedy, and Desert Jewel Marketing entire liability for any failure
of the Managed Server Service.
