Money Laundering Regulations
The Anti-Money laundering regulations came into effect on 1st March 2004 and as property auctions
fall within a ‘relevant business’ it is a requirement upon this company to follow certain procedures
within this legislation.
As a result, all buyers attending our auctions and transacting business with us must provide relevant
documentation in order to prove their identity and place of residence. Buyers should note that these
documents are required for these purposes only and will comply with all data protection regulations.
If you are attending the auction on behalf of a potential buyer, you must be able to provide proof of
your own identity and residence and certified copies of the buyer’s identity and residence. Certified
copies must be of original documentation and signed as true certified copies by a UK lawyer, UK banker,
authorised financial intermediary such as an independent financial advisor, NCCB regulated mortgage
broker, certified accountant, teacher, doctor, minister of religion, port master or sub-postmaster. All of
the above must be capable of being contacted by telephone by us prior to you buying and/or on the
day of the auction.

IMPORTANT NOTICE TO BE READ BY ALL BIDDERS
1. The attention of prospective Purchasers is drawn to the General Conditions of Sale included with this catalogue and special conditions
of sale available on application relating to the properties.

GENERAL CONDITIONS OF SALE
EACH LOT IS SOLD SUBJECT TO THE FOLLOWING GENERAL CONDITIONS:
1. (i) The sale of each Lot shall subject to paragraph 1(ii) below incorporate the following documents:
(a) These General Conditions of Sale which incorporate the Standard Conditions of Sale (4th Edition): where any inconsistency results these General
Conditions shall have precedence.
(b) Special Conditions of Sale which will be attached to the contract. Special Conditions of Sale take precedence over these General Conditions save in
the case of Condition 6(i) and 8(iii) below where the General Condition shall have precedence.
(c) The “Important Notice to be read by all Bidders” which forms part of the Auction Catalogue.
(d) The Particulars of the Lot which forms part of the Auction Catalogue and
(e) Any relevant Plan referred to in the Particulars or in the Special Conditions.
(ii) The Auctioneer may by announcement made at the commencement of the auction or when calling the Lot or at any time prior to the Lot being knocked
down reasonably vary the content, number and identity of the documents to be incorporated into the sale provided that the Auctioneer shall use his
reasonable endeavours to make any such variation as early as possible before the auction.
(iii) A Copy of the Standard Conditions and any relevant plan may be inspected at the offices of the Vendor’s Solicitors and Barnard Marcus and in the sale
room immediately before the sale. The Special Conditions of Sale and Particulars of the Lot are included with the Auction Catalogue (save to the extent
that any Special Conditions are stated to be available upon application) as are these General Conditions.
(iv) The Purchaser should read and understand the contents of the documents subject to which the Lot is sold and the purchaser should take professional
advice (as appropriate) on the documents.
(v) Immediately following the Lot being knocked down to him the Purchaser shall sign a Memorandum of the Contract stating:-
(a) The price agreed.
(b) The deposit paid.
(c) The short address of the Property purchased.
(d) The Lot number.
(e) The names of the Vendor and Purchaser.
(f) The date of the Contract.
And having attached to it the documents referred to under paragraph 1(i) above or such other documents as the Auctioneer shall have determined under
paragraph 1(ii)
2. The Standard Conditions shall be varied as follows:
(i) Standard Conditions 2, 3.3.2(a), 4.4.2, 5.1.1, 5.2.2(e), 6.1.1, 6.1.3, 6.3.2, 7.3.4 and 8.1.2 shall be deleted
(ii) the words “Seller” and “Buyer” in the Standard Conditions of Sale shall be interchangeable with the words “Vendor” and “Purchaser” respectively in
these Conditions and in the documents which are incorporated
(iii) the Contract Rate in Condition 1.1.1(e) shall be 3% over National Westminster Bank Plc base rate from time to time [At the statutory rate]
(iv) Condition 3.2.1 shall be read as though the words “at the date of the Contract, unless the Seller is building or converting it” were deleted and replaced
by “at the Contractual Date for Completion or if Completion is delayed due to the fault of the Purchaser at the Date of Actual Completion”
(v) Condition 4.6.4 shall be read as though the words “but the law does not imply any covenant by the buyer to indemnify the Seller against liability for future
breaches of it “ and the word “future”in paragraph (a) were deleted
(vi) The Time Limits in the second column of Standard Condition 4.3.1 shall be deleted and replaced by:
Step 1 Four working days after the date of the Auction Contract.
Step 2 Three working days after the day of delivery of the Seller’s evidence of title.
Step 3 Three working days after receiving the requisitions.
Step 4 Two working days after receiving the replies”.
(vii) The Time Limit in the second column of Standard Condition 4.3.2(c) shall be deleted and replaced by “to arrive at least six working days before the
Completion Date”.
(viii) Apportionment of Income and outgoings shall be made with effect from the Date of Actual Completion and if the sale shall not be Completed on the
Completion Date other than due to the default of the Vendor then the Vendor shall be entitled to receive the income from the property and the Purchaser
shall pay to the Vendor compensation calculated at the contract rate on the purchase price (giving credit for the deposit paid if any) from the Completion
Date to the Date of Actual Completion.
3. (i) The sale is subject to a reserve price for each of the properties and the Vendor reserves the right to bid (both up to the reserve price) through the Auctioneer
at the Auction.
(ii) The Auctioneer reserves the right to regulate the bidding and to refuse to accept any bid or bids without assigning any reason therefore in his sole absolute
discretion. In the event of any dispute on bidding, the Auctioneer’s decision shall be final. This is without prejudice to the bidder’s right to bring arbitration
or legal proceedings.
(iii) On the property being knocked down the successful bidder must, upon being asked by the Auctioneer or the Auctioneer’s Clerk, give his name and address
and, if appropriate, the name and address of the person or company on whose behalf he has been bidding and in default the Auctioneer shall be entitled
to resubmit the property for sale.
(vi) All obligations agreements or warranties given by or on behalf of the Purchaser or the Guarantor (as defined in General Condition 4 below) pursuant to
the Particulars or Conditions of Sale shall, where such party consists of two or more persons, be deemed to be joint and several.
4. N.B. Condition 4 only applies to companies
In the event of the Purchaser being a limited company it is agreed that this contract is being entered into at the request of the person (“the Guarantor”) whose
bid the Auctioneer shall have accepted. In consideration of this contract being entered into at the request of the Guarantor, the Guarantor warrants that the
Purchaser is a properly constituted limited company that the Company is empowered to purchase take on lease or otherwise acquire any lands and buildings and
any estate or interest in any rights connected with any such lands or buildings therein and that he had authority to bind the Company to this contract as agent
on its behalf and guarantees to the Vendor (as witnessed by his signature to the memorandum of sale which he shall be deemed to have signed both as agent
for and on behalf of the Company and in his capacity as Guarantor”) as follows:-
(i) That the Purchaser will observe and perform all of its obligations under this contract in accordance with the Auctioneers’ General Conditions of Sale as
varied by the Special Conditions and will pay and make good to the Vendor all losses, costs, damages and expenses occasioned to the Vendor by the
non-performance of all of the terms and conditions of the contract or any of them including (but without prejudice to the generality of the foregoing) the
non-payment of the deposit or the whole or any part of the purchase price or any other monies which may become due on Completion and it is agreed that
any neglect or forbearance on the part of the Vendor in enforcing or giving time to the Purchaser for the performance of the terms and conditions under this
contract or any of them shall not in any way release the Guarantor in respect of his liability under this Condition.
(ii) That if the Purchaser shall enter into liquidation and the Liquidator shall disclaim this contract the Guarantor shall if the Vendor within 28 days after such
disclaimer so requires by giving 14 days’ notice in writing to the Guarantor, accept an assurance of the property hereby agreed to be sold. In the event of
the Vendor serving such a notice the Completion Date of which time shall be of the essence shall be on or before the expiration of such notice and the
Auctioneers’ General Conditions of Sale (as varied by the Special Conditions of Sale) shall apply and the Guarantor shall pay to the Vendor such sum or sums
as the Purchaser would have been liable to pay (including interest) had the Liquidator not disclaimed this contract including (but without prejudice to the
generality of the foregoing) the amount of the deposit payable on the signing of the memorandum of sale (if such deposit has not previously been paid) and
the whole or any part of the purchase price or any other monies which may become due on Completion.
5. The Purchaser shall accept that vacant possession is given of the whole or any part offered with vacant possession not withstanding that:
(i) There may be furniture fittings or effects remaining therein and shall not require the removal of any such chattels and shall not raise any requisitions or
enquiry with regard thereto but shall accept responsibility therefor.
(ii) The property if a house or part of a house may not be occupiable immediately (for legal or other reasons) owing to any of the matters referred to in
sub-paragraphs (i), (ii), (iii) or (iv) of Condition 10 or referred to in sub-paragraphs (i), (ii) or (iii) of Condition 11 in these general Conditions of Sale.

6. (i) A deposit which shall be l0 per cent of the purchase money or £2,000.00 whichever shall be the greater shall be paid to Barnard Marcus, The Glassmills, Ground
floor office, 322b King Street, London, W6 0AX. (”the Auctioneers”) immediately after the sale as Agents for the Vendor.
(ii) The Purchaser warrants that any cheque or cheques tendered by him by way of deposit will be met upon first presentation and the drawer expressly waives
the right to notices of dishonour notwithstanding that the cheque or cheques may be represented.
7. (i) If a cheque given for the payment of the deposit is dishonoured in presentation or is not met when first presented or if the successful bidder fails to pay
such deposit or fails to sign a Memorandum of the Contract immediately following the Auction the Vendor shall be entitled (but shall not be bound) to
treat such dishonour or failure as a repudiation of the Contract and rescind the Contract but without prejudice to the Vendors right to claim the payment of
this deposit against the successful bidder and or damages for repudiation of Contract.
(ii) For the avoidance of doubt the Contract for the sale of each Lot shall be concluded upon the Auctioneer knocking down the Lot to the Purchaser and
neither the payment of the deposit by the Purchaser nor the signing of the Memorandum of the Contract by the Purchaser shall be preconditions of the
Contract.
(iii) For the further avoidance of doubt, no proceedings brought by Barnard Marcus upon a cheque which is dishonoured shall constitute a waiver of
repudiation nor an election by the Vendor to treat the failure to pay a deposit as a repudiation.
8. (i) The tenure of the property and the estate or interests sold are as stated in the Particulars and/or Special Conditions. In the case of land where the title is
registered at H,M. Land Registry this title shall be deduced and consist of a Copy of the Entries on the Register and of the Title Plan. In the case of land
where the Title is not so registered it shall be deduced as provided by the Special Conditions.
(ii) Where by the Special Conditions of Sale any property is sold subject to any lease, covenant, restriction or other matter a copy of the said lease, covenant,
restriction or other matter may unless otherwise provided in the Special Conditions be inspected at the said office of the Solicitors for the Vendor and Auctioneer
at any time during normal office hours and in the sale room immediately before the sale.
(iii) Where there is any inconsistency arising out of the Particulars and/or Special Conditions as to whether vacant possession is to be given on Completion it
shall be assumed that vacant possession is not to be given on Completion.
9. (i) The Completion of the purchase shall take place at the office of the Vendor’s Solicitors or wherever they shall so direct four weeks from the date of the
Contract or at the option of the Vendor (in the case where the property is sold subject to and with the benefit of a weekly tenancy or tenancies), the
Completion Date shall be the first Monday or other rent payment day falling after the fourth week from the date of such Contract.
(ii) The Vendor shall not be required to convey the whole or any part of the Property other than to the Purchaser and shall not be required to execute a Conveyance
other than of the whole of the Property, or at a price different, from that stated in the Contract.
10. (i) Whilst reasonable care has been taken by or on behalf of the Vendor to ensure that all statements in the Particulars and the Conditions of Sale are
accurate, the Purchaser should take all necessary steps to verify the accuracy of all such statements by inspection, survey and professional advice. The
Purchaser confirms that he will make Local Land Charges Searches and Enquiries prior to the auction and the Purchaser further confirms that he has inspected,
surveyed and taken all professional advice (as may be appropriate) prior to the auction.
(ii) Notwithstanding anything in the Special and/or General Conditions or in the Particulars, no representation, warranty or condition shall be made or implied
either as to the state or condition of the property or any part thereof or as to whether the same is subject to any resolution, scheme, development or order,
improvement line, improvement notice or scheme, sanitary notice or notices or intimation notices or notices or proposals underthe proposals or schemes except
where the Auctioneer has expressly made or given such a representation, warranty or condition without any caveat or other condition.
(iii) No objection or requisition shall be raised as to the permitted user of the property for the purposes of the Town and Country Planning Act 1990 or any
Act or Acts for the time being amending or replacing the same or otherwise relating to town and country planning or as to any other matters arising under
the said Acts or any Rules or Regulations made or arising thereunder and the Purchaser shall take the properties as they are under the said Acts, Rules and
Regulations.
(iv) Each Purchaser shall satisfy himself of ownership of electric wiring and fittings and/or gas fittings and installations in the property sold as in some cases the same
are on hire or hire purchase from the Supply Companies.
11. The property is sold subject to:-
(i) All local land charges (subject to the provisions of General Condition 11(ii) whether registered or not prior to the date of Contract and all matters capable
of registration as local land charges whether or not actually so registered.
(ii) All notices served and orders demands proposals or requirements made by any local public or other competent authority whether before or after the date
of Contract.
(iii) All actual or proposed orders directions notices or charges restrictions conditions agreements or other matters arising under the Town and Country Planning
Act 1990 or any statutory modification or re-enactment thereof for the time being in force.
(iv) All legal easements benefitting the owners or occupiers of other property and, in the event of Title to the property being reg-istered, any of the makers
which are by Section 70(1) of the Land Registration Act 1925 declared to be overriding interests.
(v) All matters which would have been revealed at the date of Contract by such searches, enquiries and inspections as a prudent purchaser would make but
provided that the Vendor and the Auctioneer should take reasonable care to describe the property and matters affecting the property.
12. (i) Each Purchaser should undertake all reasonable and necessary inspections, surveys and enquiries as to the state of repair and condition of the property and
as to any tenancies.
(ii) Each property shall, as from the date of Contract, be at the sole risk of the Purchaser.
(iii) The Vendor makes no representation that under any tenancy subject to which the Property is sold
(a) the same is contractually binding upon all parties
(b) the same is capable of being determined
(c) any Notice has been validly prepared and/or served or
(d) the rent particularised is one that is recoverable or has been paid up to the date of auction
(e) a bidder shall raise requisitions by or make enquiries by his solicitors as to any tenancies. However, the Vendor will answer any requisitions or enquiry
as to factual matters about any tenancy.
(iv) Nothing shall be incorporated in any sale either collaterally or indirectly whether by way of condition, warranty or representation as to whether, in the case of
property sold subject to any tenancy or tenancies, there are subsisting any sub-tenancies or similar such occupation and whether or not any such shall be
disclosed at or before the Auction the Purchaser shall be deemed to purchase with full knowledge of any such sub-tenancy or sub-tenancies or occupation that
there may be whether or not he shall have enquired of the Auctioneers or have inspected and no objection shall be taken or requisition made on account
thereof.
13. The Vendor shall not be required to reconcile differences between the description of any Lot and the property sold or furnish evidence of any change in the
numbering of any property and shall not be bound to show any Title to boundary division walls or fences or the ownership thereof. However, the Vendor and
the Auctioneer will take reasonable care when describing the property.
14. The Misrepresentation Act 1967:
(i) All statements contained in the foregoing Particulars are made (so far as the law allows) without responsibility on the part of the Auctioneers or the Vendor
and are statements of opinion and are not to be taken as or implying a statement or representation of fact and any intending Purchaser must satisfy himself by
inspection or otherwise as to the correctness of each statement contained in the Particulars. However, the Vendor and the Auctioneer will take reasonable care
when describing the property.
(ii) The Vendor does not make or give any implied representation or warranty about the property and the Vendor is only taken to make or give any
representation or warranty about the property if that representation or warranty is expressly stated by the Vendor (or by the Auctioneer on the Vendor’s
behalf).
15. The Purchaser hereby expressly agrees that the interest (if any) earned upon any deposit (or part thereof) paid by him shall be applied for the benefit of the
Auctioneers and this condition shall constitute a separate agreement between the Purchaser and the Auctioneer.
16. These General Conditions will only apply to a Property outside England and Wales where the Conditions do not conflict with the laws of the country or province
in which the land is situate.

INTERPRETATION
1 In these Conditions of Sale and the Special Conditions of Sale:-
1.1 The following expressions shall (unless the context requires otherwise) have the same meaning hereinafter assigned to them that is to say:-
1.1.1 “the Standard Conditions of Sale” means the Standard Conditions of Sale (Fourth Edition)
1.1.2 “the Special Conditions” means the Special Conditions of Sale hereinafter appearing relating to the Property including any terms and conditions relating to
the Property referred to in any addendum to these conditions made available for inspection by the Auctioneer (whether or not actually inspected by the
Buyer)
1.1.3 “the Property” means the Property described in the Special Conditions
1.1.4 “the Auctioneer” means the Auctioneer described in the Special Conditions
1.1.5 “the Seller” means Santander whose registered office is situated at 2 Triton Square, Regent’s Place, London NW1 3AN.
1.2 “Buyer” shall include the person who signs the attached form of Memorandum on behalf of a company or firm and who shall be bound by these Conditions
and Memorandum in his personal capacity in the event of failure by such company or firm to comply with this agreement
1.3 The Clause headings appearing herein are for convenience of reference only and shall not form part of nor affect construction or interpretation of these
Conditions of Sale.
CONDITIONS OF SALE
2 These General Conditions of Sale incorporate the Standard Conditions of Sale so far as they are not varied hereby or inconsistent herewith. The Property is
also sold subject to the Special Conditions. Where there is a conflict the Special Conditions shall prevail.
2.1 The following Standard Conditions of Sale shall not have effect:- Conditions 2.2.6., 3.1.3.,4.1,. 4.4.2., 4.6.5., 5.1.1, 5.1.2, 6.1.1., 6.3.1., 6.3.2., 6.3.5., 7.1.2.,
7.3.3., 8.1.3., 8.3.3. and 10.
2.2 The Standard Conditions of Sale shall have effect with the following amendments:-
2.2.1 The Contract rate shall be 10% above the base rate of Barclays Bank PLC from time to time
2.2.2 The maximum time limit to perform any step in Standard Condition 4.3.1. shall be 3 working days. The same time limit applies to the Buyer’s right to raise
requisitions that the Seller has supplied incomplete evidence to its title.
2.2.3 Standard Condition 6.8.2. shall be varied by substituting the word “Ten” with the word “Five”.
2.2.4 The Buyer will effect insurance cover against all risks from the date hereof unless the property is leasehold and the property is insured by the landlord or
another third party
THE AUCTION
3.1 The Sale is subject to a reserve price unless otherwise stated.
3.2 The Auctioneer may at his absolute discretion refuse any bid and regulate the bidding in any manner the Auctioneer wishes.
3.3 If there is a dispute about a bid the Auctioneer may resolve the dispute or re-start the auction at the last undisputed bid. The Auctioneer’s decision in the
event of a dispute is final.
3.4.1 For the avoidance of doubt this contract shall become binding when the Auctioneer knocks down the Property to the Buyer. The Buyer shall be required to
pay a deposit and sign a Memorandum of Sale stating his name and address or the name and registered address of the person or limited company on whose
behalf he is acting save that signature of such Memorandum of Sale or payment of a deposit shall not be a pre-condition of entering into a binding contract.
A letter of authority will be required to be produced to the Auctioneer when signing on behalf of a Buyer.
3.4.2 If the Buyer refuses to sign the Memorandum of Sale or pay a deposit the Auctioneer reserves the right to re-offer the property for sale as if it had not been
knocked down or at the Auctioneer’s option sign the Memorandum of Sale on behalf of the Buyer.
3.5 The Auctioneer reserves the right to sell the Property in separate lots.
3.6 The Auctioneer or some other person authorised by the Auctioneer may bid both up to and over the reserved price.
DEPOSIT
4.1 A deposit of ten per cent of the purchase price shall be paid to the Auctioneer as agent for the Seller. A minimum deposit of £2000 shall be paid.
4.2 In the event that any cheque given as the Deposit shall be dishonoured upon presentation or the Buyer fails to pay the Deposit on the date hereof then
without notice the Seller shall if it so chooses have the right to deem the conduct of such Buyer as repudiation of the Contract between the Buyer and the
Seller and the Seller may resell without notice and/or take steps which may be available to it as a consequence of the Buyer’s breach but without prejudice
to any claims it may have against the Buyer for breach of the Contract between the parties or otherwise.

DEDUCING TITLE
5.1 “The evidence of registered title is :-
official copies of the register and of any title plan and copies or abstracts of any documents or any part thereof noted on the register so far as they respectively
affect the land to be dealt with (except charges or incumbrances registered or protected on the register which are to be discharged or overridden at or prior
to completion) provided that nothing shall give the Buyer a right to a copy or abstract of a settlement filed at the Land Registry; and copies abstracts and
evidence (if any) in respect of any subsisting rights and interests appurtenant to the registered land as to which the register is not conclusive, and of any
matters excepted from the effect of registration as the Buyer would have been entitled to if the land had not been registered; and additionally in the case of
a leasehold property with a copy of the lease.
5.2 Where the Special Conditions state the title to be unregistered title shall commence with those documents specified in the Special Conditions.
EXISTING INCUMBRANCES
6.1 Where the Special Conditions state the title to be registered the Property is sold subject to and with the benefit of (as appropriate) such of the entries in
theRegister of the Title Number referred to in the Special Conditions as are not capable of being overreached by a sale by the Seller. A copy of the Official
copy of the Registers and title plan having been made available for inspection at the offices of the Seller’s Conveyancers and at the offices of the Auctioneer
the Buyer shall be deemed to purchase with full knowledge of the contents thereof whether he has inspected the same or not and notwithstanding any
incomplete or inaccurate statements thereof in the Special Conditions and shall raise no requisition or objection with regard thereto.
6.2 Where the Special Conditions state the title to be unregistered the Property is sold and will be conveyed subject to and with the benefit of (as appropriate)
any rights easements exceptions reservations agreements declarations covenants conditions and other matters contained mentioned or referred to in the
documents specified in the Special Conditions. A copy or abstract of such rights easements exceptions reservations agreements declarations covenants
conditions and other matters having been made available for inspection at the offices of the Seller’s Conveyancers and at the offices of the Auctioneer the
Buyer shall be deemed to purchase with full knowledge of the contents thereof whether he has inspected the same or not and notwithstanding any
incomplete or inaccurate statement thereof in the Special Conditions and shall raise no requisition or objection with regard thereto.
DOCUMENTS REFERRED TO
7.1 Where any document is referred to in the Special Conditions copies or abstracts thereof may be inspected at the office of the Seller’s Conveyancers and at
the office of the Auctioneer (or may be supplied at the discretion of the Seller’s Conveyancers and on each and every occasion the same are so supplied only
on payment of their copying charges) prior to the date of the sale and whether or not the Buyer has inspected the same the Buyer shall be deemed to purchase
with full knowledge thereof and shall raise no objection or requisition with regard thereto.
7.2 A copy of the Standard Conditions of Sale having been made available for inspection at the office of the Seller’s Conveyancers and at the office of the
Auctioneer the Buyer shall be deemed to purchase with full knowledge of the contents thereof (whether he has inspected the same or not).
CAPACITY OF SELLER
8 Subject to the terms of these General Conditions of Sale, the Standard Conditions of Subject Sale and the Special Conditions of Sale the Seller is to transfer
the Property with limited title guarantee.
POSSESSION
9 Vacant possession of the Property shall be given to the Buyer on completion except where stated in the Special Conditions. The Seller shall not clear any items
from the property and vacant possession shall be deemed to be given notwithstanding the presence of such items.
COMPLETION
10.1 The completion date (“the Completion Date”) shall be the date specified in the Auctioneer’s Memorandum of Sale signed by or on behalf of the Buyer or if
none is specified, the Completion Date shall be 14 days from the date hereof or earlier by arrangement between the parties at or before 1.00 pm and if
completion shall take place after that time completion shall be deemed to have taken place on the next working day. Completion shall not be deemed to
have taken place until the funds are received by the Seller’s Conveyancers bank. Standard Conditions 6.1.2. and 6.1.3. shall be varied accordingly.
10.2 If completion would otherwise take place on a Public Holiday under the provisions of this clause completion shall take place on the working day immediately
before such Public Holiday.
10.3 The Seller’s Conveyancers shall provide an executed engrossed Transfer in the form of the Land Registry TR2, with limited title guarantee, on completion. The
Buyers shall pay the Sellers fees of £30 plus VAT. It is the responsibility of the Buyer’s Conveyancers to furnish the Seller’s Conveyancers with the Buyer’s full
names in sufficient time for the Transfer to be executed prior to completion.
10.4 The Seller shall be entitled to decline to transfer the property to any person other than the Buyer.
10.5 On the Completion Date the Buyer shall in addition to the balance of the purchase monies and any other sums due to the Seller together with interest thereon
pay any fees disbursed by the Seller in respect of the local search and any other searches or documentswhich have been supplied to the Buyer.
PLANNING PUBLIC RIGHTS LOCAL LAND CHARGES ETC
11.1 The Property is sold subject to all matters registered or registerable (whether registered or not) in any Local Land Charges Register and the requirements orders
notices proposals demands and requests of any Public or Local Authority which affect or relate to the Property whether arising before or after the date hereof
and all the financial and other restrictions liabilities and obligations arising therefrom.
11.2 For the purpose of Section 6(2)(a) of the Law of Property (Miscellaneous Provisions) Act 1994 all matters recorded in registers open to public inspection are
to be considered within the knowledge of the Buyer.

PROPERTY
12.1 If the Property is subject to the payment of rent, chief rent, ground rent, service charge, insurance premium or any other sums properly payable by the Seller
whether under the lease of the Property (“the Lease”) or howsoever arising the Seller shall use reasonable endeavours to obtain details of any such sums prior
to the Completion Date and will deliver to the Buyer such receipts acknowledgements or accounts as the Seller is reasonably able to obtain and the Seller
shall be responsible for any such sums which relate to a period prior to the Completion Date provided that demands for such sums are received by the Seller
prior to the Completion Date BUT IT IS HEREBY AGREED (subject to paragraph 12.2 of this condition) that the Seller shall not be responsible for any sums for
which demands are received after the Completion Date whether or not they relate to a period prior to the Completion Date. The Buyer shall not be entitled
to delay completion on the grounds that the Seller’s Conveyancers are unable to produce a clear ground rent receipt.
12.2 Where interim service charge payments are paid on account under the terms of the Lease and final accounts are made up after the end of an accounting
period and it is anticipated that there shall be a deficit or a surplus in the account giving rise to a liability for excess service charge or an entitlement to a credit
on the account (as the case may be) then an apportionment shall be made according to the best estimate available.
12.3 Any apportionment made under paragraphs 12.1. and 12.2. of this condition shall be final and binding upon the parties (and if no apportionment is made
it shall be deemed to be an apportionment for the purposes of this condition) and the Buyer shall indemnify the Seller in respect of all proceedings actions
claims demands and other liability (whether arising before or after completion) for the sums referred to in this condition and all other obligations whatsoever
arising in respect of or in connection with the Property and whether arising under the Lease or otherwise.
12.4 All apportionments are to be made with effect from the Completion Date.
12.5 Any sums paid in advance in respect of future work not commenced by the Completion Date or which are held in a general sinking fund shall be reimbursed
to the Seller on completion and any sums to be paid after the Completion Date shall be the responsibility of the Buyer.
12.6 If the Licence to Assign is not in the possession of the Seller’s Conveyancers at the Completion Date then completion shall take place within ten working days
after the Seller’s Conveyancers have notified the Buyer’s Conveyancers in writing that the Licence to Assign is in their possession. If the Licence to Assign has
not come into the possession of the Seller’s Conveyancers within two months of the Completion Date either party shall be entitled to rescind the Contract
by serving notice in writing on the other party or their Conveyancers and the Seller shall (whether the Licence to Assign is not in the possession of the Seller’s
Conveyancers for any reason other than due to the default of the Seller or the Seller’s Conveyancers or the party under the Lease entitled to grant the Licence
to Assign) be entitled to forfeit and keep the deposit and accrued interest.
12.7 The Buyer shall enter into any Licence to Assign Deed of Covenant or any other document which may be required by any term of the Lease under which the
property is held to be entered into by any proposed Assignee or Transferee with any party to the Lease or as referred to therein and all costs of whatsoever
nature in complying with such requirements shall be the responsibility of the Buyer.
12.8 No express or implied covenant is given by the Seller to the Buyer that there is no subsisting breach of any conditions or tenant’s obligation contained within
the Lease and the Transfer to the Buyer shall contain an acknowledgement on behalf of the Buyer to this effect.
12.9 The Buyer shall within five working days of the date hereof supply to the Seller’s Conveyancers such references and details of referees as may be required to
enable the Seller to apply for a Licence to Assign where this is necessary.
COSTS UPON SERVICE OF NOTICE TO COMPLETE
13 In the event that due to the Buyer’s failure to complete on the Completion Date the Seller’s Conveyancers serve a Notice to Complete under Standard
Condition 6.8. the Buyer shall pay on completion (in addition to the balance of purchase monies and any other sums due to the Seller together with interest
thereon) the sum of £125.00 plus VAT towards the Seller’s legal costs of and incidental to the preparation and service of the said Notice and recalculation of
the amount payable on completion.
FURTHER ASSURANCE
14.1 The covenant implied by paragraph (1)(b) of Section 2 of the Law of Property (Miscellaneous Provisions) Act 1994 is hereby limited so that any costs incurred
by the Seller in complying with the said paragraph shall be the responsibility of the Buyer.
14.2 The words “at his own cost” in Section 2(1)(b) of the Law of Property (Miscellaneous Provisions) Act 1994 are replaced by the words “at the Buyer’s cost”.
DISCHARGE OF CONTRACT
15 If the Seller shall become free to resell the Property whether by reason of the discharge or recission of this contract or otherwise the Buyer shall forthwith on
demand (if not before) effect the cancellation of any entry against the Property with regard to this contract which may have been made whether under the
Land Charges Act 1972 and/or in the Registers of Title referred to in the Special Conditions of Sale pursuant to the Land Registration Act 1925 (as the case
may be) and shall indemnify the Seller against all losses or expenses occasioned by a failure to effect such cancellation.
MISREPRESENTATION
16 It is hereby agreed between the parties hereto that this agreement constitutes the entire agreement between the parties hereto for the sale and purchase of
the Property and that it may only be varied or modified in writing and that no representation warranty or statement whether written oral or implied hereto
made by or on behalf of one party to the other shall be capable of being treated as forming part of this agreement or as an inducement by the Seller to the
Buyer to enter into this agreement or as a collateral warranty in relation to the subject matter hereof or the grounds upon which the Buyer shall base any
claim against the Seller but such agreement and acknowledgement shall not extend to the written replies of the Seller’s Conveyancers to any enquiries before
contract raised by the Buyer’s Conveyancers.
SALE BY PRIVATE TREATY
17.1 The Seller reserves the right to withdraw the Property from sale at any time before the auction (whether on the scheduled date hereof or before) or before
the same is actually sold in auction.
17.2 The Seller reserves the right to sell any part of the Property by private treaty before the auction.
17.3 The Seller reserves the right to alter or add to the particulars of sale relating to the Property and the Special Conditions at any time prior to the sale.

NOTICES TO PROSPECTIVE BUYERS
18. The Buyer shall be deemed to have fully considered and to have full knowledge of and to have accepted the items set out at the front of this catalogue and
described “notices to prospective purchaser”.
18.2 The Buyer hereby declares that he is not a staff member of the Seller any subsidiaries or the Auctioneer or the Seller’s Conveyancers or the agents selling the
Property nor related to such either by blood or by marriage.
18.3 Delivery of a Memorandum of Sale for the Property signed for or on behalf of the Buyer together with a draft and/or cheque in respect of the deposit for the
Property shall constitute a Warranty and undertaking by the Buyer and the persons (if any) signing on behalf of the Buyer
18.3.1 That the persons (if any) so signing on behalf of the Buyer have the express authority so to sign and to bind the Buyer.
18.3.2 That the cheque and/or draft will be paid on first presentation and such payment will be made within not more than five days after presentation.
18.3.3 That such delivery is unconditional.
FIXTURES AND FITTINGS
19 The following are expressly excluded from the sale:-
19.1 Chattels
19.2 Any fixtures and fittings subject to any lien or hire purchase loan or credit agreement.
19.3 The Seller does not own any chattels that may be at the property. Any such chattels may be removed before completion, but not by the Buyer. If there are
any such chattels in the property at completion, the Seller does not purport to sell them and does not give any title guarantee in respect of them. The Seller,
however, shall not be liable to remove them before completion.
19.4 Any security shuttering fixed to the exterior or interior of the property is not the property of the Seller and is not included in the sale.
VAT
20 Except where stated otherwise in the Special Conditions of Sale Value Added Tax will not be chargeable on the amount of the purchase price.
RIGHTS OF THE AUCTIONEER
21 The Auctioneer shall be under no financial liability in respect of any matters rising out of the auction of the Particulars of Sale or in the Conditions of Sale.
No claims shall be made against the Auctioneer by the Buyer in respect of any loss damage or claims suffered by or made against the Buyer reason of the
Buyer entering into the contract to purchase or acquire any interest in the Property.
