Title of Report Review of Standing Orders
Executive Standing Orders and Standing Financial Instructions are
Summary reviewed on an annual basis by the Trust Board. Any
changes are proposed through the Audit Committee.
Actions The Board is asked to consider and approve the
requested amendments proposed to the Standing Orders and
SFIs. The amendments were agreed by the Audit
Committee at its meeting on 23 July 2009.

Standing Financial Instructions is a matter reserved for the Board.
Key issues / Risks:
The changes proposed are noted on the attached paper and can be
summarised as:
Incorporating changes to the Remuneration Committee terms of reference
agreed by the Board in September 2008 into the Standing Orders;
Reflecting the role of the Board Secretary throughout the Standing Orders
and SFIs;
Removing the need to nominate a Non-Executive Director to be
responsible to the Board for matters involving fraud and corruption
(Secretary of State direction was rescinded in 2004);
Changes to authority levels for appointing staff and other HR issues;
Reflecting Freedom of Information as an issue in its own right;
Clearly specifying managers permitted to open tenders;
Amendments to revenue expenditure limits;
Amendments to expenditure authority levels for charitable funds (as
agreed by the Endowment Committee at its last meeting);
Amendments to tender limits;
Changes to reflect the role of Clinical Directors arising from “Next Steps”;
Amendments to include references to “partnerships” to satisfy the
requirements of ALE level 4;
General changes to update terminology / titles / grammatical errors /
changes in legislation.
Resource implications:
Changes to the financial authority levels will need to be communicated in
terms of maintenance of overall control within allocated budgets to avoid
incremental expenditure increases.
