Tvornica dalekovodnih stubova (TDS) Sarajevo was established with the same name as is used
today in 1953 as a result of the Energoinvest d.d. Business Strategy.

 Location
TDS is located in the city industrial area, close to the Sarajevo International Airport, on the
large, fenced, flat area of 32,605 square meters, north of the main road that connects Sarajevo
and Ilidža.

 Assortment of Products and Services
TDS has three main products/services:

        Production of lattice steel constructions such as transmission towers, transmission
         pylons for railways and tram lines, lamp posts, telecommunication poles, and power
         transformer poles.
        Hot zinc plating in an oven tank (length: 9.30 m; width: 2.20 m; and depth: 1.50 m)
         with a capacity of 15,000 to 18,000 tons per year.
        Metal processing to order – lathe operations, welding and deformation.
Agency for Privatization in the Federation of Bosnia and Herzegovina

TDS adjusted its business activities to meet the requirements of ISO 9002:1994 standard,
which was confirmed by the appropriate certificate in 1998 issued by Lloyd's Register Quality
Assurance Limited. In October 2004 TDS was certified in accordance with BAS EN ISO
9001:2000.

 Market and Customers
TDS manufactures elements for transmission towers for foreign customers; mainly to
implement contracts signed by Energoinvest d.d. Main customers are from Libya, Albania,
Croatia, Serbia and Montenegro and Macedonia.

Local market is mainly covered through the arrangements with JP Elektroprivreda BiH and
Energoinvest d.d. There is a realistic opportunity for growth and local market expansion,
especially in the field of hot zinc plating anti-corrosive protection.
In hot dip plating, TDS attracts different market segments ranging from small individual
customers to large companies.

TDS is a company with a significant potential for growth and profit increase. The fact that the
Company faced many obstacles, but still continued its business activities, illustrates
determination and entrepreneurial capabilities of the Company’s management and employees.

 Real Property
TDS has in its possession three production halls with total space of 4,822 m2, an office and
administrative building of 2,000 m2 and 32,605 m2 of land. For more details regarding the TDS
real property, please refer to Annex II.

 Workforce
TDS has 231 employees, of which 12 have university or college (i.e. post secondary)
education.

 Ownership Structure
The share capital of the Company totaling KM 12,513,063 is established based on the
Agency’s for Privatization in the Federation of BiH Decision on the Approval of the
Privatization Program and the Opening Balance Sheet as of 31 December 1999.

Thirty three percent of the capital is privatized through Public Offering of Shares. The Agency
for Privatization issued the approval for the registration of the effected privatization.

Based on the proposal by the Supervisory Board, the TDS Shareholders Assembly made a
decision on June 29, 2004 to decrease the share capital in order to cover the loss for 2000, 2001
and 2002. The Securities Commission of the Federation of BiH on November 23, 2004 issued a
decision on the approval of the share capital decrease. Consequently, the share capital totals
KM 10,610,843.80 after the decrease, divided in 1,001,023 ordinary shares with the nominal
value of KM 10.60 per share.

The amount and the ownership structure of the share capital, after previous privatization and
the share capital decrease are shown in the following table.

This International Open Tender offers 67% of the Company’s total share capital for sale.
