                                                                 Amendment to
                                   American Airlines, Inc. US Canada Based Commission and Fare Agreement




This Amendment to American Airlines, Inc. US Canada Based Commission and Fare Agreement (this “Amendment”) is entered into effect as of
September 3, 2010 by and between American Airlines, Inc., a Delaware corporation having its principal place of business at 4333 Amon Carter
Boulevard, MD 5325 HDQ1, Fort Worth, Texas 76155 (“American”), and J & H INVESTMENT CORP having its principal place of business at, 6815
196TH ST SW, SUITE C LYNNWOOD, WA 98036 (“Contractor”).

WHEREAS, American and Contractor are parties to that certain American Airlines, Inc. US Canada Based Commission and Fare Agreement, dated
effective as of January 1, 2009 (“the Agreement”); and

WHEREAS, the parties desire to amend the Agreement upon the terms and subject to the conditions of this Amendment;

NOW THEREFORE, in consideration of the mutual covenants and promises in this Amendment, the parties hereto agree as follows:

The following incentives, which are described in detail in Part III – Attachment(s), are hereby amended and attached hereto:

     LATIN AMERICA COMMISSION ATTACHMENT




1.   This Attachment is effective September 3, 2010.

2.   Contractor, on behalf of itself and its Sales Outlets, acknowledges that it has read, understands and agrees to be bound by this Amendment,
     including all Exhibits and the Attachments, which are attached hereto and incorporated herein by reference. The following Attachments shall
     replace and supersede any prior agreement between the parties that cover the US-Canada point of sale based international upfront commissions,
     and any such prior agreements shall be terminated on the valid effective date of this Amendment. Except for the modifications expressly set forth
     in this Amendment and attached hereto, all provisions of the Agreement will remain unchanged and in full force and effect unless stated otherwise
     within this Amendment. No Commission shall be payable under both this Agreement and any such prior upfront commission agreement for the
     same ticketing or travel by a Sales Outlet. To confirm Contractor‟s agreement with the terms and conditions of this Agreement, Contractor shall
     either (i) sign this Amendment and return an executed copy to American, or (ii) commence deducting Commissions as contemplated by the terms
     of this Agreement. NOTWITHSTANDING THE ABOVE, CONTRACTOR‟S OR ANY SALES OUTLET‟S FIRST DEDUCTION OF ANY UPFRONT
     COMMISSION OR USE OF A SPECIAL FARE CONTEMPLATED BY THIS AGREEMENT SHALL BE DEEMED CONTRACTOR‟S ACCEPTANCE
     AND AGREEMENT TO THE TERMS AND CONDITIONS OF THIS AGREEMENT.

                                         LATIN AMERICA/EL SALVADOR COMMISSION ATTACHMENT TO
                                                     US-CANADA BASED COMMISSION
                                                          AND FARE AGREEMENT

This Attachment shall be valid for tickets issued on or after September 3, 2010 until and including March 31, 2011.

1. UPFRONT COMMISSION(S). American shall allow Contractor‟s Authorized Sales Outlets to deduct the following Upfront Commission(s) when
selling travel on AA to or from Latin America. All tickets must have a point of sale in North America to qualify for the Upfront Commissions.

Tickets issued for which a Commission is taken under a section of this Attachment shall not be eligible for discounts or additional commission payment
provided by American (i) under any other section of this Attachment or any other Attachment to this Agreement or (ii) under other types of programs or
agreements, including but not limited to, corporate travel or other upfront agreements.

A. All Travel on AA
          A percent Upfront Commission („‟Standard Routing Commission‟‟) can be deducted on the entire ticket when all travel on the entire ticket is
          with AA as the Marketing Carrier and Operating Carrier, provided that all applicable conditions and rules are met, including the following:

               1) For Standard Gateway Routing:

                    (i) Tickets must originally be issued by Authorized Sales Outlets for travel originating in North America and contain Latin America
                    Segment(s) to/from Latin America. AA must be the Marketing Carrier and Operating Carrier for all travel. If commissions and/or
                    destinations to Latin America (including Mexico) are combined, the lowest commission level shall apply to the entire
                    ticket.

                    (ii) Travel must originally be booked by Authorized Sales Outlets from the published Fare Class, and including the Standard
                    Gateway Routing, set forth below. The entire itinerary set forth on the ticket must be eligible for the Commission in order for the
                    Authorized Sales Outlets to take the Commission.

             2) For Special Gateway Routing:

                  (i) Tickets must originally be issued by Authorized Sales Outlets for travel originating in El Salvador to California, Nevada,
                  Oregon, Washington, Utah or Vancouver, BC (Canada). Travel must be via nonstop service El Salvador (SAL) to Los Angeles,
                  CA (LAX). AA must be the Marketing Carrier and Operating Carrier for all travel.

                  (ii) Travel must originally be booked by Authorized Sales Outlets from the published Fare Class, and including the Standard
                  Gateway Routing, set forth below. The entire itinerary set forth on the ticket must be eligible for the Commission in order for the
                  Authorized Sales Outlets to take the Commission.

B. Travel on AA and Connecting to Preferred Carrier Flights


                  (i) In lieu of any ''Standard Routing Commission'', a percent Upfront Commission („‟Special Routing Commission‟‟) can be deducted
                  on the entire ticket when AA is both the Marketing Carrier and Operating Carrier on any and all of the South America Segments
                  and there is a connection in South America to a listed Preferred Carrrier for travel within or beyond South America American
                  gateway, provided that all applicable conditions and rules are met, including the following:

                  (ii) Tickets must originally be issued by Authorized Sales Outlets for travel originating in North America to points in South America
                  and up to two points beyond the American Gateway in South America;

                            (a) Routing excludes codeshare flights on the South America Segment to South America, however, codeshare flights
                            within South America marketed with the AA* code are included.

                  (iii) The entire ticket beyond the American Gateway in South America must be eligible for the Commission in order for the
                  Authorized Sales Outlets to take the Commission and issued using AA‟s validation (001) and the Operating Carrier for travel must
                  occur on a „‟Preferred Carrier‟‟. A Preferred Carrier for purposes of this Commission shall mean any oneworld® carrier and
                  including the following airlines: Gol Airlines (G3).

                  (iv) No Standard Routing Commission for the same ticket has been taken by an Authorized Sales Outlet.

                  (v) Travel on the entire itinerary must initially be booked by an Authorized Sales Outlet from the published Fare Class, and including
                  the Special Gateway Routing, set forth below. When using these Preferred Carriers to connect to or from American, you must book
                  the travel in the Preferred Carrier‟s equivalent class of service for the fare type being ticketed. For the avoidance of doubt, all valid
                  itineraries must auto-price in your GDS. Any forced fares may result in a debit memo.

C. AA Segment Commission


                   (i) In lieu of any ''Standard Routing Commission'' or ''Special Routing Commission'', a segment bonus dollar amount („‟Segment
                   Commission‟‟) can be deducted from the ticket for each Latin America segment where American is the Marketing Carrier and
                   Operating Carrier, provided all applicable conditions and rules are met, including the following:

                   (ii) Tickets must originally be issued by Authorized Sales Outlets for travel originating in North America to points in Latin America.
                   Travel must be via an American Gateway in Central America or South America and contain connecting points beyond the
                   American Gateway in Latin America, provided that no more than three non AA Segments are included in any ticket;

                             (a) All of the permitted non-AA Segments must be limited to within Central America, South America or Mexico

                   (iii) The entire ticket must be issued using AA‟s validation (001).

                   (iv) No other commission for the same ticket has been taken by an Authorized Sales Outlet.

                   (v) Travel on the entire itinerary must initially be booked by an Authorized Sales Outlet from the published Fare Basis Codes
                   beginning with the Fare Classes, and including the Special Gateway Routing, set forth below. When using other carriers to connect
                   to or from American, you must book the travel in the other carrier‟s equivalent class of service for the fare type being ticketed. For
                   the avoidance of doubt, all valid itineraries must auto-price in your GDS. Any forced fares may result in a debit memo.

                   (vi) The Commissions below indicates the amount that an Authorized Sales Outlet may deduct before submitting the tickets to ARC
                   or IATA. Authorized Sales Outlets shall determine the applicable Commission and enter the dollar amount in the ticket commission
                   box.

         Continued eligibility for the Upfront Commission(s) above requires that for each calendar quarter covered by this Agreement, the performance
         requirements listed below under both (A) and (B) be met:

         (A) of the Authorized Sales Outlets‟ Booking Data that correspond to such quarter, a SMS of at least 100 is attained for Latin America
         Segments.

         (B) the Authorized Sales Outlets‟ combined Marketed Flown Revenue attributable to Latin America Segments exceeds US$50,000.00.
