LIVEWISE COALITION BYLAWS
ARTICLE I – NAME
The name of this organization is LiveWise. It is commonly known and will be referred to in
these bylaws as “LiveWise” or the “Coalition.” LiveWise is a regional coalition comprised of
persons and organizations in eastern Nebraska who are interested in working together to
prevent the use or abuse of alcohol, tobacco, and other drugs (ATOD).
ARTICLE II – PURPOSES
Section 1. Mission. To prevent the use or abuse of alcohol, tobacco, and other drugs
(ATOD) through collaborative planning and the leveraging of resources.
Section 2. Vision. Communities empowered to change societal norms reflecting healthy
lifestyles free from problems caused by the use of alcohol, tobacco, and other drugs.
ARTICLE III – POLICIES
Section 1. The organization shall be noncommercial, nonsectarian, and nonpartisan.
Section 2. The organization or members in their official capacities shall not, directly or
indirectly, participate or intervene in any way, including the publishing or distributing of
statements in any political campaign on behalf of, or in opposition to, any candidates for
public office; or devote more than an insubstantial part of its activities to attempting to
influence legislation by propaganda or otherwise.
Section 3. Since the organization promotes the health and welfare of children, youth, and
adults of the community, any member, including staff and volunteers, convicted of a violation
of any substance abuse and/or child protective laws shall be immediately dismissed from
the coalition.
Section 4. Code of Conduct. All members will adhere to the LiveWise Code of Ethical
Conduct (Addendum 1). Members will also comply with the Meeting Code of Conduct
(Addendum 2).
Section 5. Policy Regarding the Use of the LiveWise Name, Logo, and/or Slogans.
The goal of this policy is to make the name, logo, and slogans for LiveWise more
recognizable within the communities served. All LiveWise members are required to use the
LiveWise name, logo and slogans on materials deemed appropriate according to the
following guidelines:

a. Only sustaining members, or the organization they represent, may use the LiveWise
name, logo, and/or slogans. The list of sustaining members is maintained by the
LiveWise President.
b. Permission is given to use the LiveWise logo, without alterations for LiveWise
approved projects and/or programs.
c. Any event or activity that any sustaining member’s organization requesting to affix
the LiveWise name, logo, and/or slogan must obtain approval from the Governing
Board before doing so. A written request for permission must be submitted to the
President at least two (2) weeks in advance.
d. A sustaining member organization may identify its affiliation with LiveWise by using
the following: “[Organization’s name] is an affiliated member of LiveWise. It is up to
the member organizations to decide where placement of affiliation is appropriate.
e. Any slogan LiveWise uses may be used with or without attributing it to LiveWise. An
example, “The Power to Live Substance Free” may be used as a header or footer on
any sustaining member group’s stationary or used in a flyer with or without the
LiveWise logo and/or name.
ARTICLE IV – MEMBERSHIP AND MEETINGS
Section 1. Membership in LiveWise will be made available without regard to race, color,
creed, or national origin to any individual who subscribes to the purposes and basic policies
of LiveWise.
Section 2. Dues, if any, will be determined at the annual meeting.
Section 3. Members will not accept funding from, nor have affiliations or contractual
relationships with tobacco or alcohol companies and/or their subsidiaries or the pro-drug
legalization movement.
Section 4. Regular meetings of the coalition will be held at least quarterly.
Section 5. The sustaining members present and one elected officer shall constitute a
quorum for the transaction of business at any meeting of LiveWise.
Section 6. The annual meeting of LiveWise will be in January.
Section 7. The annual expiration date for membership in LiveWise will be January 31.
Section 8. LiveWise will have three categories of membership: New Members, Sustaining
Members and Advocate Members. All members shall have a completed membership form
(Addendum 3) on file with the President.
a. New Member:
1. Supports the mission of LiveWise, and
2. Is new to LiveWise, or
3. Is a former member whose membership has lapsed for more than one (1)
membership year, and
4. Becomes a sustaining member upon the attendance at the second regular
LiveWise meeting he/she attends.
b. Sustaining Member:

1. Supports the mission of LiveWise, and
2. Maintains an ongoing membership with LiveWise by renewing the
membership form annually, and
3. Has sustaining and ongoing voting privileges by attending a minimum of
two (2) regular LiveWise coalition meetings each year.
c. Advocate Member:
1. Supports the mission of LiveWise, and
2. Has completed a membership form, and
3. Is a supportive member who does not have voting privileges at LiveWise
meetings.
Section 9. There will be no email or proxy voting.
Section 10. For voting purposes, no more than three (3) sustaining members from the
same agency or organization can vote at any LiveWise meeting. A member’s agency or
organization is defined as the group that provides more than one-half (1/2) of that person’s
salary.
Section 11. Members will excuse themselves from votes that create a conflict of interest
either personally or related to the organization for which they are employed. Please see
Addendum 3 for the complete Conflict of Interest policy applicable to both LiveWise
members and leadership.
ARTICLE V – GOVERNANCE STRUCTURE
Section 1. Anyone holding an elected or appointed position shall be a sustaining member
of LiveWise.
Section 2. Diversity, knowledge, and/or expertise will be guiding principles when making
nominations or appointments.
Section 3. Officers of LiveWise will be:
a. President
b. Vice President
c. Secretary
d. Treasurer
Section 4. The vote shall be conducted by ballot and a majority vote shall elect. When
there is only one (1) candidate for any office that election may be held by voice vote.
Section 5. Officers shall assume their duties immediately following the annual meeting at
which they are elected and shall serve a term of one (1) year.
Section 6. There are no term limits.
Section 7. Only those who have consented to serve either in writing or are physically
present will be nominated or appointed.
Section 8. Whenever an officer or Governing Board member has a financial or personal
interest in any matter coming before the Governing Board, the affected person shall a) fully
disclose the nature of the interest and b) withdraw from discussion, lobbying, and voting on

the matter. Any transaction or vote involving a potential conflict of interest shall be approved
only when a majority of disinterested members determine that it is in the best
interest of the coalition to do so. The minutes of meetings at which such votes are taken
shall record such disclosure, abstention and rationale for approval.
Section 9. The resignation process is as follows:
a. In the case of a vacancy, notice will be served to the executive committee at least
thirty (30) days in advance.
Section 10. Vacancies will be filled as follows:
a. In the case of the vacancy in the office of the President, the Vice President shall
assume the duties of the President until a replacement is elected. The vacancy will
be announced at the next meeting.
b. In the case of the vacancy of any other officer, nominations will be accepted by the
Governing Board for fourteen (14) days following the announcement.
c. Notification of nominees will be sent out ten (10) days prior to the meeting when the
election is held.
d. Election to fill the vacancy requires a majority vote of sustaining members present.
The vote shall be by ballot. When there is only one (1) candidate for the vacancy,
the election may be by voice vote.
Section 11. Removal of any officer from LiveWise will be reviewed by the Governing Board
and referred to the general membership for action. Such removal shall require written
notification to all sustaining members at least thirty (30) days prior to the monthly meeting
where the removal will be discussed.
ARTICLE VI – DUTIES OF GOVERNING BOARD
Section 1. All officers, committee Chairpersons/ representatives, and four at large
representatives shall be sustaining members of LiveWise. The duties of the officers of the
Coalition shall include, but are not limited to, the following:
a. The President will:
1. Preside over all Coalition meetings, including the Governing Board meetings,
using Robert’s Rules of Order: Newly Revised to conduct all business.
2. Sign all contracts and agreements approved by the membership.
3. Give notice to members of meetings, or assign this responsibility.
b. The Vice President will:
1. Act as ex-officio member of all committees.
2. Require that all committee chairs submit regular reports.
3. Assume responsibility of the office in the absence of the President.
c. The Secretary will:
1. Keep minutes of all LiveWise coalition meetings and records of committee
reports.
2. Present a copy of all regular LiveWise meeting minutes.

d. Treasurer
e. Committee Chairs/ representatives will:
1. Facilitate meetings.
2. Keep or assign minutes.
3. Give notice of meetings.
4. Keep rosters of meeting attendance.
5. Communicate regularly with the executive committee.
6. Report at regular LiveWise coalition meetings.
7. Submit reports to Vice President on action of committee if not available for
Governing Board Meeting
f. Additional Board Members:
1. Support the business of the Coalition (financial, outreach)
2. Be involved in the decision-making process
3. Promote membership and build Coalition capacity
Section 2. Upon leaving office, LiveWise officers and committee chairs or representatives
shall deliver to their successors all books, records, and documents held in their possession
by virtue of their office as soon as possible.
ARTICLE VII – GOVERNING BOARD
Section 1. The LiveWise Governing Board is comprised of:
a. President
b. Vice President
c. Secretary
d. Treasurer
e. Additional Board Members
Section 2. The Governing Board may meet monthly prior to meetings to set the agenda.
This meeting may be conducted via a telephone conference call, or email. A majority of the
Governing Board shall be present for business to be conducted.
Section 3. The Governing Board shall have the authority to act on behalf of the coalition on
urgent matters of business between regular coalition meetings. Any formal action taken by
the Governing Board will be reported at and subject to approval at the next LiveWise
meeting.
Section 4. Special meetings of the Governing Board may be called by the President or
upon written request of any member of the Governing Board. All members of the Governing
Board shall be notified by telephone, fax, email, or hand-delivered written notice, regarding
the time, place, and reason for the meeting within two (2) business days.
Section 5. An Governing Board report shall be included as an agenda item at every
LiveWise meeting.

Section 6. No agency or organization shall have more than two votes when making
executive decisions.
Section 7. At large representatives will be selected by the coalition by the nomination
process. If there are more than four nominations, voting by ballot will occur at the annual
LiveWise Regional meeting in January.
ARTICLE VIII – COMMITTEES
Section 1. Standing committees shall be formed as determined by the coalition. Ad Hoc
committees will be appointed as needed by the Governing Board. Committee Chairs will be
chosen annually from within the committee. The following are the LiveWise standing
committees:
1. Outreach
2. Marketing and Promotion
3. Data and Information
Section 2. The President and/or Vice President are ex-officio members of all committees.
Section 3. Committee chairs shall be sustaining members of LiveWise.
Section 4. If a vacancy occurs in a standing committee chair, the committee will choose
another chair from within the committee.
Section 5. A quorum for any meeting is the majority of committee members present.
Section 6. Committee members will be sustaining members of LiveWise. Committees may
however include non-LiveWise members as non-voting consultants or advisors to bring
diversity, knowledge, and/or expertise.
ARTICLE IX-PERSONNEL POLICIES
From time to time when appropriate the LiveWise Coalition hire personnel to support the
work of the coalition. All personnel will ultimately be held accountable to the Governing
Board.
Section 1: Hiring for personnel positions will be handled by the Governing Board. Board
members will determine how the position will be advertised to potential applicants and how
the interview process will be conducted.
Section 2: All individuals selected to employment with LiveWise will be subject to the
organization’s Code of Conduct.
Section 3: Individuals hired by LiveWise cannot serve on the Governing Board or on
leadership roles with committees. Rather these individuals will be called on to support
standing committees when appropriate.
Section 4: The Governing Board will be responsible for conducting annual performance

reviews of LiveWise staff members. When appropriate an immediate supervisor will be part
of these efforts.
Section 5: The Governing Board will make the determination when appropriate for removal
of personnel. Such removal shall require written notification to the individual being
considered for termination, this individual will also as be given the opportunity to appear
before the Governing Board prior to the final determination of termination.
ARTICLE X – PARLIAMENTARY AUTHORITY
Section 1. The rules contained in Robert’s Rules of Order: Newly Revised will govern
meetings of LiveWise where they are not in conflict with the LiveWise bylaws, special rules
of order, or other Articles of Incorporation.
ARTICLE XI – DISSOLUTION
Section 1. Written notice shall be given to all sustaining members by email or US mail 30
days prior to a regular meeting to discuss the dissolution of the Coalition. The Coalition
members present at this meeting shall determine the continued status of the Coalition.
ARTICLE XII – AMENDMENTS
Section 1. These bylaws may be amended at a regular meeting by majority vote provided
that the following requirements have been met:
a. The amendment(s) will be proposed by the Bylaws Committee or by the Governing
Board; and
b. Amendment(s) will be mailed or emailed to the LiveWise members not less than
thirty (30) days prior to the date convening a regular meeting.
Section 2. Amended or revised bylaws take effect immediately upon their approval.

Addendum 1
LIVEWISE CODE OF ETHICAL CONDUCT
The LiveWise Code of Ethical Conduct serves as a guide for members and contains standards of
ethical behavior with colleagues, communities, and society.
Competence
LiveWise members will continually strive to improve personal competence and quality of services
delivered.
A. Members will be diligent in fulfilling professional responsibilities of rendering services
carefully, promptly, and thoroughly.
B. Members will exercise care in planning and adequately supervising any activities for which
they are responsible.
C. Members will not use techniques or offer services outside his/her competencies.
D. Members will commit themselves to ongoing learning and professional improvement
through training, etc.
Integrity
To maintain and broaden public confidence, LiveWise members will perform all professional
responsibilities with the highest sense of integrity. Integrity can accommodate the inadvertent error
and the honest difference of opinion, but cannot accommodate deceit or subordination of principle.
A. Service and the public trust will always take precedence over personal gain and advantage.
Members will present all information fairly and accurately. Members will document and
assign credit to all contributing sources used in published materials or public statements.
B. Members will not misrepresent professional qualifications or affiliations.
C. Members will not personally accept direct funding from nor have direct affiliations or
contractual relationships with tobacco or alcohol companies or their subsidiaries or the pro-
drug legalization movement.
Professional Relationships
Above all, members will do no harm to service recipients. Practices will be respectful of both
service recipients and other providers, protecting the recipient from harm and the provider from
censure.
A. Members will not exploit relationships with service recipients or colleagues.
Confidentiality
Members will safeguard all confidential information from disclosure. Such disclosure includes, but
is not limited to, verbal disclosure, unsecured maintenance of records, and recording of an activity
or presentation without appropriate permission.
Non-Discrimination
Members will not discriminate against service recipients or colleagues based on race, religion,
national origin, sex, age, sexual orientation, economic, or physical or mental disability and illness.
Members will continually broaden their understanding and acceptance of cultural and individual
differences and in doing so render services and provide information sensitive to those differences.
Advocacy
Members will support public policies and legislative issues that affect public health.

Ethical Obligations and Conflict Resolution for Community and Society
When members are aware of unethical conduct or practice on the part of an agency or another
provider, they will report the conduct in writing to the LiveWise Governing Board President.
When managed properly, conflict has the potential to deepen an understanding of an issue and
lead to constructive change. Conversely, if not managed well, conflict can be destructive.
LiveWise is dedicated to addressing health issues with alcohol, tobacco, and other drugs through
public policy, legislation, education, prevention, cessation, advocacy, and enforcement. In this
capacity, we have a major public trust to uphold. Therefore, it is essential that conflict be dealt with
in a proactive manner. Otherwise, the capacity to uphold public trust can be compromised. For
these reasons, the following conflict resolution policy is adopted:
Conflict is defined as an impasse in which a quorum of Coalition members perceives the
inability to resolve a difference.
When a conflict has been determined, the following options are available for resolution:
1. A clear statement of all differing positions will be articulated. The pros and cons of each
position will be developed (Force-Field Analysis). If, after this is accomplished and all
members agree, a vote can be taken. If a vote is not deemed appropriate, and if the
analysis of pros and cons does not lead to a consensus, the process moves to the next
level.
2. An internal mediator/facilitator will utilize strategies for constructively dealing with the
conflict. If the conflict is still not resolved, or if the conflict scenario is of such a nature that
there is little support for internal mediation, the next step in the process will be invoked.
3. The Coalition will ask an external mediator/negotiator to assist in resolving the conflict.
4. The external mediator/negotiator will bring recommendations forward to the Governing
Board.
Removal of any member of the Coalition will require a majority vote of the Membership present.
Such removal will require 30 days written notification to all sustaining members.

LIVEWISE MEETING CODE OF CONDUCT
In order for optimum progress and success during all meetings and all correspondences, including
e-mail discussions, members agree to the following common-sense guidelines and rules of civility
and good will:
1. Meetings will begin on time. Members are strongly encouraged to arrive on time and stay until
the end.
2. Come prepared for the meeting. Read your material ahead of time.
3. Keep an open mind.
4. Constructive criticism focuses on issues, not people.
5. Be courteous, allowing all members to participate in discussions.
6. Ask questions if clarification is needed.
7. Keep confidential information confidential.

Addendum 3
LIVEWISE COALITION CONFLICT OF INTEREST POLICY
Article I
Purpose
The purpose of the conflict of interest policy is to protect this tax-exempt Organization’s (LiveWise)
interest when it is contemplating entering into a transaction or arrangement that might benefit the
private interest of an officer or member of the Organization or might result in a possible excess
benefit transaction. This policy is intended to supplement but not replace any applicable state and
federal laws governing conflict of interest applicable to nonprofit and charitable organizations.
Article II
Definitions
1. Interested Person
Any director or Coalition member who has a direct or indirect financial interest, as defined
below, is an interested person.
2. Financial Interest
A person has a financial interest if the person has, directly or indirectly, through business,
investment, or family:
a. An ownership or investment interest in any entity with which the Organization has
a transaction or arrangement
b. A compensation arrangement with the Organization or with any entity or individual
with which the Organization has a transaction or arrangement, or
c. A potential ownership or investment interest in, or compensation arrangement
with, any entity or individual with which the Organization is negotiating a transaction
or arrangement
Compensation includes direct and indirect remuneration as well as gifts or favors that are
not insubstantial
A financial interest is not necessarily a conflict of interest. Under Article III, Section 2, a
person who has a financial interest may have a conflict of interest only if the appropriate
Governing Board or committee decides that a conflict of interest exists.
Article III
Procedures
1. Duty to Disclose
In connection with any actual or possibly conflict of interest, an interested person must
disclose the existence of the financial or contractual interest and be given the opportunity to
disclose all material facts to the Governing Board with delegated powers considering the
proposed transaction or arrangement.
2. Determining Whether a Conflict of Interest Exists
After disclosure of the financial or contractual interest and all material facts, and after any
discussion with the interested person, he/she shall leave the Governing Board meeting
while the determination of a conflict of interest is discussed and voted upon. The remaining
Board members shall decide if a conflict of interest exists.

3. Procedures for Addressing the Conflict of Interest
a. An interested person may make a presentation at the Governing Board meeting, but after
the presentation, he/she shall leave the meeting during the discussion of, and the vote on,
the transaction or arrangement involving the possible conflict of interest.
b. The chairperson of the Governing Board shall, if appropriate, appoint a disinterested
person or committee to investigate alternatives to the proposed transaction or arrangement.
c. After exercising due diligence, the Governing Board shall determine whether the
Organization can obtain with reasonable efforts a more advantageous transaction or
arrangement from a person or entity that would not give rise to a conflict of interest.
d. If a more advantageous transaction or arrangement is not reasonably possible under
circumstances not producing a conflict of interest, the Governing Board or committee shall
determine by a majority vote of the disinterested directors whether the transaction or
arrangement is in the Organization’s best interest, for its own benefit, and whether it is fair
and reasonable. In conformity with the above determination it shall make its decision as to
whether to enter into the transaction or arrangement.
4. Violations on the Conflicts of Interest Policy
a. If the governing board has reasonable cause to believe a member has failed to disclose
actual or possible conflicts of interest, it shall inform the member of the basis for such belief
and afford the member an opportunity to explain the alleged failure to disclose.
b. If, after hearing the member’s response and after making further investigation as
warranted by the circumstances, the governing board or committee determines the member
has failed to disclose an actual or possible conflict of interest, it shall take appropriate
disciplinary and corrective action.
Article IV
Records of Proceedings
The minutes of the governing board and all committees with board delegated powers shall contain:
a. The names of the persons who disclosed or otherwise were found to have a financial
interest in connection with an actual or possible conflict of interest, the nature of the
financial interest, any action taken to determine whether a conflict of interest was present,
and the governing board’s or committee’s decision as to whether a conflict of interest in fact
existed.
b. The names of the persons who were present for discussions and votes relating to the
transaction or arrangement, the content of the discussion, including any alternatives to the
proposed transaction or arrangement, and a record of any votes taken in connection with
the proceedings.
Article V
Compensation
a. A voting member of the Governing Board who receives compensation, directly or
indirectly, from the Organization for services is precluded from voting on matters pertaining
to that member’s compensation.
b. A voting member of any committee whose jurisdiction includes compensation matters
and who receives compensation, directly or indirectly, from the Organization for services is
precluded from voting on matters pertaining to that member’s compensation.
c. No voting member of the Governing Board or any committee who jurisdiction includes
compensation matters and who receives compensation, directly or indirectly, from the

Organization, either individually or collectively, is prohibited from providing information to
any committee regarding compensation.
Article VI
Annual Statements
Each director, principal officer and member of a committee with Governing Board delegated
powers shall annually sign a statement which affirms such person:
a. Has received a copy of the conflicts of interest policy,
b. Has read and understands the policy,
c. Has agreed to comply with the policy, and
d. Understands the Organization is charitable and in order to maintain its federal tax
exemption it must engage primarily in activities which accomplish one or more of its tax-
exempt purposes.
Article VII
Periodic Reviews
To ensure the Organization operates in a manner consistent with charitable purposes and does not
engage in activities that could jeopardize its tax-exempt status, periodic reviews shall be
conducted. The periodic reviews shall, at a minimum, include the following subjects:
a. Whether compensation arrangements and benefits are reasonable, based on competent
survey information, and the results of arm’s length bargaining.
b. Whether partnerships, joint ventures, and arrangements with management organizations
conform to the Organization’s written polices, are properly recorded, reflect reasonable
investment or payments for goods and services, further charitable purposes and do not
result in inurement, impermissible private benefit or in an excess benefit transaction.
Article VIII
Use of Outside Experts
When conducting the periodic reviews as provided for in Article VII, the Organization may, but
need not, use outside advisors. If outside experts are used, their use shall not relieve the
Governing Board of its responsibility for ensuring periodic reviews are conducted.

MEMBERSHIP COMMITMENT TO SUPPORT THE LIVEWISE MISSION AND VISION
The bylaws of LiveWise require that all members, as individuals and/or as organizations, sign a commitment
to support the mission and vision of LiveWise. Membership runs from January to the following January –
expiring at the Annual Meeting. Completion of a new membership form is required every year to sustain
membership in LiveWise.
