T PRESBYTERY OF HUDSON RIVER

TRUSTEES

The trustees of the Presbytery of Hudson River convened by conference

call at 11 AM August 7, 2008.

PRESENT: Ken Godshall (presiding), Karl Lasseter, Jim Waters, Jay

Bishop, Lynn Cordy, Peggy Howland, George Russell, Harriet Sandmeier

NOT PRESENT: Bill Mead, John Timmons

Also participating: Roland Butts, Charles Barton, Cathy Talbot, Susan

Andrews, Neal Townsend

Ken opened the meeting with prayer. He provided background regarding

the proposed sale of the Poughkeepsie Church.

Roland presented the process that has been followed within the church.

Current status is that there is an inventory underway. The church has also

been looking at potential churches as location for “nesting” the

congregation.

Charles spoke of the excitement within the church and the energies within

the partnership team.

The presbytery will receive a portion of the proceeds from the sale but not

from the church’s endowment.

Recess the trustees so BF&P could convene and review.

The trustee meeting was reconvened. Motion to approve the sale was

made and seconded.

The Presbytery of Hudson River hereby consents to the sale of the real

property described in Liber 1882 of Deeds, at page 626, as recorded in the

Dutchess County Clerk's Office on December 28, 1990 and identified as tax

grid number 131300-6161-22-152994-0000, said real property being located

at 100 Cannon Street, Poughkeepsie, New York, owned by the First

Presbyterian Church of Poughkeepsie, New York to be sold to the

Redeemed Church and Fellowship Church of God of Prophecy, pursuant to

a contract of sale dated May 19, 2008. The consent of the Presbytery of

Hudson River is conditioned upon the net proceeds of sale being disposed

of pursuant to a Letter of Understanding dated as of July 18, 2008, a copy

of which is annexed hereto.

Unanimously approved.

There being no further business to come before the Trustees, Ken

adjourned the meeting with prayer at 11:40 AM.
