                          AGREEMENT TO SELL PERSONAL PROPERTY

This Agreement to Sell Personal Property is made by and between ________________________

   WARRANTY OF MERCHANTABILITY, FITNESS OR WORKING ORDER OR CONDITION

   REASONABLE WEAR AND TEAR ACCEPTED. BY ACCEPTING THIS AGREEMENT TO
   SELL, BUYER(S) REPRESENT THAT BUYER(S) HAVE PERSONALLY INSPECTED THE
   DESCRIBED PROPERTY AND ACCEPT(S) THE PROPERTY IN "AS-IS" CONDITION.
