RE: DISTRIBUTIONS OF PROCEEDS FROM SALE OF CAPITAL ASSETS
Distributions of Proceeds from Sales. Except as provided in Section ____hereof, relating to the
liquidation of the Partnership, all Net Cash From Sales of Capital Assets, if any, shall be
distributed, from time to time as determined by a vote of [insert the required vote, for example
majority or unanimous] of the Partners, and distributed to the Partners in proportion to their
respective Partnership Interests.
