        2009     – The Cobb-Marietta Coliseum & Exhibit Hall Authority owns and operates the Cobb
        Galleria Centre, Cobb Energy Performing Arts Centre and Galleria Specialty Shops. The seven-
        member appointed Authority is a body corporate and politic created by the Georgia General
        Assembly in 1980 for the purpose of acquiring, constructing and maintaining facilities for the
        general purpose of promoting cultural growth, education and welfare.

        LET TER FROM OUR CHAIRMAN




                  2009    - While the hospitality industry in general and the Cobb Galleria Centre and
                  Cobb Energy Performing Arts Centre specifically have not been immune to the economic
                  downturn, we have taken steps to minimize the overall impact. Our sales team has been
                  tenacious in booking events, and we have taken measures to streamline our operations and
                  reduce expenses. In combination, these efforts have helped us weather this economic storm
                  and will make us stronger venues in the long term.

                  Even though we have been tested over the last year, we have not failed to recognize our
                  many accomplishments over the past 15 years. This year marks our 15th Anniversary since
                  opening the Cobb Galleria Centre, and I am extremely proud to say that we have achieved
                  15 consecutive years of profitability. I am also proud of the $2.2 billion in economic impact
                  we have had on the community in that time.

                  All of these achievements would not have been possible without an exceptional staff and
                  the visionary leadership of the Cobb-Marietta Coliseum & Exhibit Hall Authority. We are
                  most proud to have eight employees who have worked at Cobb Galleria Centre since we
                  opened our doors, and 16% of our employees have worked at the Centre for more than 10
                  years. This longevity and loyalty from the people who interact with our clients and visitors
                  every day speaks volumes to our commitment to our clients and superior customer service.


                  Our Authority, after many achievements, has never rested on its laurels and is ever forward
                  thinking. I am confident that we will emerge from these trying times stronger than ever,
                  ready to face new challenges and create new opportunities. I am energized to work with

                           2009 - The Cobb Galleria Centre celebrates its 15th anniversary this year—15 years of growth,
                           achievement, and notable economic impact.

                           When the Centre opened in 1994, it literally broke new ground in the hospitality industry,
                           combining exhibition and meeting space with a retail component adjacent to a four star hotel
                           in what was at the time considered to be a suburban area. It had promise and potential. And
                           over the years it lived up to both, attracting a long list of loyal clients—clients who believed in
                           us from the beginning, shared our vision, and grew along with us.

                           In our industry, despite proven track records, each year is like a new beginning. And 2009
                           was no exception. As you will see upon reviewing this annual report, both the Cobb Galleria
                           Centre and Cobb Energy Performing Arts Centre were significantly impacted by the downturn
                           in the economy across all levels of our business. But while actual revenues at both facilities fell

                           short of our initial projections, careful management and thoughtful oversight of our operating
                           expenses enabled us to end the year with an operating profit and a positive budget variance.


                           The hospitality industry is a proven economic driver for both Cobb County and the State of
                           Georgia. Undoubtedly, next year will have its share of challenges as well; but challenges either
                           can be viewed as overwhelming obstacles, or they can be seen as enabling opportunities.
                           Needless to say, we view them as opportunities—opportunities to revisit our overall business
                           strategies and make meaningful and constructive modifications to our day-to-day best
                           practices. Customer service and exceeding expectations will remain our top priorities.

                                 The Authority projected operating profits of $900,000 for the year. The actual
                                 operating profit realized was $1.2 million, reflecting a favorable variance of $300,000.

      Financial results for the Cobb Galleria Centre for the fiscal year 2009, which ended September 30, remained
      positive with an operating profit of $1.2 million in a very challenging economic environment. A total of
      763 events with attendance of 364,000 generated $10.4 million in operating revenues. Fiscal year 2009 is
      the fifteenth consecutive year in which the facility has generated an operating profit.

     September 30, 2009 marks the second full year of operations for the Cobb Energy Performing Arts
     Centre. A total of 224 events with attendance of 231,100 generated $5.6 million in operating revenue.
     Operating revenues fell short of budget by $270,000 as economic conditions adversely impacted all
     revenue line items.

        The Authority has entered into agreements with Cobb County and the municipalities located within the County
        in which the County and municipalities remit all or a portion of the Hotel/Motel and Liquor By The Drink
        tax collections directly to the Authority’s Bond Trustee for the servicing of the Authority’s bond debt. The
        Bond Trustee withholds the debt service from the tax collections and forwards the remaining amounts to
        the Authority. Once received, the Authority is contractually obligated to remit a percentage of the collected
        amounts back to the County and Municipalities. These amounts remitted back to the entities are reported as
        contractual expenditures.

        Intergovernmental Revenue of $10.8 million was unfavorable to budget by $200,000 or 2% and below prior year levels
        by $1.9 million or 15%. The result for the year was a net deficit after providing for Debt Service and the Cobb County
        Convention and Visitors Bureau Funding.

We made significant strides in our sustainability initiatives in 2009
in the areas of energy, recycling, water and food and beverage. As
a testament to our leadership in environmental stewardship, several
“green”-themed shows chose Cobb Galleria Centre as their home,
including the Go Green Expo, the GreenBusiness Works Expo and
the Museum of Design Atlanta (MODA) “Beyond Bricks and Sticks”
exhibit, coming in spring 2010.

In 2009 a stakeholder committee, known as the Vision Task Force, was
assembled for the purpose of reviewing, discussing and analyzing
options for redevelopment of the Galleria Specialty Shops. The Vision
Task Force brought together developers, industry business partners,
elected officials and citizens who are collaborating to evaluate
both existing uses and potential new uses that would enhance the
adjoining properties and provide a sense of place appropriate for
guests of the Cobb Galleria Centre.

            PERFORMING ARTS CENTRE —
            A REGIONAL ASSET

            The Cobb Energy Performing Arts Centre hit its stride in its
            second year of operation and secured itself as a regional
            asset. One hundred twenty-six ovation-worthy theater
            events and 98 elegant ballroom events led the Centre to
            be ranked 15th by Venues Today magazine in the list of
            “Top 100 Worldwide Theater Venues.” More than 231,100
            guests came through our doors and were served by more
            than 1,000 volunteers — from ushers to ticket-takers to
            tour guides. Our audiences continue to grow through
            the programming of our resident companies: The Atlanta
            Opera, the Atlanta Ballet and the Atlanta Broadway Series.


            The Cobb Energy Performing Arts Centre Foundation’s
            ARTSBRIDGE program was the shining star of another
            successful year. The 2008-2009 program served 50,117
            students and teachers, even more than the first year with
            even higher-quality programming.

The Cobb Energy Performing Arts Centre Foundation awarded admission subsidies to
almost 6,000 students in the free-and-reduced-price lunch program. The Foundation
continued its commitment that no child or school is turned away due to financial barriers.
The Shuler Hensley Awards For Excellence In High School Musical Theatre engaged
2,966 students and teachers involved in productions from 15 schools throughout the
region. The Shuler Awards have helped bring attention to the importance of the arts in
high schools, with wide-spread media coverage that included a one-hour, prime-time
television special on the local ABC affiliate station.
