ORIGINAL MUSIC MASTER RECORDING AND SYNCHRONIZATION LICENSE 1) We grant (THEM) and it’s Client(s), located at (THEIR ADDRESS), hereafter known as LICENSEE, the non-exclusive right, license, privilege and/or authority to use the solely owned/controlled master recording(s) and composition(s), hereafter referred to as the LICENSED WORK(S), specified in the attached Schedule A, as contained in the recordings of (YOU), and address) , hereafter known as LICENSOR, for the sole, limited and restricted purpose of using such LICENSED WORK(S) in synchronization or timed relation only in the specific production, hereafter known as the PRODUCTION, as an integral part thereof, all in accordance with the terms, conditions, and limitations hereafter set forth. Notwithstanding anything to the contrary contained in this Agreement. Producer shall acquire no rights hereunder until actual receipt by us of the applicable License fee set forth herein. 2) TITLE OF PRODUCTION: 3) TYPE OF CLEARANCE: 4) LICENSED WORK(S): 5) COMPOSER(S): 6) PUBLISHER(S): 7) ARRANGER(S)/COMPOSER(S): 8) LABEL: 9) USE: 10) TERRITORY: 11) TERM: 12) OPTIONS: 13) All rights not herein specifically granted are reserved by LICENSOR. 14) LICENSEE may not fundamentally alter any LICENSED WORK(S) except editing for time. 15) LICENSOR warrants only that it has the legal right to grant this license. If said warranty shall be breached in whole or in part with respect to the LICENSED WORK(S), LICENSOR'S liability shall be limited to repaying to LICENSEE the consideration therefore paid under this license. 16) It is understood and agreed that the right to exhibit the PRODUCTION in the Territory by means of Free Television, Basic Cable, and Pay Television, and Radio is and shall be available only to the extent the PRODUCTION is exhibited by broadcasters having the valid performance license therefore from ASCAP, BMI, or SESAC as applicable. Exhibition of the Production by broadcasters not licensed by ASCAP, BMI, or SESAC is subject to clearance of the performing rights either from us or from ASCAP, BMI, and SESAC, or from any other licensor acting for us or on our behalf. Clearance by performing rights societies in such portion of the Territory as is outside of the United States will be in accordance with their customary practices and the payment of their customary fees. (17) LICENSEE shall deliver to LICENSOR and the appropriate performance rights societies, a music cue sheet with regard to the PRODUCTION(S) upon the later of complete execution of this agreement, or within sixty (60) days of their initial broadcast of the PRODUCTION(S).

18) ASSIGNMENT – This agreement is binding upon and shall inure to the benefit of the respective successors, licensees, and/or assigns of the parties hereto. 19) BREACHES/REMEDIES – Notwithstanding anything contained in this Agreement, Licensor’s rights and remedies, in the event Licensee or its assigns, licensees or sub-licensees, materially breaches this agreement and does not cure within thirty (30) days after written notice of such breach is given to Licensee by Licensor, shall be limited to Licensor’s right, if any, to recover damages in an action at law and in no event shall Licensor be entitled by reason of any breach to enjoin, restrain or seek to enjoin or restrain the distribution or other exploitation of the Production 20) This agreement shall be interpreted under the laws of the State of (WHERE). Exclusive venue and the jurisdiction of any suit arising hereunder shall lie within the courts of (WHERE). Any correspondence shall be directed to (YOU)
LICENSEE shall indemnify, defend and hold harmless LICENSOR and Publisher, their affiliates, subsidiaries, officers, directors and employees from and against any and all claims, liabilities, damages and expenses, including attorney’s fees and expenses arising out of or in connection with the breach or alleged breach of any representation and warranty made by LICENSEE hereunder. These indemnity obligations shall survive the expiration or termination of this Agreement.
22) LICENSOR shall indemnify, defend and hold harmless LICENSEE, their affiliates, subsidiaries, officers, directors and employees from and against any and all claims, liabilities, damages and expenses, including attorney’s fees and expenses, arising out of or in connection with the breach or alleged breach of any representation and warranty made by LICENSOR. These indemnity obligations shall survive the expiration or termination of this Agreement.
