					This is an agreement between a programmer and a writer whereby the writer is hired to
create a technical manual for a newly created program by the programmer. This
agreement provides the due date of the manual as well as the compensation the writer
will receive. This document contains numerous standard provisions that are commonly
included in these types of agreements, and may be customized to fit the specific needs
of the contracting parties. This agreement can be used by individuals or small
businesses that want to enter into an agreement for the creation of a technical manual.
                          Agreement for Technical Manual Writing

This Agreement for Technical Manual Writing (this "Agreement") is made and entered
into as of ___________________ [month] ___________________ [day],
___________________ [year], between ___________________ name], ("Creator"),
with principal offices at ___________________ [address], and ___________________
[name] ("WRITER"), with principal offices at ___________________ [address].

Whereas, Creator has authored a program entitled ______________________.

Whereas, Creator wishes to engage Writer for Writer’s services in preparing manuals
and other documentation for the same under the terms and conditions stated herein.

NOW, THEREFORE, for and in consideration of the premises the parties agree as
follows:

Creator shall provide a copy of ______________________ (“Program”) to Creator on or
before ______________________ [insert date]. The Program shall, in the very least,
be able to perform all of its major purposes and shall be free from major defects.

If the Program is not delivered on time, through no fault of the Writer, the Writer shall be
allowed a reasonable amount of additional time to complete the manual. I

If a considerable redesign of the Program is deemed to be needed subsequent to the
execution of this agreement, Writer shall be paid a reasonable additional fee, which is to
be negotiated by both parties in good faith. Considerable re-design shall include but
not be limited to:
            a. the addition of major new functions, or any re-design of the end user
            interface;
            b. change in the Program’s;
            c. addition of major functions that account for more than __________% or
            more of the total original components;
            d. re-coding of the Program which accounts for __________% or more of
            the source code modules.

If Writer notices any problems with the Program upon its evaluation, Writer shall
immediately inform the Creator.

The manual that is to be prepared by WRITER shall be ready for use by
____________________ [insert date], and contain approximately
____________________ [insert number] words.

WRITER shall create the (i) charts, (ii) illustrations, (iii) a quick reference guide detailing
the basic Program functions (command sequences) and (iv)
________________________ [insert any additional responsibilities].

WRITER shall receive an “Author” credit in the final version of the manuals and other
materials.

On or before ______________________ [insert date] Writer shall deliver the final
manual and related materials provided for herein, unless the date was extended as
provided for in this Agreement or by the mutual consent of both parties. Writer agrees
that time is of the essence in this contract.

In addition to hard copies of the manual, WRITER shall provide to Creator, a digital
copy of the manual and other contents in a mutually agreeable file format.

Writer shall cooperate with Creator and assist in the testing of the Program, if requested
by Creator. Such assistance shall consist of telephone or mail consultants of an
intermittent nature on an as needed basis. After receiving the results of any testing on
the Program, Writer shall improve the manual based upon those results.

Writer disclaims all rights and unconditionally assigns the copyright to the manual to
Creator. The copyright in the manual shall be under the complete ownership of Creator
for purposes of all applicable copyright laws. WRITER shall execute any and all
instruments that are necessary to establish the full ownership of Creator in the manuals
and other related materials.

Creator shall pay Writer as follows: ___________________ dollars
($___________________) by check to ___________________, on

This agreement supersedes all prior agreements and embodies the entire agreement
between the parties with respect to the subject matter hereof.

All notices hereunder shall be in writing and delivered personally or mailed by certified
mail, postage prepaid, addressed to the parties at their last known addresses.
