Conflict of Interest Policy & Release of
General Partners
This Conflict of Interest Policy and Release must be used by a
partnership when any of the partners have an interest in another
company or venture that might conflict with the present
partnership. This document establishes the conflicts and
provides security for the conflicted partners.
ALL INFORMATION AND FORMS ARE PROVIDED “AS IS” WITHOUT ANY WARRANTY,
EXPRESS, IMPLIED, OR OTHERWISE, INCLUDING AS TO THEIR LEGAL EFFECT AND
COMPLETENESS. They are for guidance and should be modified to meet your needs and the

Conflict of Interest Policy & Release of General Partners
Conflict of Interest Policy: This Conflict of Interest Policy applies to the following
persons ("COVERED PERSONS"):
Limited Partners _______________________________ [set forth names of all

General Partners]
All Covered Persons agree:
All Covered Persons shall conduct themselves in an ethical manner at all times. As
such, no Covered Person may derive any personal gain or profit, as a result of such
person’s relationship with the partnership, and no Covered Person may engage in
self-dealing that has not been fully disclosed. Further, no Covered Person may use
his or her position in such a manner that a conflict between the interests of the
partnership and his or her personal interests arises.
Covered Persons shall submit any future conflicts that may arise and shall make
disclosures to all other Covered Persons, if not previously disclosed.
Release: Despite the foregoing, it is acceptable for the General Partners of the
partnership to have the following conflicts of interest with the partnership:

The Limited Partners acknowledge and accept these conflicts of interest and make
no requirement of the General Partners to remove themselves from these
situations.
