For good and valuable consideration, the receipt and sufficiency of which is hereby

assigns, transfers and sets over unto _________________, located at ___________________
(“Assignee”) all of Assignor’s right, title and ownership in and to the website domain name
____________ (“Website Domain Name”).
Representation and Warranties: Assignor and Assignee represent and warrant that each party has
the full power and lawful authority to enter into this Assignment. Assignor represents and warrants
that (i) Assignor is the lawful owner of the Website Domain Name, (ii) Assignor has not used the
Website Domain Name for any illegal purposes, and (iii) the Website Domain Name does not
infringe upon the rights of any third party.
Consideration: In consideration of the assignment and all the rights contained therein, Assignee
shall pay to Assignor __________ dollars ($ __________) on the ____ day of ____________,
Effectuate Assignment: Assignor and Assignee hereby agree to take all the necessary steps to
effectuate this agreement, including, but not limited to, completing the required documentation
from the company administering the Website Domain Name. Assignor agrees to cooperate with
Assignee’s instructions to effectuate the transfer of the Website Domain Name in a timely manner.
Governing Law: Assignor and Assignee agree that this assignment shall be construed in
accordance with and governed by the laws of __________________.
Notices: All notices, payments, or other documents required by this assignment shall be deemed
duly served if delivered personally, by registered or certified mail, postage prepaid, or by courier
