                                                1. For participating at our e-Auction, the intending bidders shall
                                                   pay refundable Caution Money Deposit (CMD) as mentioned
                                                   in the item list to the Auctioneers.
                                             2. DD favoring Hindustan Zinc Limited Payable at
                                                 Respective Locations.
                                             3. In case party is participating in any particular lot of
                                                 particular Plant , they may submit CMD for that Plant and DD
                                                 will be sent to that particular Unit.
                                             4. CMD – CMD will be as per enclosed list for metal residue.
                                             5. CMD / EMD will not be accepted on Auction Date.
                                             6. Registration form duly filled is must.
Caution Money Deposit (CMD) & Earnest        7. EMD will be equal to CMD amount mentioned in list/ per
         Money Deposit (EMD)                     Lot wise. Say for participating in two or more lot CMD is
                                                 Rs 2.5 Lacs. Then EMD will be 2.5 Lacs per Lot.
                                             8. In case of failure to deposit EMD as above, CMD will be
                                                 forfeited.
                                             9. CMD of unsuccessful participants will be sent back within
                                                 seven working days after completion of auction. Unsuccessful
                                                 bidders can collect their CMD DD from Auctioneer Offices (If
                                                 deposited at Auctioneer Office). On the request of bidder
                                                 Auctioneer can send CMD DD through courier at bidder’s risk
                                                 to the address given by them on registration form.
                                             10. CMD/ EMD shall bear no interest.
                                         EMD as specified above / in the list be deposited in 10 days from date
                                         of declaration of result. Incase party fails to deposit EMD amount,
                                         CMD amount will be forfeited.
     Successful participant’s CMD:
                                         CMD amount will be refunded after deposition of EMD amount in
                                         respective Units for accepted lots.

                                                   In case of failure of the purchaser to comply with the conditions ( CMD
                                                   & EMD condition as above ), the Seller may at its discretion, terminate
                                                   the contract and the EMD paid by the purchaser will stand forfeited for
                                                   the breach of contract by the purchaser. The lot in question will be re-
                                                   sold by the Seller, without any reference to the purchaser, to any other
                                                   buyer at the risk of the defaulting purchaser. The lots paid for must be

                                                        III.         Pro rata bonus to HZL will be applicable if coke fine
                                                              + 6 mm is above 25 %
                                                        XI.   Pro rata bonus to HZL @ 40 % will be applicable if coke
                                                              fine + 6 mm is above 25 %

                                                      XIV.    No deduction / reduction in rate will be applicable on
                                                              any ground. Quoted rate is minimum payable rate.
                                                        IV.          Sampling will be done in presence of purchaser
                                                              representative.
                                                  Payment and Delivery period as per auction terms and conditions

                                                  1. The material shall be weighed, sampled, moisture determined &
                                                     analysed for payable metals at respective HZL Smelters.
                                                  2. Each truck shall be weighed at HZL unit weighbridge.
                                                     Representative sample shall be collected from each truck, which
                                                     shall be analysed for moisture. The dry weight as determined at
      Weighing, sampling & moisture                  HZL Smelter shall be accepted as final for settlement.
             Determination:                       3. The material is heterogeneous in nature containing fines & /or in
                                                     the form of lumps.
                                                  4. HZL will arrange analysis of its samples for payable metals (up to
                                                     second decimal place) which shall be binding on the buyer.
                                                  5. Analysis of Moisture / Metal Content will not be applicable for
                                                     Aluminium Cathode Sheets.
                                                  6. Sampling Time: You will adhere as per schedule given by
                                                     respective units.

                                                  For delay in Balance payment: Penalty @1% interest per week or part
                                                  thereof on balance amount to be paid from the expiry of free period.
                                                  No more extension will be given after expiry of Two weeks.
                                                  For delay in Delivery of the material: In case the purchaser fails to
                                                  remove and take complete delivery of the goods sold or part thereof
 PENALTY FOR DELAY IN COLLECTION /                within the scheduled time, the Seller may at its discretion extend the
        BALANCE PAYMENT                           period by levying down godown rent @ 1% of the balance sale value
                                                  per week or part thereof for such delayed period, subject to a
                                                  maximum of Two week/s. No more extension will be given above two
                                                  weeks.
                                                  No further extension will be given under any circumstances then
                                                  mentioned in this clause and on expiry of the extended period as
                                                  mentioned in this clause; EMD will stand forfeited to the said Company
                                                  without any further notice or any communication.

                                      INSTRUCTIONS TO THE e-AUCTION PARTICIPANTS

     1. Bidders are requested to fill up the Registration Form Completely and attach the same with CMD, without which
        CMD will be returned back.
     2. All those who have registered online and wish to participate in the auction, should send their Caution Money
        Deposit (CMD) by PO/DD favoring HINDUSTAN ZINC LTD. payable at Chittorgarh, along with details in the
        Registration Form and Profile Form attached herewith through courier or personally and obtain necessary receipt
        for the same. Please do not mention your Password in your letter. CMD must reach the Auctioneers as
        mentioned in cover page.
     3. Forms received thereafter or on the day of eAuction for becoming Registered Participants will be rejected
        out rightly and such bidders will not be allowed to participate at the Live-Auction and their DD will be
        returned to them through Courier at his/their risks. Hence, in your own interest, you are requested to complete
        all the formalities to become Registered Participant in advance and well in time.
     4. Please Note the DD against CMD must be received by us in advance along with Registration Form and
        Profile Form attached herewith on or before date and time mentioned above. The Auctioneers / Seller are
        not liable for the delay or late receipt of DD whether sent through Courier or Post.
     5. Please do not reveal / pass your User ID and Password to any other person/s. It is your personal property and we
        will not be responsible for any leakage or misuse or illegal use of your User ID and Password. Nevertheless, you
        will be held personally liable to the Seller and the Auctioneers for any misuse or illegal use of your User ID and
        password by other person/s and any successful transaction online by such unauthorized person due to your

         negligence will be considered as your own transaction and you will be required to fulfill the contract as per terms
         and conditions of the sale.
   6.    HZL reserves the right to modify and amend the terms & conditions and announce the same at any time before the
         auction concludes. Announcements during the auction on the website including announcement of any additional
         conditions OR correction in the catalogue and/or additions or deletions of items being offered for sale are being
         done with the consent and knowledge of the seller, and it is binding on the bidder.
   7.    Participation and bidding in this Auction shall be treated as conclusive evidence of the fact that the bidder has
         inspected the Auction Property and the documents pertaining to it and is satisfied in all respects regarding
         quantity, quality, condition of the Auction property, taxes and duties, and other extraneous factors and the Principle
         of Caveat Emptor (let the buyer beware) will apply. It shall also imply that the bidder has carefully gone through
         and understood the terms and conditions of Auction including the amendments if any, prevailing at the time of
         Auction. Seller/Auctioneer will not entertain any complaints or objections once Bid is placed.
   8.    Seller./Auctioneer does not give warranty or guarantee of the quality, quantity, measurement, condition Chemical
         composition of each individual item/s or lot/s that form the auction property and about its “End Use” or fitness for a
         particular purpose. Sale is on “AS IS WHERE IS BASIS” and “NO COMPLAINT BASIS.”
   9.    The highest bidder does not get any right to demand acceptance of his offer. SELLER reserves the right to accept/
         reject/ cancel any bid, withdraw any portion of the Auction Property at any stage from Auction even after
         acceptance of bid/ issue of delivery order or release order/ deposit of full value by successful bidder without
         assigning any reason there of. In the event of such rejection/ cancellation/ withdrawal, SELLER, shall refund the
         value of Auction Property, if paid for, to the successful bidder. SELLER shall not be responsible for any
         damages/loss whatsoever to the successful bidder on account of such withdrawal.
   10.   In the event of failure on the part of the successful bidder to fulfill his contractual obligations, seller / Auctioneer
         reserves the right to debar such bidder from participating in any future auction conducted by Auctioneer on behalf
         of seller.
   11.   The prospective bidder has to register with the Auctioneer .
   12.   The prospective bidder shall have to deposit Earnest Money Deposit (EMD) for each lot separately or for all lots as
         prescribed. (refer Details of Auction Property for Lot-wise EMD) by Demand Draft / Pay Order on any Scheduled /
         Nationalized Bank /Scheduled Co-operative Banks Drawn in favour of “Hindustan Zinc Limited.” payable at
         Chittorgarh. It has to be submitted directly to any office of Auctioneer (see details of Auctioneer’s Offices ). CASH
         WILL NOT BE ACCEPTED.
   13.   On payment of CMD, and on satisfying the pre-qualification norms as may be fixed from time to time by HZL,
         Auctioneer will activate the User – Identity to enter into Website.
   14.   Bidders SHOULD NOT disclose their PASSWORD to anyone and safeguard its secrecy. Bidders are advised to
         change the Password.
   15.   Time Extension: If any market-leading bid (bid higher than the highest at the point in time) is received within the
         last 3 minutes (“Time Extension” as mentioned in the Bidding Room will be in force & 3 Minutes is an example) of
         closing time, the time will be extended automatically by 3 minutes.
   16.   Training: Auctioneer will provide training (online) if required by the bidders at a mutually convenient date and time
         before the Auction.
   17.   Bids: All bids placed are legally valid bids and are to be considered as bids from the bidder himself. Once the bid
         is placed, the Bidders cannot reduce or withdraw the bid for whatever reason. If done so, the seller will forfeit the
         EMD. The highest and the latest bid on the Auction shall supersede all the previous bids of the bidder. Bidders
         may please note that in the event of a manual bid amount matching that of an auto bid, the manual bid will prevail
         and be considered. The bidder with the highest offer/ bid does not get any right to demand acceptance of his Bid.
   18.   Auto Bid: -
              a. Auto Bid facility is provided for bidders intending to place a maximum value for a lot/lots.
             b. Auto bid is not a confirmed bid. It is only the maximum ceiling amount set by the bidder to enable the
                auction engine to place bids on his behalf, whenever he is outbidded, upto the ceiling set by him.
             c.   Once auto bid is set, the auction engine will consider the ceiling amount for the next possible Bid only,
                  depending on the highest bid prevailing at that point of time and the increment amount prescribed for that
                  particular lot.
            d. Bidders may please note that in the event of a manual bid amount matching that of auto bid, the manual
                bid will prevail and be considered
   19. HZL / Auctioneer is outsourcing server space from a third party hosting company and hence shall ensure the
       smooth running in all good faith and intention. However HZL/ Auctioneer will not be held responsible for any
       failure of power, Network, server, hosting server, Internet connectivity, ISP or otherwise at Bidder's end or at
       Auctioneer directly or indirectly affecting online method of Bidding.

2. Inspection of the materials: For inspection of materials lying at various units of Hindustan Zinc Ltd, Please contact
   the concerned person as mentioned in list attached herewith on any working day during working hours.
3. Please refer list , Material where it is mention whether material / residue is linked with LME , US$ , Base metal content
   or is being sold on fix rate.
4. BALANCE PAYMENT & DELIVERY

    a. Materials must be removed (after making balance payment with Sales Tax, Excise Duty and TCS, if any) on or
       before due date, failing which penalty for delay in collection / balance payment ( As given below ) of the terms and
       conditions of the sale will be applicable.
    b. In the event of the failure of the purchaser to pay the Balance sale value of Lot mentioned in clause for Balance
       payment & delivery ( As above ), the contract will automatically stand terminated and the Earnest Money Deposit
       will stand forfeited for the breach of contract by the purchaser. The lot in question shall be resold by the Company
       without any further reference to the Purchaser.
    c.   PLEASE NOTE that normally the lots are sold on outright “Confirmed” basis. Purchaser should not wait for
         “Confirmation Letter” either from the Company or from the Auctioneers. HENCE, PURCHASER SHALL MAKE
         BALANCE PAYMENT WITHIN SCHEDULE TIME WITHOUT WAITING FOR ANY SALE ORDER OR DELIVERY
         ORDER. The Sale Order shall be prepared for internal purpose by respective Units. Only in case where lots are
         sold on “Subject to Confirmation” basis, the purchaser will be intimated by email the confirmation or rejection of lot,
         as the case may be.
    d. Balance to be paid within prescribed time by DD to the respective Unit directly. DD to be drawn on Bank is
       mentioned in Annex. – I.
5. Description of Materials and Quality and Quantity:
    a. The materials shall be disposed off in “AS-IS-WHERE-IS & NO COMPLAIN” AND “WET,DRY OR RUSTY”
       conditions. Only material mentioned in the catalogue/bid sheet shall be delivered. Inside & outside
       attachment shall be removed from the nearest point, unless otherwise mentioned.
    b. Numbers, quantities or tonnage or nature of materials given in the catalogue are approximate and the materials
       will be sold without any regard or consideration of these numbers/ tonnage or nature of materials and no Warranty
       or guarantee shall be implied. The quantity of material may vary considerably, that is, it may be much more than
       the approximate quantity indicated in the catalogue or much less. The Purchaser must lift the entire quantity within
       prescribed time.
    c.   Description given in our enclosed list is in brief. Offers by the bidders will be deemed to have been made on the
         clear understanding that intending bidder / bidders have satisfied themselves fully in regards to the nature,
         condition, quality of goods upon in inspection or otherwise. No error, omission or mis-statement or mis-description
         whatsoever and howsoever made or published whether in advertisement or list or otherwise and no defects or
         faults in the goods shall invalidate the contract or be subject matter of any claim on the part of the bidder whether
         in compensation or otherwise howsoever nor will any such claim be entertained by the sellers.
    d. The quantity indicated in our list of scrap items is only an estimate for calculating the amount of deposits required
       to be paid by the bidder, and has nothing to do with quantity of material that may be available . However, since the
       paramount interest of the Seller is to get the area cleared of the all accumulated material, the purchaser will have
       to remove the entire quantity whether these are far beyond the limit of approximation indicated or much less than
       the approximation indicated.
6. Removal of Materials:
    a. It will be successful purchaser’s responsibility to weight the empty truck at the Seller weigh bridge and
       produce the necessary weight certificate so that the weight of the empty truck will be deducted from the weight of
       the fully loaded truck.
    b. All the consignments must be weighed even if they are sold on lot basis for Seller’s record.
    c.   In order to facilitate the Seller to complete the transaction before 4.00 p.m. the goods should be collected before
         3.30 p.m. on any working day with prior appointment with the concerned Department within the stipulated delivery
         days.
    d. Should the original purchaser wish to take delivery of the scrap material through a representative, he must
       authorize the latter by a letter of authority or continuing authority which shall be presented to the officer concerned.
       The officer concerned may in his entire discretion decline to act on any such authority and it shall be for the

              purchaser to satisfy the officer concerned that the authority is genuine. Delivery to such person shall be sole
              responsibility of the purchaser & no claim shall lie against the Seller on any account whatsoever, if delivery is
              offered to a wrong person.
    e. The Seller reserves the right to unload the vehicles for inspection purpose. If it is suspected at any time that the
       purchaser has loaded the material / materials for which he is not purchaser or if the purchaser is found to carry
       excess material than that mentioned in the documents, the Co. will be within its right to detain the truck, unload the
       goods at the cost & expenses of the purchaser & terminate the contract forthwith and forfeit the sale value & claim
       such further losses and damages that may be caused to the Seller.
    f.        It shall be the responsibility of the purchaser to see that he or his servants or agents collect and load only that
              quality and kind of scrap that is covered by the contract and in the event of his servants or agents finding any other
              quality of or kind or scrap mixed with the scrap allotted to him he should forthwith bring it to the notice of the yard
              master and lift scrap only after segregation.
    g. Oxy-cutting / cutting may be considered on specific request depending upon the merit of the case, at the sole
       discretion of the Seller. Necessary cutting tools should be arranged by the purchaser at his own cost. However,
       CLZS shall not allow cutting.
    h. During the course of the removal of the scrap material if any damage is caused to the Seller's premises,
       installations or instruments, the buyer will be entirely held responsible to make good such losses. Till such period,
       the damage is repaired or compensated to the Seller, no delivery of any lot/s purchased by the said bidder will be
       allowed.
    i.        Lots sold on Accumulated / Arranged basis at the tender must be removed by the purchaser on or before
              scheduled period as mentioned hereinabove.
    j.        Loading / Unloading will be carried out by the purchaser at his own costs & risk. All tools and tackles, Labour, Fork
              lifts, Crane etc. will be arranged by the purchasers at their own cost. Non availability of the same will not be
              considered as a ground for 'Late-Lifting' of the materials. However CLZS shall load the material by its own team.
7. Decision in case of disputes :
    a. In case of any dispute regarding the contract, the decision of the Seller shall be final and binding. If there is any
       dispute as to the last or highest bid or dispute in identifying the item belonging to particular lot, the dispute shall be
       determined by the Seller and their decision shall be final and binding to all.
    b. Only the appropriate Court in Udaipur, Rajasthan will have Jurisdiction to deal with any disputes arising out of this
       contract.
    c.        In case of any dispute arising out of or relating to the terms of this contract the matter shall be referred to one
              Arbitrator appointed by Seller. The arbitrator so appointed shall act in accordance with the provision of
    d. Arbitration & Conciliation Act, 1996 and the venue of arbitration shall be Seller’s Office or as suggested by the
       Seller.
8. Right of Acceptance / Rejection of offer :
         a. The Seller reserves the right to withdraw wholly or partially any or all the items set for sale at any time during the
            period of contract without assigning any reasons.
         b. The Auctioneer / Seller also reserves the right to accept any bid on "Subject To Confirmation" & the Seller’s final
            decision will be informed to the purchaser within seven calendar days.
         c.    The goods are sold subject to the reserve price fixed by the Seller. The Seller is not bound to accept the highest
               offer. The Seller reserves the right to reject any CONDITIONAL offers.
9. Termination of Contract: The Seller reserves the right to terminate the contract at any time by giving three days
   notice on the following ground.
    a. Unsatisfactory execution or performance of the contract by the purchaser.
    b. For improper behavior of the purchaser or breach of the terms and conditions of the contract.
    c.        Decision of the Seller to terminate the contract shall be final and binding and no claim for damages and
              compensation shall lie. Provided always that in the event of the purchaser or his agent or servant committing or
              attempting to commit theft, fraud, dishonesty or gross misbehavior in connection with the subject matter of this
              contract or in any other -connection whatsoever concerning the business of the Seller, the Seller will be entitled to
              terminate the contract - forthwith and forfeit the Security Deposit at its sole discretion.
10. Passing of Property In the goods: It is expressly made clear that the property in the goods whether sold by units,
    weights or lots, whether arranged or otherwise, will remain that of the Seller and will pass on to the purchaser only
    when material is taken out by the Purchaser from the factory Premises after getting valid dispatch documents.
11. Other Terms and Conditions :

a. Excise, Sales Tax, TCS or any other taxes as applicable under the relevant Act will be charged extra at the rate
   prevailing at the time of delivery and the rate offered shall be exclusive of all taxes. The rates mentioned in the
   catalogue are only indicative for the guidance of the bidders.
b. Customers for which CST is applicable will have to submit "C" Form at the time of lifting of material, otherwise full
   sales tax will be applicable.
c. Contractors shall be fully responsible for safety of his workers & equipment and materials/ equipment of Hindustan
   Zinc Limited under his custody and shall abide by safety rules prescribed by the Govt.
d. Contractor shall be responsible for & shall follow safety rules under the provision of Factory act 1948 and Rajasthan
   Factory Act 1951 & Indian Electricity Safety Rules amended up to date and other statutory safety rules & regulation
   in force during currency of the contract.
e. The Contractor shall provide all safety gadgets/ equipment to his workers before putting them on job and shall also
   ensure that his workmen make use of the safety items while at work.
f. Charges towards any damage of the HZL equipment / material caused due to mis-handling by contractor’s workers
   shall be deducted from Contractor’s bill after assessment by our Engineer Incharge. The assessments of our
   Engineer Incharge shall be final & binding on the Contractor.
g. RULES AND REGULATIONS: The contractor shall follow all the rules and regulations under contract Labour Act,
   Factories Act, Industrial Dispute Act, Payment of Bonus Act, PF Act, ESI Act, Gratuity Act, Maternity act, All India
   Motor Vehicle Act 1988, Rajasthan Motor Vehicle Rules 1951, as amended up to date and other laws in force during
   the currency of Contract.
h. For Batteries, LSHS/FO Oil Sludge, TORCH CELL/PENCIL CELL, USED HSD/ OLD HT OIL /Used oil etc MOEF
   certificate is required.
i. All trucks, handcarts, carrying such materials outside our premises are subject to inspection by our Security Deptt.
   at the gate. If required, the buyer will have to unload the vehicle if Security Officer demands for a surprise check.
j. Any person employed or engaged by the buyer for the purpose of the execution of the contract shall be required to
   observe the rules and regulations that are prevailing in our Company. The movement of his persons shall be
   restricted only to the place of work assigned to them. Each person engaged by the buyer shall be required to obtain
   a Pass from our Security Department for entering and leaving our Factory premises. All the labour engaged by the
   buyer shall be subjected to inspection by our Security Dept.
k. All notices, letters sent to the purchaser shall be deemed to have been received by him/them on expiry of 48 hours
   from the time of posting if the same are sent at the address given by the purchaser.
l. If any person/s bid at the auction on behalf of the undisclosed principal, he / they shall immediately after the bid at
   the time of payment of EMD, disclose the name of his / their principal who is the actual purchaser and the receipt for
   the caution money and/or earnest money would be issued in the name of the principal.
m. Resale will not be recognized and release order will be made out in the name of actual successful purchasers only.
n. The purchaser shall not be entitled to resell any lot or part of a lot while the goods are still lying within the premises
   of the Company and no delivery would be effected by the Company to any person other than the purchaser whose
   names are mentioned in the delivery order.
o. All purchasers of the lots before collecting purchased materials from inside the works should contact the Company's
   authorized officer to get them fully acquainted with safety rules and regulations. Purchasers will be allowed to start
   collecting materials only when they have confirmed in writing that they are agreeable to follow the various safety
   rules and plant regulations.
p. The Company will in no way be responsible for any accident, damage or injury to the contractor's workmen or
   equipment while on factory premises.
q. If the successful purchaser at any stage either neglects or refuses or is unable to take delivery of the materials for
   any reasons whatsoever or the performance of the purchaser is unsatisfactory, the Company will have the right to
   terminate the contract, enforce forfeiture of purchaser's EMD/security deposit and claim such further losses and
   damages that may be caused to the Company to determine and declare at its sole discretion.
r. In the event of the purchaser failing to remove the materials and to pay price thereof, the Co. shall be free to sell the
   goods to any person or persons and to recover from the original purchaser the amount by which materials actually
   sold, falls short of the price agreed by the original purchaser. This does not in any way effect the right of the
   Company to forfeit EMD as provided herein.
s. The successful purchaser is also required to sign an agreement to complete the sale according to the conditions
   hereof and subscribe his signature to the Bid-sheet against the lot or lots knocked down to him. In the event of the
   purchaser failing to sign the agreement or Bid-sheet the goods may, if the Auctioneers / Company think fit, be put up
   for sale again immediately and resold on account and at the risk of the defaulting purchaser who shall be
   responsible for the deficit, if any, in the price and such deficit shall be debt due from the defaulting purchaser, but he
   shall not be entitled to any increase arising from such resale.
