Buying Music on AudioMicro 1. What usages does your licensing agreement allow? Music tracks licensed from AudioMicro can be used for TV programs, websites, feature films, commercials (TV & Radio), corporate videos, training videos, personal videos, point-of sale videos, PowerPoint presentations, multimedia presentations, video games, and YouTube videos. The list is not endless and if you have any uncertainty regarding the use of the royalty free stock music tracks in a correct way please contact us at AudioMicro[at]AudioMicro.com. 2. What usages does your licensing agreement NOT allow? Our full licensing agreement can be viewed in the legal section of the site, but here is a quick summary of uses that require additional fees: -Distribution of more than 5,000 physical units. -Resale in a product that competes directly with AudioMicro.com -Broadcast on TV WITHOUT the filing of a cue sheet. Filing cue sheets does not require additional fees from you the customer, but rather helps our musicians collect their fair share of fees already paid to ASCAP or BMI by the broadcasting station. This can be confusing to customers working on broadcast projects for the first time so do not hesitate to contact us with questions at AudioMicro[at]AudioMicro.com. 3. In general, who would you say uses Audio Micro as a resource? Our current customers include video bloggers, small advertising agencies, video production companies, web design firms, government PR agencies, publicly traded international manufacturing companies, among many others. 4. How do I buy a royalty free stock music track? You’ll first need to add credits to your account. No. The license is granted only to customers who pay for a license. All the other versions are for preview purposes only. 8. What browser should I use? We recommend the most recent versions of Internet Explorer for PC users and Firefox for Mac users. 9. In what file format is your music delivered?
For files uploaded and listed as MP3 – the content is delivered in the original bit rate that the track was uploaded in – e.g. MP3 at 192 Kbps For files uploaded and listed as WAV – the client has the option to download the file as a WAV, AIFF, or MP3 file in the following sample rates: • WAV = the original sample size/sample rate that the track was uploaded in - e.g. 48 kHz/16 bit • AIFF = 128 Kbps • MP3 = 128 Kbps For files uploaded and listed as AIFF – the client has the option to download the file as an MP3 or AIFF file in the following sample rates: • AIFF = the original sample size/sample rate that the track was uploaded in - e.g. 48 kHz/16 bit • MP3 = 128 Kbps 10. Can I submit tracks as well as buy tracks? Yes! At AudioMicro.com all users are automatically registered as both music sellers and music buyers within the same user account 11. Is it safe to pay by credit card online on the AudioMicro site? All credit card transactions AudioMicro.com are processed through our PayPal gateway. We do not retain your credit card information on our servers. Your transaction is safe with AudioMicro. 12. Will my credits ever expire? The unused credits are kept in your account until you use them. There is no expiration date. 13. Can I share my AudioMicro downloads with my friends? No. The stock music tracks on our site are copyright protected intellectual property. Customers that download files from the AudioMicro website cannot copy or distribute them outside the scope of individual commercial projects. 14. I’m getting an error message when I try to download.

If your download is interrupted for any reason, or you lose the file on your hard drive, (or any other such disaster!) don't worry. You can re-download your purchased tracks by visiting your “My Account” page and clicking on “Order History”. Please contact us at AudioMicro[at]AudioMicro.com if you are still experiencing download problems and we’ll assist you asap. 15. My file downloaded ok, but it won’t open. What should I do? If the MP3 / WAV / AIF file downloaded completely but your software program doesn't open it, simply try again using another software program and resave. If you still experience problems contact us at AudioMicro[at]AudioMicro.com. II. Selling Music on AudioMicro 1. What is micro stock? Microstock Music is a concept rooted in the photography industry. What defines a platform as a micro stock photography company is that they (1) source their images almost exclusively via the Internet, (2) do so from a wider range of photographers than the traditional stock agencies (including a willingness to accept images from "amateurs" and hobbyists), and (3) sell their images at a very low rate (anywhere from $1.00 - $10) for a royalty-free image. AudioMicro takes the same idea and applies it to the music industry. Anyone can upload his or her music, and then, it can be bought at a very low rate (as low as $1 per minute). Through this, the artist has the ability to get his or her music out to a large group, and due to the low price, more buyers are attracted. 2. What exactly does royalty free mean? Royalty free means you pay only once to use a track free and clear for commercial applications like web videos, podcasts, games, animations, television, short films, software, DVD’s, and broadcast use. It does NOT, however mean you own the copyright. There are limitations such as the number of DVDs you can distribute (10,000). And we do require you to file cue sheets for any TV or radio usage. 3. What does "crowd source for content" mean? It means we accept content from anyone from an established artist to someone who has just produced his or her first song. Obviously we have quality control and will reject songs if they do not meet our quality standards, but there are no restrictions on who can submit content anyone and everyone is free to do so. 4. How are you different from your competition? Here are just a few of the many differences between AudioMicro and the competition: a. We accept .wav, .mp3, and .aif files b. No initial test files or portfolio review to become a contributor c. We pay a 50% royalty as opposed to 20% and even less d. We allow/promote ASCAP, BMI, and other PRO artists while others exclude these artists e. We are strictly focused on music and sound effects 5. How much money can I potentially earn selling my music on AudioMicro?

In the micro stock / micro payment photography world, many of the top contributors earn 6 figures (i.e. over $100,000) per year in micro payment royalties. We feel the size of the micro payment music market will be in excess of the micro payment photography market, and that this market will emerge over the next 5 to 10 years. 6. What commission rate do I earn if my track sells? AudioMicro artists receive 50% of the sales from each file that they submit to our archive. 7. I am used to very high licensing fees. Will this undermine my high paying tracks? The high end of the commercial music licensing market is not going anywhere and the traditional production libraries should not see AudioMicro as a threat but rather an opportunity. Every micro stock music sale is not a lost customer for a traditional library, but most often a new customer and an additional sale for the artist. We are not making light of the music licensing industry by simply undercutting the larger, established libraries. What we are doing is getting exposure for unknown, unsigned artists by placing their work in creative audiovisual projects that are produced by every day consumers on shoe-string budgets. With micro payment, artists may first think they are underselling themselves; however, the reality is that with micro payment, you are actually opening up your library to an entirely new group of content purchasers that never before would ever think about paying for a sync licenses. As video continues to proliferate the Internet, as Internet video quality continues to improve, and video proliferates every website and blog, it’s obvious that audio becomes increasingly important in the equation. Licensing your content on AudioMicro opens up your portfolio to an entirely new audience, and an entirely new customer base. The market for online audio is going to continue to grow well into the foreseeable future. Even blogging softwares, such as WordPress, incorporate one-click audio (and video) insert options into all blog posts. If consumers do not have an outlet where they can get easy access to affordable, pre-cleared music for creative projects, there are two major implications: 1. The customer will simply not use music for their projects. 2. They will make unauthorized use of the content that they have purchased (or illegally downloaded) for personal use. Micro stock music opens up commercial music licensing to the masses and offers an affordable, easy solution for licensing music for use in audio-visual media. There are approximately 10 videos uploaded to YouTube every second. Everyone with a cell phone is essentially a producer. With so much video content circulating the web today, it’s only natural that a platform for clearing and licensing music, royalty free sound effects, and production elements to accompany these videos (and any video project, not just YouTube) will emerge and thrive. 8. What’s the difference between selling my track exclusively versus non-exclusively? Selling your track exclusively with AudioMicro means that no other libraries, anywhere in the world, have the permission to license this particular track. Contributors receive 50% of sales from "exclusive" tracks. Licensing your music "exclusively" means that the particular track is not available in any other music library or other distribution platform (anywhere in the world) and that AudioMicro is the sole distributor authorized to license. Contributors receive 50% of sales from "non-exclusive" materials. 9. How can I improve my earnings split with AudioMicro?

We offer an extra 10% commission to contributors that serve as forum moderators and editors. Do I still retain copyright ownership if my track is sold on AudioMicro? Yes, you remain the owner of the music track. The buyer of the track is only granted a nonexclusive, limited sync, performance and mechanical license to use your track in commercial audiovisual productions. 11. How can I see downloads I have received?
You can check your downloads by visiting the “My Account” profile page and clicking “Download Activity”. You can drill down on your monthly downloads and see exactly which tracks have been licensed. 12. How do I get paid? We automatically deliver your royalties to you via PayPal on or about the first day of the month, subsequent to the month in which the sales transactions occurred. For example, for sales that occur in June, we distribute your royalties to you on or around August 1st . We pay you when your account has accrued an unpaid balance of $50 or more. If you do not yet have a PayPal account, you can easily sign up for one at https://www.paypal.com/ PayPal is simple and secure, and for added assurance, you can even order a "key fob / security key" from PayPal for $5 that will prevent anyone from being able to access your PayPal account except, you (the security key holder). Here is a link to the PayPal security key signup --> https://www.paypal.com/securitykey 13. Is there any way I can get paid my royalties even if I haven’t amassed $50 in payments? Yes, if you have more than $5 of accrued payments, you can request a one-time pay-out by emailing us at AudioMicro[at]AudioMicro.com. We will place your earnings in your PayPal account on the next payout date. 14. What style of music are you looking for? We encourage you to "spread the love" and upload content from all genres of music and audio whenever possible. The more diverse your archive, the more likely you are to receive increased royalties. As a general rule of thumb, our customers are looking for well-mixed, high quality tracks. 15. Do you prefer music with vocals or just instrumentals? At this point in time, we are only accepting instrumental tracks. 16. What copyright restrictions should I be aware of before uploading a track? You should be the principal copyright holder of the uploaded music track or have written authorization to upload the track on behalf of the copyright holder (s). All contributors are held

fully liable for any damages incurred as a result of copyright infringement. Please be sure to read our Upload agreement. 17. Can I remove my track from your site at any time? Yes. Provide a written request and an AudioMicro administrator will remove the track ASAP. Any commercial licenses we granted on your behalf while your track was active in our catalog must be honored. Am I allowed to upload a track that uses 3rd party samples or loops? Your usage of any 3rd party samples must comply with the user agreement of that particular sample library or copyright holder. That said, most commercial sample libraries freely allow their samples to be used commercially, provided that sample is being combined with other audio elements. This legally makes your track a new copyright. All contributors are held fully liable for any damages incurred as a result of copyright infringement. Please be sure to read our Upload agreement. 19. I am a member of ASCAP, BMI, or another Performing Rights Organization (PRO). How will I receive royalties if my track is broadcast on TV or radio? We make every reasonable effort to ensure our customers file cue sheets for broadcast usages. Make sure your composer / songwriter name that you provide in your AudioMicro account is consistent with your ASCAP, BMI, or other PRO member information. 20. My track is already registered with an ASCAP, BMI, or other PRO publisher. How will that publisher get royalties if my track is broadcast on TV or radio? At the time of upload, you may enter the name of the Publishing Company with which the song is already registered. When cue sheets, documenting a broadcast performance of your track, are submitted to the PRO by our customers, this publisher information will be filed along with that cue sheet. 21. Can AudioMicro act as my publisher? We can act as publisher for you with either ASCAP or BMI, should you desire to have AudioMicro represent you. Our editors regularly add new and existing artists to our featured artist panel. We feel that these artists are exceptional and have uploaded content that exemplifies the highest quality AudioMicro has to offer. The AudioMicro engineering team focuses much of its time and energy on Google optimization of keyword searches. In this day and age we feel that it is time very well spent, and will result in increased sales for our artists as our platform continues to grow. In short, all sales are generated by Google organic search engine optimization. 24. What % of the subscription packages goes back to the composers? Approximately 50% of every sale, whether it is $1 or a full $899 annual subscription, goes back to the artists. It is simply divided and paid out based on the amount of downloads for each artist – i.e. downloads are “pro-rated” and the subscription is divided up correctly among the artists. 25. Tips for selling on AudioMicro If you’re having trouble selling on AudioMicro, you may want to look over this document, which discusses different ways to boost your sales. Tagging: Creating tags is one of the most important elements to generating more sales. Tags are what connect the buyer to the seller, and a large, clean amount of tags on an audio track are key for establishing that connection. Don’t be afraid to tag. AudioMicro requires a minimum of 3 tags but we highly encourage you to add more. Our internal stats have shown that users and tracks with a lower number of tags (5 or less) will sell less than a user with a high number (10 or more). Here are some specific points to keep in mind when tagging: Specificity- Be specific in your tags. Tag the genre, the instruments, the emotions, or any other unique vocabulary you feel represents your track the best. For example, don’t just type “guitar.” Put “electric,” “acoustic,” or another adjective in front of it. The more specific your tags, the less competition you have in someone’s query results page. Tag your feelings- Tagging adjectives that describe the emotion of the track is very important. Buyers will often use these adjectives in their search queries. This method also separates tracks that are within the same genre but evoke different feelings. For example, under the heavy metal genre, there may be one track with tags such as “anguish, loud, earthshaking,” while another heavy metal song could be tagged with “uplifting,” or “triumphant.” Same genre, different tones. Tag your vision- Matching musical and visual ideas together is what makes music for media so important. If you feel your track represents a specific image in your head, chances are there are other people who would agree with you, and would purchase your track to help them bring that image to life. If you feel your track would be perfect for someone making a mountain climbing video, tag “mountain climbing.” If you feel like your piece would fit ideally with images of kids playing soccer, tag it. Filling in your Description: On our website, it’s optional for you to fill in a description with your uploaded track. We do, however, highly encourage that artists write brief but detailed descriptions for their tracks. Unlike tags, the description allows the artist to freely describe their track using complete sentences. This is where the artist truly sells the track. Convince buyers that this piece is perfect for their project. Descriptions will only reinforce a buyer’s decision to pick YOUR track out of the other thousands on AudioMicro. Selecting a Genre and Sub-Genre: Choosing an accurate genre and sometimes sub-genre will allow your track to be discovered more often. As mentioned before, specificity is key to boosting sales, so it might be wise to

choose a sub-genre in order to highlight your track even more. AudioMicro has thousands of sub-genres for users to choose. A Note about Loops: If you’ve created a loop, we encourage you to check the “loop” box in the track upload form. Again, this is for your benefit as it helps to organize our files, which will give your tracks a better chance at discovery. Also, when you upload a loop, make sure to add at least one revolution of the loop itself in the recording. Buyers will want to hear the loop in action, so it wouldn’t be as effective to simply upload a 6-second loop without the sound actually looping. III. Uploading Files to AudioMicro 1. Can I upload something that I did NOT create myself? NO – This is a violation of our terms and conditions – Do not even attempt to perform an action of this sort. 2. Is there a minimum or maximum playing time for submissions? There is no minimum or maximum playing time for submissions. Feel free to submit tracks from 1 second long to over 1 hour long and even longer. 3. How do I submit tracks to you? Click the SIGN UP Link found on the homepage. Fill out the registration form and agree to our terms of use. Please be sure to fill out your profile completely including adding a profile photo or logo. Once logged in, you will be able to start uploading your music tracks and sound effects. 4. What type of file should I upload? AudioMicro accepts .MP3 files with a MINIMUM sample rate of 128 kbps and .WAV files with MINIMUM sample rate of 44.1 kHz/16 bit, but larger file specs up to 320 kbps for .MP3 files and 192 kHz/24 bit for .WAV files are always welcome. Please ensure that your music tracks are within the following guidelines: -.MP3 files with a MINIMUM sample rate of 128 kbps and/or .WAV files with MINIMUM sample rate of 44.1 kHz/16 bit. -For non-FTP uploads, files should be less than 8MB in size. Both the single and multi-file upload modules do not accept files larger than 8MB. Please “Request FTP” from your My Account profile page and use the FTP module should you desire to upload files larger than 8MB. -file names should not contain any special character and / or spaces -please do not upload DRM protected files -please do not upload corrupt files If an uploaded file does not meet the above listed properties, it will be automatically deleted by the AudioMicro system. Further instructions are given on the Upload page. 5. How many tracks can I upload in a single day?

There is no maximum amount to the number of uploads you can submit. 6. What other information will I need to provide with my track? After uploading the file to the AudioMicro you will need to enter information about the music track, also called “metadata”. We need a track title, description, a main category (optional subcategory), and at least 5 tags, separated by commas (3 words max per tags and a total of 50 words max). Please note that the more thorough your track information, the better your track will sell. For more tips about selling on AudioMicro, read Section II’s question #25. IMPORTANT NOTE: Remember to try and fill out the title, description, and tags boxes fully so more people can find your tracks. The more concise your descriptions and tags are, the more tracks you will sell. Remember to separate tags with a comma and keep total tag words to 50 or less per upload. Where do we indicate who is the writer of the track? I see a blank for publisher but not for composer. When you click on "my account" there's a field under "bio" for songwriter/composer, and the information you enter there follows all of your songs around, so it'll be known that you are the songwriter for all of them.

8. Can I delete a “Pending” file that’s appearing in the My Account profile page but has not yet been submitted to your editors queue for review? YES – there is a little red icon next to each Pending file and if you click this icon, your Pending file will be deleted. 9. How will I know when my track(s) is approved? After entering the information, AudioMicro will listen to your track within 1-2 business days and only if your content is disapproved will we send you a notification email. In most disapproval cases, we will provide the reason for disapproval. If you content is approved, it will go live into the AudioMicro archive immediately upon approval by our editors. 10. Can I edit the Title, Description, and Tags of my files once they have been accepted? YES – you can edit and amend the Titles, Descriptions, and Tags from your “My Account” profile page 11. My Music / Sounds do not fit into one of your already predefined categories? How can I add / create a category to put my music into? Our back end editors would be more than happy to create a new category / genre for you. Please contact us via email at Editors[at]AudioMicro.com and we will create the appropriate category for your work. 12. Can you create an FTP account on your server for me so that I can just FTP in my entire portfolio? YES – you can request an FTP account by clicking the “Ftp Request” link on the right side of your “My Account” profile page. Once we approve your request, we will email you the login details and you can use an FTP client to transfer your content directly to our servers for speediness and ease of upload. 13. Does the site automatically extract ID3 metadata from my .mp3 and .wav audio files? Yes - the site will extract all "titles" and map them to AudioMicro's "title" input field. In addition, the site will extract all "comments" and map them to AudioMicro's "tags" input fields. If you "title" and "tag" your tracks locally before uploading, our system will extract this data for you, thereby saving you valuable time. Please be advised that we are diligently working to improve many aspects of the site as we are still in beta mode and we will be for quite some time. 14. I want to offer the same multi format versions of my pieces. Can I do this? Here are some guidelines for you: -if you upload the file in .wav format, our clients have the choice of downloading the file in wav, aif, or mp3. -if you upload in .aif, our clients have the choice of downloading the file in .aif, .wav, or .mp3. -if you upload in .mp3, they have the choice of downloading the file in only in .mp3 format. You are free to upload the files in whichever format you choose. We try not to have duplicate files (i.e. a .mp3 version and a .wav version) wherever possible, and we always prefer the higher quality files (.wav and .aif). 15. How can I tell how many active (approved and live) tracks that I have on AudioMicro.com?

If you go into the My Account profile page, you can see the status of each track that you have submitted to us that has been approved. Please note that if a track says inactive in red next to it, this means that we originally accepted your tracks and that our back end editors (upon a second or tertiary review) decided to inactivate your content. 16. What information from the My Account profile page that I input can other users see?
