Introduction

      Being one of the largest Russian companies that provides electric energy to a considerable part of
the industrial complex of the country and its inhabitants, IDGC of Centre and Northern Caucasus, JSC
(here and after referred to as 'the Company') should act as the leader in the field of corporate social
responsibility.
      Apart from its topmost business activity, IDGC of Centre and Northern Caucasus, JSC considers
charity and social programmes as the major directions of its participation in the life of the country and
society development. Charity and sponsorship act as tools of execution of the Company's social
responsibility, but they do not substitute it.
     The concept of charitable and sponsor activity (here and after referred to as 'the Concept') was
developed according to the current legislation of the Russian Federation, in particular, according to
federal law N 135-FZ 'On charitable activity and charitable organisations' as of 11 August, 1995; federal
law N 108-FZ 'On advertising' as of 18 July, 1995 and the principles of 'The social charter of the
Russian business'.
     The aim of the present document is, firstly, to establish the objects, principles and priorities that
the Company and the distribution grid companies (here and after referred to as 'DGCs') of its footprint
are guided by in their corporate charitable and sponsor activities, and, secondly, to define the
mechanisms and criteria of decision-making in order to make the process of charitable activity
management more system, effective and clear.
     The concept finds its reflection in development and approval of relevant public documents, 'The
regulation on the Committee for Sponsorship' and regulations of decision-making in IDGC of Centre
and Northern Caucasus, JSC and DGCs.
I. General provisions and basic concepts

1.1. The corporate charitable policy is based on the following principles:

- The enterprise objects, economic and social responsibility do not contradict, but supplement each
other;
- High long-term economic and social results are achieved on the basis of a reasonable balance of
interests of the shareholders, the state, workers, suppliers and consumers, public institutes and other
interested parties;
- Mutual relations of business with the state and business with the civil society should be built up on the
public legal basis.
1.2. Charitable activity and sponsorship should promote strengthening of reputation and improvement of
vision of IDGC of Centre and Northern Caucasus, JSC and DGCs by all groups of the civil society.

1.3. IDGC of Centre and Northern Caucasus, JSC on a voluntary basis takes part in the support of
education, culture and other directions of charitable activity and sponsorship provided in the legislation
of the Russian Federation.
1.4. At execution of the charitable activity and sponsorship the Company starts with the same values that
define its primary activity:
- Reliability and availability of electricity supply;
- Efficient use of energy;
- Development of partner relations with consumers;
- Safety and health of employees;
- Minimisation of harmful influence on the environment.

1.5. The procedure of the charitable activity or the sponsor help is defined by the Company according to
the legislation of the Russian Federation, Charters of the Company and DGCs and the present Concept,
according to which IDGC of Centre and Northern Caucasus, JSC and DGCs do not render help and
support to commercial organisations, organisations and representatives of the legislative, judicial and
executive power and political parties and movements.
1.6. IDGC of Centre and Northern Caucasus, JSC aspires to establishment of long-term partner relations
in the field of charity and sponsorship.
1.7. IDGC of Centre and Northern Caucasus, JSC is responsible for execution in the Company and
DGCs of principles of social responsibility, including transparent organisation of charity and
sponsorship. Organisations subordinated to IDGC of Centre and Northern Caucasus, JSC and/or their
employees may take part in charitable and sponsor projects.

1.8. Charitable activity

Charitable activity is a voluntary activity of the Company and/or DGCs on disinterested (gratuitous or
on favourable terms) transfer to citizens or legal bodies of property, including money resources,
disinterested performance of works, granting of services and rendering of other support and assistance.
1.9. Sponsorship
Sponsorship - execution by the Company and/or DGCs (sponsor) of the contribution (in the form of
granting of financial assets, property, results of intellectual activity, rendering of services, work) in the
activity of other legal or physical person (sponsored) under the terms of distribution sponsored
advertising (any positive information) about the sponsor.
II. Objects, main approaches and principles

2.1. The objects of a corporate policy in the field of charity and sponsorship are:
- Assistance to development of a mental potential and to increase of competitiveness of the country
through support of Russian science and education;
- Assistance to creative reconsideration of the cultural heritage, its integration into the modern life and
to development of cultural innovations;
- Improvement of the social environment and development of institutes of the civil society in Russia
through support of activity of organisations and separate people on solution of socially significant
problems;
- Preservation of the environment, health and well-being of fellow citizens through support of projects in
the field of ecology, medicine and sports.

2.2. The main directions in the sponsor and charitable activity of IDGC of Centre and Northern
Caucasus, JSC are:

In the field of assistance to development of a science, education and environmental protection:
- Stimulation of young scientists, post-graduate students, students to creation of perspective
developments in electric power industry, including carrying out of researches directed at reliable,
accessible and ecologically pure provision with energy of future generations;
- Support of progressive forms of education in power higher educational institutions;
- Helping talented youth in their education;
- Support of researches and projects directed at development of alternative energy sources, solution of
problems connected with global climatic changes, reduction of a negative influence over the
environment and development of power efficiency and efficient use of resources;
- Support of main researches in natural and human sciences.
In the field of assistance to cultural and art development:
- Support of projects promoting development of national culture as a part of the world cultural heritage,
propagation of domestic culture abroad;
- Support of projects promoting maintenance of availability of cultural heritage and involvement of
youth in the modern cultural process;
- Help to organisations and outstanding figures of literature, theatre, music and other arts;
- Help to religious organisations and religious figures.

In the field of social development and support of public initiatives:
-   Support of organisations and physical persons that act with socially significant civil initiatives
    directed at approval of values and development of institutes of the civil society and with educational
    projects.
In the field of health protection and well-being of people:
- Assistance in development of physical training and mass sports;
- Support of organisations and physical persons that are engaged in development and propagation of
ecological consciousness and a healthy way of life.
In the field of care of socially non-protected groups of fellow citizens:
- Help to veterans of electric power industry;
- Help to veterans of domestic culture, art, science and education;
- Help and protection of child orphans, invalids and elderly people who, due to their physical or
intellectual abilities and other circumstances need help or cannot independently execute their rights and
interests.
The named directions are priority in the charitable and sponsor activity of the Company; they coordinate
with the mission, values and strategy of development of IDGC of Centre and Northern Caucasus, JSC.

2.3. The Company's charitable activity can have an internal and external character. In the first case it is
directed at employees and members of their families, in the second, at non-profit organisations and
physical persons that are not affiliated with IDGC of Centre and Northern Caucasus, JSC. Internal
charity includes all kinds of help and support rendered to workers of the Company beyond the
frameworks of collective agreements, bonuses for work and other forms of material and non-material
motivation of the personnel.
2.4. In its external charity the Company adheres to the principle of support of concrete projects with
strictly set tasks and measurable results of current activity of the applicants providing execution of
projects that are in conformity with the positions of the present Concept. If these projects are directed at
solution of urgent social problems, then initiatives that lead to elimination of causes, and not their
consequences, set by the applicant are considered to be priority initiatives for support by the Company.
2.5. The company aspires to cooperate with those who "helps themselves", what is realised through the
principle of participation financing. In the majority of cases it is expected that the applicant who
addresses for help should generate not less than 25 % of the money necessary for execution of the
project from the sources that are not related to IDGC of Centre and Northern Caucasus, JSC.

2.6. The participation financing principle is also used at execution of charitable programmes,
significant for a variety of regions of the country and the Russian Federation as a whole. Such
programmes can be carried out and financed by IDGC of Centre and Northern Caucasus, JSC and/or
DGCs. Financing proportions are installed for each programme separately, but not above 50 % from the
part of the Company.
Besides, it is possible to execute charitable programmes in partnership with other companies or funds.

III. Organisation and management of charitable and sponsor activity

3.1. The company and/or DGCs render charitable help to legal or physical persons in the form of
gratuitous transfer of money resources, granting of services or acquisition of necessary property
(furniture, books, clothes, writing materials, medicines, equipment and other things).
3.2. The company and/or DGCs render sponsor help to legal or physical persons in the form of money
transfer or granting of property, results of intellectual activity, rendering of services, work under the
terms of distribution of sponsored information (advertising) about the Company and its activity
coordinated with the sponsor.
3.3. The company uses four mechanisms of rendering of charitable and sponsor help:
- Selection of applications in the Company and/or DGCs on execution of projects and carrying out of
actions and other demands for help;
- Invitation of separate noncommercial organisations to execution of charitable initiatives of the
Company and/or DGCs;
- Execution of partner programmes on the long-term basis, including financing of national awards and
other awards in the sphere of education, science and culture;
- Carrying out of competitions on execution of thematic programmes corresponding to priorities of the
Company. The general theme of the programme can be presented in the form of several nominations.
Competitions appear in the public order with instructions of the objects, problems and requirements to
projects that can compete for participation in the programme.
3.4. Organisations and physical persons for reception of sponsor help and reception of charitable help
should present projects corresponding to the main directions specified in part II of the present Concept
and satisfy at leas one of the conditions listed below:
- To show achievements in the same area that the project offered for consideration concerns;
- To have potential of long-term development;
- To be aimed at solution of problems that are topmost for the Russian society and/or local communities;
Organisations that address the Company and/or DGCs for charitable or sponsor help should send in an
application.

3.5. Private persons that need to receive charitable help (for example, for medical treatment or in case of
extreme personal circumstances) should send in an application in written form which will contain
description of the problem that requires charitable financing and, if needed, additional information and
documents confirming such a necessity.

3.6. At estimation of projects offered for financing the Company considers at least three components:
the expected social efficiency; influence over the reputation of the Company and DGCs; influence over
the core business activity of the Company and DGCs (contribution to optimisation of non-financial
risks, support of corporate values, etc.).
3.7. All decisions concerning the project forwarded by the applicant are based only on evaluation of its
advantages and disadvantages and conformity to publicly declared priorities and corporate charity
principles.

IV. Structure of charitable activity management
4.1. Management of charitable and sponsor activity is carried out on the basis of decisions of the
General Meeting of Shareholders, the Board of Directors of the Company and/or DGCs according to
their competence defined in constituent documents, after acceptance of a relevant decision of the
Company's Commission for Charity and Sponsorship.
4.2. The Commission for charity and sponsorship (here and after referred to as 'the Commission') shall
be established for execution of the main directions of charitable activity. Its structure shall include
representatives of production departments for corporate governance, property management, human
resources management, finance and economy, public relations, legal maintenance, management
board/branches, etc. The membership and the Chairman of the Commission are appointed under the
order of IDGC of Centre and Northern Caucasus, JSC. The decisions of the Commission are made on
the joint basis.
4.3. The Commission's tasks include:
- Preparation of offers on volumes of financing of charitable and sponsor activity of IDGC of Centre and
Northern Caucasus, JSC and DGCs in conformity with the general procedure of development of
business plans of the Company and DGCs for the next year;
- Consideration of applications sent to the Company and/or DGCs by legal and physical persons
concerning rendering of a charitable and sponsor help;
- Acceptance and documenting of decisions on financing granting;
- Monitoring of the execution and check of the results of projects and other actions that received
financing; control over target use of resources;
- Preparation of offers on development of the charitable policy and other issues.
Under the Commission's decision, foreign organisations may be involved in execution of certain work
(carrying out of an independent estimation of efficiency of projects that received a charitable or sponsor
support, organisation of competitions, etc.).
V. Procedure of applications examination and information disclosure
5.1. The Commission for Charity and Sponsorship examines applications, projects and other documents
on rendering of a charitable and sponsor help that the Company and/or DGCs received.
5.2. All applications and projects for rendering of sponsor and charitable help that the Company and/or
DGCs received are examined and analysed by the Commission not more than during one month since
their reception.
5.3. At consideration of applications the Company is guided by the objects described in part II of the
present Concept and the budget on charity and sponsorship.
5.4. In the course of consideration/decision-making on the applications and projects, the Company if
necessary, organises a personal meeting of its representatives with the heads and/or participants of the
project for specification of additional information.
5.5. The Commission informs applicants on the made decisions in a letter signed by the Chairman of the
Commission that is sent by mail, e-mail or fax.
5.6. Sponsor or charitable projects that the Company and/or DGCs received from the outside and the
projects initiated by any departments of the Company are assessed by uniform criteria.
5.7. All demands are considered by the Commission confidentially. The received information and the
made decision are not disclosed, if other is not provided in the arrangement concluded between the
Company's representatives and the applicant.

5.8. Charitable and sponsor activity of IDGC of Centre and Northern Caucasus, JSC and DGCs are
reflected in the social reporting and other public materials of the Company and DGCs. Not less than
once a year the Company shall publish and place on the web site a report on the activity in the field of
sponsorship and charity with the list of organisations, private persons (in case of charitable help - if they
agree to it) and projects that the Company helped this year. The employees of IDGC of Centre and
Northern Caucasus, JSC and DGCs are informed on a regular basis (at least once a quarter) about the
possibility of participation in charitable programmes and about results of charitable activity of the
Company and DGCs.
