What is an S Corporation?
An S-Corporation is a corporation that elects to be taxed as a "pass-
through" entity. In this case, the profits and losses are passed
through directly to the shareholders. Because it is exempt from Federal
Corporate Income Tax, the double taxation problem associated with C-
corporations is eliminated. In order to qualify for S corporation
status, the corporation can have no more than 100 shareholders, who
must all consent in writing to the election to be an S corporation. The
shareholders cannot be non-resident aliens. Also, an S corporation can
have only one class of stock.

What is 1244 Stock?
Under section 1244, losses that would otherwise be treated as capital
losses are treated as ordinary losses. This has several advantages to
the individual. Ordinary losses are not limited to $3,000 per year.
Instead, the maximum 1244 loss that can be taken in any year is
$100,000 for married individuals filing a joint return or $50,000 for
all others. The fee for 1244 stock is an additional $100 and comes with
the corporate resolutions and special stock certificates.
What is the New Jersey Business Registration requirement?
Every new business entity filed in the State of New Jersey is required
to file the New Jersey Business Registration or NJ-REG. The NJ-REG
registers your company with the New Jersey Department of Labor,
Division of Taxation, and Division of Revenue. The LLC must register
within 60 days of filing the new business entity or, if the business
will be collecting sales tax, at least 10 days prior to the date of the
business entity’ s first sale or use of New Jersey exemption
certificates.
Registered Agent Service
New Jersey law requires corporations to have and appoint a registered
agent and registered office in the state of New Jersey. The registered
agent is responsible for receiving important legal and tax documents
including notice of litigation (service of process), franchise tax
forms and annual report forms. The fee for one whole year of this
service is $150.00
Mail Forwarding/Address Service
You may use our Mail Service if you don’t have a permanent Corporate
home or if you would like to keep your physical address from appearing
on State Records. If you already have a Post Office Box, you may use
our office address for the purpose of filing the Corporation and you
may use your Post Office Box as your mailing address. One time use of
our address is $50 and our mail forward service is $25 dollars per
month plus a postage deposit of $50.00 paid in yearly increments.
