The Afghanistan Rural Enterprise Development Program AREDP / Balkh Provincial office of Ministry of Rural
Rehabilitation and Development (MRRD) (hereinafter referred to as the Client) is in need of office space for rent for
the period of one year and extendable for further period of one year.
The office is required to be located in a secure area in the capital of Balkh Province and to have a minimum of 12 to 15
rooms including Guard room, with 4 modern toilets (desirable) and 2 Kitchen (desirable) and should have at least
parking space for 12 vehicles; should have regular city electricity with 3 phase electricity facilities for generator use
(desirable); and water connection. In addition to that the house should have some rooms for stocks or similar
facilities.
The office will be used by the Client for official purpose only as an office and the owner agrees that there will be no
obstacle from neighbours and they are agree with the existence of the office in the same location.

6. With the mutual agreement with owner, the client may extend the contract on the same terms & conditions for a
period of not more than Twelve (12) months after the expiry of the current contract.

Annex “A”
Sample of Contract
TERMS AND CONDITIONS OF THIS CONTRACT:
(1) The Owner agrees to provide office space building for rent to the Client. The Owner
provides proof of ownership for the building offered on rent.
(2) The office space is located at .................................................................. and the usable office

(5) The Client will withhold the applicable tax according to the tax regulation of the government
from monthly rent, as taxes owed to the Government of Afghanistan.
(6) The Owner provides the office space to the Client with good condition, requiring no
immediate renovation or repairs. The Owner is obliged to hand over the Premises to the Client in a clean
and orderly condition.
(7) The representatives of both the Owner and of the Client will prepare an inventory and
condition report of the Premises prior to the handover to be signed by the representatives of both parties.
(8) The Client will not be responsible for any pending, ongoing or future repairs of the office
space. The client will also not be held responsible in any way for any accident or damage of any sort the
office space caused by third parties, over and beyond the control of the client, during the contract period.
(9) The Client agrees that it will use the office space only for official and not personal
/residential purposes.
(10) The Client will be responsible to vacate and return the office space to the Owner at the end of the
contract period.
(11) The client will be responsible for all cleaning required within the rented office space
during the contract period.
(12) The client will be responsible for payment of all utility expenses incurred during the
contract period.
(13) The owner agrees that he will have no access into the rented office space, except in the
presence of, and with the explicit permission, of the client. The owner also agrees that all equipments of
the client may be placed in the rented space during the contract period are not at his disposal and will not
be used whatsoever by any persons except those authorised by the client to do so.
(14) The Owner agrees that the Client has the right to install in the Premises, without any
increase in Rent and at the Client’s cost, any security equipment, materials, or installations, electrical
generator equipment, and telecommunications equipment considered necessary by the Client.

(15) The Owner agrees that the Client has the right to put fencing, barbed wire, cubicle for
guards, etc. for the purpose of security arrangements at the Client’s cost.
(16) The Owner shall, at his expense, be responsible for all major maintenance works,
structural works and major repair of the premises, including such structural elements including: walls,
ceilings, floors, and building services including: plumbing, pumps, water tanks, and well water systems
(including water tanks, pumps, and regular electricity supply).
(17) The Owner agrees to commence and carry out emergency repairs, or works, within a
reasonable period of time after receiving written notice from the Client. If the Owner and his/her
designee fails to make such repairs, or does not provide a reasonable schedule for completing such
repairs, the Client may incur expenses to complete the repairs, which shall be repaid by the Owner
within seven (7) days of the Client issuing a request for payment for these repairs or by deducting from
rent owing.
(18) The Owner shall not be entitled to build and/or construct on the said Premises or in its
vicinity and/or to carry out or structural additions during the term of Contract or extended term of
Contract. If the Owner fails to abide with this condition the Client has the right to terminate the Contract
and the Owner will be responsible for all expenses incurred by Client such as finding another premises,
moving to these premises and any rental differences or the Client at his own discretion may choose to
remain in premises and Owner will be liable to pay the Client half the amount of Rent for every day of
such failure and also the sum of Five United States Dollar ($5.00) per day, as liquidated damages agreed
upon and accepted by both parties in advance.
(19) The Owner accepts full responsibility for any claims arising from the Client or from third
parties for damage or injury sustained when the Owner has failed to maintain or repair the Premises as
required by the Contract.
(20) The Client has the right to make alterations and/or improvements and/or repairs to the
premises provided he/she obtains the Owner’s written consent in advance.
(21) The Client is obliged to take normal care of the Premises and ensure normal upkeep of the
Premises during the Contract Period and return the Premises to the Owner in the same condition as when
possession was handed over from the Owner to the Client at the end of the Contract Period, or earlier if
either Party terminates the Contract in advance of the end of the Contract Period.
(22) If the Owner assigns its rights and responsibilities under this Contract to a third party, or
sells the Premises to a third party, the Client may, within thirty (30) days of becoming aware of the
identity of the third party, terminate the Contract. The Owner must provide thirty (30) days notice to the
Client of its intention to sell the Premises or assign its rights and responsibilities under this lease to a
third party. However, this Contract shall be binding on any person, organization or company to which
the Owner may assign or sell his interest in the premises.
(23) If the Premises are destroyed or seriously damaged, and thus made unfit for tenancy;
through fire, vandalism, civil unrest, war, earthquake or flood, the Client has the option to immediately
terminate this Contract. Should the Client exercise this option, he/she will provide the Owner 30 days
written notice and any prepaid Basic Rent shall be refunded to the Client upon the effective date of
termination.
(24) Any of the improvements and/or additions and/or systems introduced by the Client to the
premises such as air conditioning systems and/or communication systems will remain as the Client’s
property and as such the Client has the right to claim them at the end of Contract Period and/or
termination provided the Client brings back the Premises to its original status and general condition. The

Client can install in the premises lighting fixture, window shutters and wiring for telephone system at no
additional cost, all of which shall remain as the Client’s property at the termination of this lease.
(25) The Owner warrants that he/she will hold the Client free and harmless from any and all
actions, claims, demands or proceedings by other parties relating to the Premises. The Client shall not
be required by the Owner to incur any costs to protect its right to use the Premises; and if any such costs
were incurred the Owner shall be responsible for reimbursing the Client.
(26) The Owner declares that he/she has no familial relationship with any AREDP employees.
(27) The Client holds the right to terminate this contract with a minimum notice period of one
month at any given point of time during the rental period without having to pay for any remaining period
in the contract period.
(28) With the mutual agreement with owner, the client may extend the contract on the same terms &
conditions for a period of Twelve (12) months or as agreed by both the parties, after the expiry of the current
contract.
