Provide a brief background for this transaction to put it into perspective.
appointment
Specify, in general terms, what type of consulting services that Consultant B will provide. Are the services project specific or of a general nature?
scope of responsibility
Indicate the scope of responsibility. Are there any specific exclusions to Consultant B’s scope of responsibility? To whom will Consultant B report?

hours of service
Is there a minimum or maximum number of hours that Consultant B will work? How much notice are they entitled to, given their other commitments?
compensation for consulting services
Specify whether it is fee based, a barter transaction, or both. Will any part of the compensation be performance based?
expenses
What expenses are reimbursable? Indicate the expense reimbursement policy.
intellectual property
In rendering consulting services, is it possible that Consultant B will create intellectual property? If so, who owns that intellectual property?
conflict of interest
Define what types of conflicts of interest are likely to arise. How will the parties deal with them?
confidential information
Are there any special considerations here or will a standard confidentiality clause suffice?
term
What is the term of the relationship? Is it subject to automatic renewal?

disputes
Do you want to establish a dispute resolution procedure?
obligations of consultant B
Describe their capabilities. Describe, in general, what types of consulting services they will render.
operational issues
How will the parties collaborate on a day to day basis? What operational issues do the parties need to address in the consulting agreement?
confidential information and trade secrets
The consulting agreement may incorporate confidentiality, non-disclosure and secrecy undertakings. Otherwise, the parties may sign a free standing agreement to the same effect. Should the undertakings be reciprocal?
intellectual property issues
What are the rights of Company A to the Intellectual Property developed by Consultant B?
liability issues
In performing the consulting services, what types of liability risks might arise? Who should wear those risks? Consultant B should not accept liability if any technology they develop proves unsuitable for Company A’s purposes, does not work, or causes unanticipated losses, costs and expenses, including loss of operations, loss of profits and loss of customer good will.

Company A may demand undertakings from Consultant B that they not render consulting services to a competitor.

State the term of the consulting agreement, together with any extensions or renewals thereof. What are the parties rights and obligations vis a vis each other, upon termination?
