                                   ARTICLES OF DISSOLUTION
                            Business, Professional, or Cooperative Corporation

Pursuant to Alaska Statutes, a business or professional corporation may decide to dissolve itself. After the
Certificate of Election is filed, the corporation must file Articles of Dissolution that sets forth:

Article 2. The corporation has been completely wound up.

Article 3. Check the appropriate box below:

     o There are no corporate debts and liabilities
     o The corporate debts and liabilities have been paid.

Article 4. If there are corporate debts and liabilities:

Article 5. The debts and liabilities of the corporation have been secured by funds placed in the depository

Article 6. Check appropriate box below:

     o    The known assets have been distributed to shareholders,
     o    If there are no shareholders, to persons entitled to the assets, or
     o    Wholly applied or deposited on account of its debts and liabilities

Article 7. The corporation is dissolved.

The Articles of Dissolution must be signed by the majority of directors in office.

Articles of Dissolution.

The filing fee for the Certificate of Election to Dissolve is $10.00
The filing fee for the Articles of Dissolution is $15.00.
