                             Announcement of Election

                     For Members of the Board of Directors of IDEA-NL
         To be held at the General Assembly of IDEA-NL on 11th of December, 2009

Powers

As per the Statutes of IDEA-NL, the Board has “all necessary powers to administer and
manage IDEA, subject to the powers reserved to the General Assembly”. These include the
appointment of the Executive Director, strategic and financial decisions. A thorough list is
available in section 4.2.10 of the Statues of IDEA-NL.

Number and Composition

As per the Statues of IDEA-NL, the Board has five to twenty-five members. These include
members elected by the General Assembly for up to two consecutive three-year terms,
members appointed by the Board, subject to approval by the General Assembly, a
representative of the Open Society Institute, a representative of IDEA-USA and a Dutch
member.

At least a majority of the members of the Board elected by the General Assembly shall be
active participants in and/or supporters of a debate program co-ordinated or operated by a
voting Member.

The Board has determined the minimum number of Board members elected at the next
session the General Assembly at six. Thus, provided that no Board members will have
resigned by the next session of the General Assembly, at least two seats will need to be
filled by the General Assembly.

Current Composition

The Board currently consists of the following members:

Joseph Zompetti (USA), President, term until 2011
Andrej Schulcz (Slovakia), Vice-president, term until 2011
David Crane (UK), Secretary, term until 2011
Trendafil Meretev (Bulgaria), term until 2010
Sergei Naumoff (Russia), term until 2009
Virginija Pakšiene (Lithuania), term until 2009
Noel Selegzi, the OSI representative
Mabel van Oranje, the Dutch member

The seat of the IDEA-USA representative is currently vacant.

Nomination Procedure

Anyone (members and non-members) may nominate anyone (themselves or other persons,
whether or not they are members or non-members) as a candidate for the Board of Directors
by sending an e-mail to Andrej Schulcz at andrej.schulcz@sda.sk (please note the spelling),
stating the full name and providing a valid e-mail address of the nominee for the IDEA Board
of Directors election in 2009.

All nominations must be made by 12:00 p.m. (GMT) on 20 th of November 2009.

Before the elections, the Board will confirm that each person nominated is willing to serve as
a Board member and will ask the nominees to provide responses to a few questions related
to Board membership, which will be posted online.
Election Procedure

The Board will establish a ballot containing all the names of the candidates who have
accepted their nominations to the Board of Directors. For each candidate, the ballot shall
indicate whether or not the person is an active participant in and/or supporter of an a debate
program co-ordinated or operated by a voting Member (“active participant”).

First Round of Voting

On the first round of voting, all voting members may vote for up to 2/3 (two-thirds) of the
number of candidates on the ballot. For example, if there are 12 names on the ballot, each
voting member may vote for up to 8 persons (i.e., 8 = 2/3 of 12). Numbers will be rounded
up when determining what is 2/3.

Kindly note that voting members are not obliged to vote for 2/3 of the candidates, but that
2/3 represents the maximum number of persons for whom they may vote. Any ballot
containing votes for more than 2/3 of the candidates on the ballot shall be
deemed null and void.

All candidates obtaining at least a majority of the votes cast will be elected to the
Board of Directors. If this number is equal to or greater than the minimum number set by
the Board, i.e., 6 for this year, then all successful candidates will be declared elected
members of the Board and there will be no further rounds of voting, unless a majority of
the persons elected are not active participants in and/or supporters of a debate
program co-ordinated or operated by a voting Member.

If a majority of the persons elected are not “active participants”, then there will be successive
rounds of voting until a majority of the persons elected are “active participants”. In such
successive rounds, the names of all persons who are not “active participants” shall be
removed from the ballots. Except as mentioned in the preceding sentence, the successive
rounds of voting shall take place as described in the next section.

If, however, the number of persons elected in the first round is less than the minimum
number set by the Board, then there will be successive rounds of voting until a number equal
to or greater than the minimum number set by the Board is elected.

Successive Rounds of Voting

During each successive round, a ballot will be prepared and will contain all the names of the
candidates obtained between 20% and 50% of the votes cast during the preceding round of
voting (except as described above when the majority of the persons elected in the preceding
round are not “active participants”). Numbers will be rounded down when determining the
percentage of votes obtained.

Again, all voting members may vote for up to 2/3 of the number of candidates on the new
ballot. All candidates obtaining at least a majority of the votes cast will be elected to the
Board of Directors. If the number of candidates elected during this round and all preceding
rounds is equal to or greater than the minimum number set by the Board, i.e., 6 for this year,
then all successful candidates will be declared elected members of the Board and there will
be no further rounds of voting. If, however, the number of candidates elected during this
round and all preceding rounds is less than the minimum number set by the Board, then
there will be successive rounds of voting, in accordance with the same procedures stated
above for successive rounds, until a number equal to or greater than the minimum number
set by the Board is elected.
