ARTICLE I

NAME AND REGISTERED OFFICE





Section 1

Name:

The name of this organization is ALLOTTEES ASSOCIATION and AFFILIATED TRIBES

& BANDS OF THE QUINAIELT RESERVATION, herein referred to as AA and AT.



Section 2

Registered Office and Registered Agent:

The registered office of the membership shall be located in the State of Washington, which is

now 9216 Mullen Road SE, Olympia, Washington 98513-4750 and the registered agent is

Mr. James D. Blaylock. The Board of Directors upon filing such notices as may be required

by law may change the registered location or agent.



ARTICLE II

Meetings/Location



Section 1

Location:

Directors meetings of AA and AT Board will be held the 3rd Saturday of each month at the

agreed chosen location. Meetings will begin at 10am and conducted under Roberts Rule of

Order. The June monthly meeting will be held on the 2nd Saturday. No board meeting will

be held in July.

AA & AT monthly board meetings will be held at the Bureau of Indian Affairs, Olympic

Peninsula Agency Aberdeen, Washington. The meeting place shall be determined by the

board of directors.



Section 2

Annual Meeting:

The annual meeting of AA and AT will be held on the third Saturday of the month in July,

starting at 10:00am. Location to be determined by the Board of Directors. Notification as to

the location and anticipated agenda shall be sent or emailed no later than 4 weeks prior to the

meeting date to the membership.



Section 3

Special Meeting:

Special meeting may be called by the Chairperson or by the Secretary acting jointly or by any

five (5) members of the Board. Adequate written notice stating time, location, and purpose

must be given for all special members.

ARTICLE III

PURPOSE

Section 1

Purpose:

To provide a united Indian organization in order to protect the treaty rights with and maintain

a trust relationship with the United States Government; to establish policy for sustained yield

management of the timber resources and Realty issues of common concern; to advise the

Bureau of Indian Affairs, Department of Interior, the Secretary of the Interior, and other

Agencies in respect to these and other appropriate concerns; and maintain consistent actions

and respect for these Indian people, Tribes and Bands in accord with the Treaty, Executive

Orders, and Federal Laws and Acts stated in the preamble (located in our constitution) and

any future Federal Laws, Acts, and Executive Orders which may specifically apply to these

Indian people, Tribes and Bands.



ARTICLE IV

STRUCTURE OF AA and AT



Section 1

Structure:

The basic structure of AA and AT shall consist of all Allottees (Indians holding trust

property within the bounds of the Quinault Indian reservation) and prospective heirs

regardless of tribal affiliation.



Section 2

Organization:

AA and AT will consist of 10 members (directors) holding individual trust land and 5 heir

apparent members (directors) elected at the annual meeting held in July and from this group

the Directors shall select four (4) officers’ positions. These positions shall be Chairperson,

Vice-Chairperson, Secretary, and Treasurer and elected from the directors owning individual

trust land.



Section 3

Removal of Office:

Any member holding an elected position who is absent from three (3) consecutive regularly

scheduled meeting of AA and AT, without an excused absent, the Board shall review and

take action at the following monthly meeting to remove the member from the office for

cause. Any person, so removed, shall be notified in writing, by the Secretary of AA and AT

within five (5) working days of said action.

Section 4

Right of Appeal

Any member of AA and AT that has been removed from a director position or from officer

positions for cause has the right to appeal. Appeals shall be submitted in writing, to the

Chairperson or Vice-Chairperson within (10) days of notification of being removed from

office.



Section 5

Voting:

Each member of AA and AT shall have one (1) vote on all matters.



Section 6

Quorum:

Five (5) members of AA and AT must be present to constitute a quorum of the Directors and

Officers, and for voting at the annual meeting 25 members must be present.



Section 7

Indemnification:

Directors and Officers: The Association membership shall indemnify its directors, officers,

employees, and agents to the greatest extent permitted by law. The association shall have

power to purchase and maintain insurance on behalf of any person who is or was a director,

officer, employee or agent of the association or who is or was serving at the request of the

association as an officer, employee or agent of another association, corporation, partnership,

joint venture, trust, other enterprise, or employee benefit plan, against any liability asserted

against such person and incurred by such person in any such capacity or arising out of any

status as such, whether or not the association would have the power to indemnity such person

against such liability under the provision of this Article IV, Section 7.



Section 8

Depositories:

The monies of the association shall be deposited in the name of the association/membership

in such bank, or banks or trust companies as the Officers shall designate, and shall be drawn

from such accounts only by check or other order for payment of monies signed by such

person or persons, and in such manner as described in the Bylaws or as may be determined

by resolution of the Officers.



ARTICLE V

OFFICERS



Section 1

Elections:

AA and AT Directors shall elect a Chairperson, Vice-Chairperson, Treasurer, and Secretary.

The election shall take place at the regularly scheduled next meeting after the Annual

meeting. Any vacancy occurring in officers’ positions shall be filled by a majority of five (5)

or more directors at the next board meeting.

Section 2

Tenure:

All elected Officer Positions may serve for a term up to five (5) years.



Section 3

Duties:

The officers shall have duties common and appropriate to their respective offices.



Chairperson: Shall preside at each and every meeting of AA and AT. They shall

appoint with the approval of the Directors, all sub-committees and their respective

chairperson. The chairperson shall have the authority to appoint an acting Secretary to

record the minutes of the meeting in the absence of the Secretary.



Vice-Chairperson: Shall assume the duties of the Chairperson in their absence or

inability to function.



Secretary: Shall record all proceedings of AA and AT. The secretary shall take and

record the roll, read and record the minutes, correspond for AA and AT and notify all

members of the time, date and agenda of each meeting. The Secretary shall help the

Chairperson in the preparation of the agenda for each meeting as necessary. The secretary

shall also maintain the Web Page, or delegate the responsibility. In the absence of the Chair

or Vice Chair the secretary shall preside.



Treasurer: The Treasurer shall handle all finances that are raised by AA and AT. A

simple accounting system which clearly records incoming and expended funds of AA and

AT shall be implemented by the Treasurer. The treasurer will give financial reports to the

membership at the regularly scheduled meetings.
