1.0       INTRODUCTION AND PURPOSE:

          1.1   DESCRIPTION AND PURPOSE OF THE REQUEST FOR BIDS:

                The purpose of this document is to provide interested parties with information to enable them to
                prepare and submit a bid for providing snow plowing and snow removal services for state office
                buildings throughout the State of Wisconsin.

                The State, as represented by its Department of Administration, Division of State Facilities, intends
                to use the results of this request for bids to award a contract for said services.

          1.2   REASONABLE ACCOMMODATIONS:

                The Department will provide reasonable accommodations, including the provision of informational
                material in an alternative format, for qualified individuals with disabilities upon request.

          1.3   SCOPE:

                The Department of Administration (DOA), Division of State Facilities (DSF) intends to utilize the
                resulting contract for the purchase of snow plowing and removal services encompassing the
                following locations in Wisconsin:

    1.4   OVERVIEW OF PROCURING AGENCY:

          The Department of Administration performs administrative and executive functions for the State of
          Wisconsin. The Division of State Facilities administers' the maintenance and protective services
          for State owned buildings.

    1.5   CONTRACT LENGTH:

          The contract will be for a two year period, with three (3) one (1) year renewals possible by mutual
          agreement.

    1.6   CONTRACT TERMS AND FUNDING:

          In Compliance with 1989 Wisconsin Act 345, contract renewal will not occur if a certified work
          center has requested the contract; and is capable of providing the specified Snow Plowing and
          Removal Services at a competitive price.

    1.7   CANCELLATION AND TERMINATION:

          The State reserves the right to cancel this Agreement, for reasons of breach of contract, by giving
          written notice to Contractor of such cancellation and specifying the effective date thereof, at least
          ten (10) days before the effective date of such cancellation. Contractor shall, in the event of such
          cancellation, be entitled to receive compensation for any work accepted hereunder in accordance
          with the State's order(s). Contractor may also be compensated for partially completed work in the
          event of such cancellation. The compensation for such partially completed work shall be no more
          than the percentage of completion of each work effort, as determined in the sole discretion of the
          State, times the corresponding payment for completion of such work as set forth in the State's
          order(s).

          The State will not be held accountable during the length of this Agreement in the event a building
          is sold or purchased. The Contractor will receive written notice within (30) days of any changes to
          our inventory of buildings.

          In addition, the State reserves the right to terminate this Agreement, for any other reason, by
          giving written notice to Contractor of such termination and specifying the effective date thereof, at
          least ten (10) days before the effective date of such termination. Contractor shall, in the event of
          such termination, be entitled to receive compensation for any work accepted hereunder in
          accordance with the State's order(s). Contractor shall also be compensated for partially
          completed work in the event of such termination. The compensation for such partially completed
          work shall be no more than the percentage of completion of each work effort, as determined in the
          sole discretion of the State, times the corresponding payment for completion of such work as set
          forth in the State's order(s).

          Upon termination or other expiration of this Agreement, each party shall forthwith return to the
          other all papers, materials, and other properties of the other held by each for purposes of
          execution of this Agreement. In addition, each party will assist the other party in the orderly
          termination of this Agreement and the transfer of all aspects hereof, tangible or intangible, as may
          be necessary for the orderly, non-disruptive business continuation of each party.

    1.8    VENDORNET REGISTRATION:

          The State of Wisconsin’s purchasing information and vendor notification service is available to all businesses
          and organizations that want to sell to the State. Anyone may access VendorNet on the Internet at
          http://vendornet.state.wi.us to get information on state purchasing practices and policies, goods and services that
          the state buys, and tips on selling to the State. Vendors may use the same website address for inclusion on the
          bidders list for goods and services that the organization wants to sell to the State. A subscription with notification

                guarantees the organization will receive an e-mail message each time a state agency, including any campus of
                the University of Wisconsin System, posts a request for bid in their designated commodity/service area(s) with
                an estimated value over $25,000. Increasingly, state agencies also are using VendorNet to post simplified bids
                valued at $25,000 or less. Vendors also may receive e-mail notices of these simplified bid opportunities.

                In the future, requests for bids from the Division of State Facilities for commodities or services will be sent
                automatically only to vendors subscribing to VendorNet. If questions exist about VendorNet, call the VendorNet

2.0       BID PROCEDURES AND INSTRUCTIONS:

          2.3   BID RESPONSE:
                Vendors responding to this RFB must comply with the following requirements:
                a)      SIGNED REQUEST FOR BID SHEET:
                Include the signed Request for Bid sheet with the bid response and those certifications required for submittal
                of a bid. Bids submitted in response to this RFB must be signed by the person in the vendor's organization
                who is responsible for the decision as to the prices being offered in the bid or by a person who has been
                authorized in writing to act as agent for the person responsible for the decision on prices. By submitting a
                signed bid, the vendor's signatories certify that in connection with this procurement:

                        (1)      The vendor's organization or an agent of the vendor's organization has arrived at the prices
                                 in its bid without consultation, communication or agreement with any other respondent or with
                                 any competitor for the purpose of restricting competition,
                        (2)      The prices quoted in the bid have not been knowingly disclosed by the vendor's organization
                                 or by any agent of the vendor's organization and will not be knowingly disclosed by same,
                                 directly or indirectly, to any other respondent or to any competitor
                        (3)      No attempt has been made or will be made by the vendor's organization or by any agent of
                                 the vendor's organization to induce any other person or firm to submit or not to submit a bid
                                 for the purpose of restricting competition.


                b)      ADDITIONAL INFORMATION:

                Complete the Vendor Data Sheet and Vendor Reference Data Sheet and the Equipment Data Sheet required in
                the bid. Include all additional information that will be essential to an understanding of the bid. This might include
                diagrams, excerpts from manuals, or other explanatory documentation that would clarify and/or substantiate the
                bid document.

                Vendor Data Sheet – Provide the information requested about your company.

                Equipment Data Sheet - List the brand, model, type, size, and number of all equipment that vendor proposes to
                furnish while performing this contract. The state reserves the right to visit the Contractors place of business to
                verify the number and type of equipment prior to awarding of this contract.
                Reference Data Sheet - List four other jobs of similar size that your Company has performed for Snow
                Plowing and Removal Services.


                c)      COST INFORMATION:
                Provide cost information on the cost sheets included in this RFB. All costs for furnishing the product(s)
                and/or services(s) included in the bid in accordance with the terms and conditions in this RFB must be
                included.
          2.4   MULTIPLE BIDS:
                Multiple bids from a vendor will be permissible on this bid.

          2.5   INCURRING COSTS:
                The State of Wisconsin is not liable for any cost incurred by a vendor in the process of responding to this
                RFB.

          2.6   AMENDMENTS:
                Bidders are expected to raise any questions, exceptions, or additions they have concerning the RFB document in
                the RFB process. If a bidder discovers any significant ambiguity, error, conflict, discrepancy, mission, or other
                deficiency in this RFB; the bidder should immediately notify the below named individual of such error and request
                modification or clarification of the RFB document.

                In the event that it becomes necessary to provide additional clarifying data or information, or to revise any part of
                this RFB, supplements or revisions will be posted on VendorNet.

                Each bid shall stipulate that it is predicated upon the terms and conditions of the RFB and supplements or
                revisions thereof. By signing the Request for Bid, the vendor agrees to this condition.

          2.7   NEWS RELEASES:
                News releases pertaining to the RFB or to the acceptance, rejection, or evaluation of bids shall not be made
                without the prior written approval of the State.

3.0       BID ACCEPTANCE, EVALUATION AND AWARD

          3.1   BID OPENING:

          Bids will be opened at 2:00 p.m. CT, October 4, 2007, 101 East Wilson Street, 9 Floor, Madison, Wisconsin
          53702. Only the names of the bidders for each contract may be read aloud at that time.

    3.2   BID ACCEPTANCE:
          Bids that do not comply with instructions or are unable to comply with specifications contained in this RFB
          may be rejected by the State. There will be a mandatory pre-bid site inspection: Bidder’s responsibility to
          inspect sites prior to submitting bids to determine all requirements. A list of the vendors viewing the sites will
          be maintained by each Building Supervisor. The list will be forwarded to the Purchasing Agent to file in the
          bid envelope. Bid’s made without meeting the mandatory inspection, will be subject for rejection. The State
          may request reports on a vendor's financial stability and if financial stability is not substantiated may reject a
          vendor's bid. The State retains the right to accept or reject any or all bids, or accept or reject any part of a bid
          deemed to be in the best interest of the State. The State shall be the sole judge as to compliance with the
          instructions contained in this RFB.

    3.3   BID EVALUATION:
          Bids will be evaluated to verify that they will meet all specified requirements in this RFB. This verification may
          include requesting reports on the vendor's financial stability, conducting demonstrations of the vendor's
          proposed products(s) and/or service(s), and reviewing results of past awards to the vendor by the State of
          Wisconsin. Bids from certified Minority Business Enterprises may be provided up to a five percent (5%) bid
          preference in accordance with Wis. Stats. s. 16.75(3m).

    3.4   METHOD OF BID:

          Bidder must submit a unit price for each snowfall depth as indicated on the Cost Sheets for each location. The
          average number of snowfalls per depth has been provided for calculation purposes and are estimates only.

    3.5   METHOD OF AWARD: Snow Falls per Inch -Wisconsin:
          The department will make the contract awards to the lowest average bid responses per location. Calculations
          will be determined by averaging the TOTAL PRICE PER SNOWFALL FOR PLOWING costs for each
          snowfall depths as identified in the Cost Sheets.
          It is possible for multiple awards to be made for this contract. Awards will be made to each state office
          location.
          Bids that require that the State shall guarantee a specific dollar amount or quantity of services will be
          disqualified.

    3.6   NOTIFICATION OF INTENT TO AWARD:
          Any vendors who respond to this RFB, with a bid, will be notified in writing of the State's intent to award the
          contract(s) as a result of this RFB.
          After notification of the intent to award is made, and under the supervision of agency staff; copies of bids will
          be available for public inspection 8:00 a.m. to 4:00 p.m. at 101 E. Wilson St., 9th floor, Madison WI. Vendors
          should schedule reviews with Cheryl Foxford, 608.266.0312, to ensure that space is available for the review.

    3.7   APPEALS PROCESS:
          The appeals procedure applies to only those requests for bids that are greater than $25,000. Notices of
          intent to protest and protests must be made in writing. Protestors should make their protests as specific as
          possible and should identify statutes and Wisconsin Administrative Code provisions that are alleged to have
          been violated.
          The written notice of intent to protest the intent to award a contract must be filed with:

                 The written protest must be received in his/her office no later than ten (10) working days after the notices of
                 intent to award are issued.

                 The decision of the head of the procuring agency may be appealed to the Secretary of the Department of
                 Administration within five (5) working days of issuance, with a copy of such appeal filed with the procuring
                 agency, and provided the appeal alleges a violation of a statute or a provision of the Wisconsin Administrative
                 Code.

           3.8   ORDER OF PRECEDENCE:

                 In the event of contract award, the contents of this RFB (including all attachments), RFB addenda and revisions,
                 the bid response from the successful bidder, and additional terms agreed to, in writing, by the Department and
                 contractor shall become part of the contract. Failure of the successful bidder to accept these as a contractual
                 agreement may result in a cancellation of award.

                 The following priority for contract documents will be used if there are conflicts or disputes:

           3.9   LIQUIDATED DAMAGES:

                 Both parties acknowledge that it can be difficult to ascertain actual damages when a Contractor fails to carry out
                 the responsibilities of the Contract. Because of that, the Contractor acknowledges that for the Contract resulting
                 from this RFB, it will negotiate liquidated damages, as required by the State, for the Contract. The Contractor
                 agrees that the agency shall have the right to liquidate such damages, through deduction from the Contractor's
                 invoices, in the amount equal to the damages incurred, or by direct billing to the Contractor.



4.0        TECHNICAL REQUIREMENTS: ALL REQUIREMENTS IN THIS SECTION ARE MANDATORY



           4.1   GENERAL SPECIFICATIONS:

                 4.1.1   GENERAL:

                         The successful contractor shall be responsible for the snow plowing and removal services stated in
                         Section 4.2 for the corresponding locations specified in the contractor’s bid proposal.

                 4.1.2   INSURANCE:

                         All vehicles, equipment and drivers shall be fully covered by Liability Insurance, Workman’s
                         Compensation and Unemployment Insurance. In carrying out the scope of this Contract, the Contractor
                         will be required to perform services on State property. Bidders cost must include all transportation and
                         insurance charges.

                         The contractor's attention is directed to Item # 23 of the Standard Terms and Conditions pertaining to
                         Insurance Responsibility. An insurance certificate must be submitted upon request.

                 4.1.3   BIDDER QUALIFICATIONS:

                         Bidders and awarded contractor must be providing this service to the general public on an ongoing
                         basis. Contractor must clearly designate a person to provide on-going communications, coordinate
                         service, answer questions and expedite service. Contractor shall provide supervision to coordinate
                         work.

                 4.1.4   FIRM PRICES:

             Prices established from this bid shall be firm for a period of one (1) year. Any increase proposed for
             renewal period shall be submitted to the department 90 days before the effective date of the
             proposed price increase and shall be limited to fully documented cost increases. The conditions
             under which price increase may be granted are as follows: substantial increase in operating costs,
             insurance, etc., demonstrated to be industry wide.

     4.1.5   PRE-BID SITE INSPECTION:

             It is the bidder's responsibility to inspect sites prior to submitting bids to determine all requirements.
             There will be a mandatory pre-bid site inspection: Bidder’s responsibility to inspect sites prior to
             submitting bids to determine all requirements. A list of the vendors viewing the sites will be maintained
             by each Building Supervisor. The list will be forwarded to the Purchasing Agent to file in the bid
             envelope. Bids submitted without meeting the mandatory inspection, will be subject to rejection.

           4.1.6   DAMAGES AND REPAIR :
                   All work is to be done in a professional manner. The vendor shall be responsible for all damage to
                   curbs, curb stops, catch basins, abutments and other property. This damage will be repaired at the
                   contractor’s expense by May 1 and to the satisfaction of the owner.


           4.1.7   EMPLOYER – EMPLOYEE RELATIONSHIP:
                   The successful vendor agrees that they are an independent contractor doing business with the State
                   of Wisconsin and shall comply with all applicable federal, state and local laws regarding working
                   conditions, hours of employment, overtime regulations, methods and rates of payment and all
                   regulations regarding employer-employee relationship.

     4.2 TECHNICAL SPECIFICATIONS:

           4.2.5   PLOWING AND HAULING PROCEDURES:

                   Parking lots, entrances, exits, loading area, sidewalks (where required), decks, steps,
                   crosswalks and handicap ramps shall have snow plowed as directed by the Building
                   Supervisors. The Building Supervisors will direct all Snow plowing and removal operations. All
                   areas shall be scraped clear of snow as much as possible. Work shall be done in such a
                   manner so as to create a safe parking and walking situation.

           4.2.6   Special Requirements Listed Below:
                   Monona Terrace Parking Facility, 1 John Nolen Drive. (First Priority)
                   Technical Specifications:
                   Parking Lots: 575 Parking stalls, 115, 320 Sq. Yards
                   Driveways, Entrances, Exits, Loading Areas: Include the approach and exit drives to the entrances and
                   exits for the Monona Terrace Parking Facility. Remove snow which blows into the bay levels and the
                   State Human Services Bldg. Plowing, Hauling and Disposal of Snow: The snow accumulation is to be

     removed entirely from the parking, dock drives and access and exit areas. If this is not complied with,
     the removal company will be responsible for correcting the situation.
     Salting and Sanding: Salt may not be used under ANY circumstances.
     Use Calcium Chloride for Deicing. Once the area is cleared provide minimal sanding on the cement-
     terraced area of the parking lot. In the event of a severe ice storm provide sufficient sand to assist
     traction.
     Equipment: “The vendor is required to use for Snow Removal, Loading, Hauling, and Disposal
     only Rubber Bottom Plows, Equipment, and Vehicles with NO more than 2,000 Pounds Weight
     Per Wheel and NO More than 8,000 Pounds Total Weight Per Plows, Equipment, and Vehicle.”


     Plowing and snow removal is to be a High Priority for this site.
     There are two snow shoots on the Monona Terrace Parking for snow removal; one at each end of the
     parking deck. The snow dumped into the snow shoots, ends up on the service drive below and
     needs to be removed at the same time it is dumped onto the parking deck to keep the service drive
     open.
     Safety concerns:
           When dumping snow from shoot to service drive spotter should be used on sight to help with
          traffic control. The service drive lead to parking lot and to the dock areas.
           There is a light at each snow shoot that will be switched on when it is safe to dump snow
          through the shoot, the light switch is located in the service drive area, when the light is turned off
          no snow is to be dumped into the show shoot.
           When dumping snow from the snow shoot to the service drive safety cones need to be set in
          place on the service drive.
     Snow shall be piled in the corner of the drive entrances until hauled away to the vendor’s disposal
     site. Upon the Buildings Managers approval the snow loading, hauling and removal shall be
     accomplished the same night as the snow plowing when practical.
     Contractors Are Not required or responsible for plowing the snow on the sidewalk area on West
     Wilson Street. The owner will be responsible for plowing the snow adjacent to State Human Services
     Building at 1 West Wilson Street.

             landings. This will be hourly rate. Invoices must show a breakdown of rate,
             hours, and task performed.
             Parking Lots: 8800 Sq Yd total
             Driveways, Entrances, Exits, Loading Areas: Done along with Parking Lot
             Hand Shoveling: Provide an hourly rate. Hand shoveling by Building supervisor
             request only.
             Plowing, Hauling and Disposal of Snow: Snow is to be plowed away from lots and
             entrances, push and or pile snow so that no hauling will be needed for entire
             season. On request/on call, provide snow removal for 45 parking stalls when the
             cars can be moved and a schedule can be arranged. Plowing times should be
             from 6pm until 6am.

             Salting and Sanding: Salt will be applied to provide safe conditions, should be
             applied for traction purposes without excessive tracking into the building or
             damaging lawns and vegetation.

     4.2.6.1 PLOWING TIMES:
                     All plowing and clean up shall be completed before 6:00 am the morning
                     after a snowfall unless specified in the individual specification above.
                     Scheduled work to start at 12:00 a.m. midnight to meet the requirement
                     that plowing and clean up be completed by 6:00 am the morning after a
                     snowfall. Work can be performed on Weekends and Holidays within four
                     hours after the snow has fallen.

                                         These times are subject to approval and directions of the Building
                                         Supervisor or the designated Building Management alternative as a
                                         representative of the state to coordinate or authorize snow plowing and
                                         removal for times other than stated above.


                         4.2.6.2 EQUIPMENT:
                                         The vendor is to use as much equipment of the size and type specified
                                         as he/she feels will satisfactorily complete this job in the time allotted.
                                         Vendors must furnish all equipment, labor and supplies needed to
                                         carryout the contract as specified at no extra cost to the state.
                 4.2.5   STORING EQUIPMENT:
                         No operable or inoperable equipment shall be left on site at any time
                 4.2.6   PARKED CARS:
                         Equipment should be used to remove as much snow as is feasibly possible between
                         parked cars.
                 4.2.7   PLOWING, HAULING and DISPOSAL OF SNOW:
                         Upon the Buildings Managers approval the snow loading, hauling and removal shall be
                         accomplished the same night as the snow plowing when practical. No snow shall be
                         hauled without prior approval.
                         The Wisconsin State Capitol, Monona Terrace Parking Facility, State Human Services
                         Building, State Sponsored Day Care Center require hauling of snow on a regular basis.
                         For loading, hauling and disposing of snow, the contractor shall provide a time sheet
                         indicating the hours for man and machine used within 48 hours of each service
                         performed. Work sheets shall be signed by the Building Supervisor or their
                         representative before the contractor departure after performing the loading and hauling of
                         snow.
                 4.2.8   DEICING:
                         Salt and sand shall be applied on request only. Salt and sand should be applied to help
                         traction without excess tracking into the building or salt damage to adjacent vegetation.
                         Salt may not be used at the Monona Terrace Parking Ramp or 1 W. Wilson Street. Only
                         Sand and/or Calcium Chloride are to be used at these sites.


                 4.2.9   SUBSTANDARD WORK PERFORMANCE:
                         Contractor will correct or cause to have corrected any substandard works as requested by
                         the Building Supervisor or their representative.


                 4.2.10 CODES:
                         Snow removed from the sites shall be managed by the contractor and disposed of in
                         accordance to any applicable state, federal and local laws, ordinances, codes, rules,
                         regulations, risk, and safety standards.

5.0        PERFORMANCE REQUIREMENTS:
            5.1 GENERAL PERFORMANCE SPECIFICATIONS:
                 5.1.1   Work shall be of good quality and done in a professional manner. Work shall be done in
                         such a manner so as to create a safe parking or walking situation. The contractor shall
                         utilize, on this contract, only workers that are skilled in the tasks to which they are
                         assigned. The Division of State Facilities retains the right to require the reassignment of
                         an employee or employees as the Department may deem necessary. Reasons for this
                         request may be, but are not limited to: incompetence, carelessness, and disruptive or
                         otherwise objectionable behavior. The request for reassignment is in no way a call for
                         dismissal. It is a request for the individual to be assigned away from the State facility.

                  5.1.2   Contractor shall have in their employ, or under their control, sufficient qualified and
                          competent personnel to perform work promptly and in accordance with a schedule or
                          work program, as approved by the Division of State Facilities. All equipment and supplies
                          proposed must be capable of performing all operations in accordance with the
                          specifications.
                  5.1.3   Contract Cancellation: The State of Wisconsin reserves the right to cancel this contract
                          upon 30 days written notice to the contractor if any of these situations apply: it is
                          determined that the contractor's management or operation is unsatisfactory in any
                          respect, if the contractor has failed, neglected, or refused to comply with the terms of this
                          bid or resulting contract, if the funding for this work is not authorized.
                  5.1.4   The vendor shall designate a contact person for coordination of this contract between the
                          Building Supervisor and the vendor.



6.0        SUPPORT REQUIREMENTS:

            6.1   Payments to contractor: Payments will be made to the contractor upon their submittal and the
                  verification by the Building Supervisor of an itemized list of work performed. This list shall itemize
                  each job separately and shall show the dates attributable to each. In addition, the hauling of snow
                  or sanding will require the completion of the Snow Removal Control Sheet. Contractor Shall
                  Submit Itemized Invoices to the Building Supervisors listed in 4.1:
            6.2   Invoices shall be based on accumulation of 1” with prices reflecting costs submitted on the RFB
                  bid cost sheet form.
            6.3   Determination of snow depth for payment will be as registered by the National Weather Service
                  Office, 2400 Wright Street, Madison, Wisconsin 53704, telephone number 249-6645. At time and
                  date snow is plowed.
            6.4   Proration of snow depth will be made in the event plowing is requested during a snowstorm.

             9.1     SPECIAL TERMS AND CONDITIONS

                     Prime contractor and minority business subcontractors

                     The prime contractor will be responsible for contract performance when subcontractors are used. However, when
                     subcontractors are used, they must abide by all terms and conditions of the contract. If subcontractors are to be used,
                     the proposer must clearly explain their participation.

                     The State of Wisconsin is committed to the promotion of minority business in the state’s purchasing program and a goal
                     of placing five (5) percent of its total purchasing dollars with certified minority business. Authority for this program is
                     found in Wisconsin Statures 10-107(2), 16.75(4) and 16.75(5), and 560.03(2). The Department of Administration is
                     committed to the promotion of minority business in the department’s purchasing program.

                     The State of Wisconsin’s policy provides that minority owned business enterprises certified by the Wisconsin
                     Department of Commerce, Bureau of Minority Development should have the maximum opportunity to participate in the

                                       Wisconsin’s Cooperative Purchasing Service

Wisconsin statutes (s. 16.73, Wis. Stats.) establish authority to allow Wisconsin municipalities to purchase from state contracts.
Participating in the service gives vendors opportunities for additional sales without additional bidding. Municipalities use the
service to expedite purchases. A "municipality" is defined as any county, city, village, town, school district, board of school
directors, sewer district, drainage district, vocational, technical and adult education district, or any other public body having the
authority to award public contracts (s. 16.70(8), Wis. Stats.). Federally recognized Indian tribes and bands in this state may
participate in cooperative purchasing with the state or any municipality under ss. 66.0301(1) and (2), Wis.Stats.

Interested municipalities:

26.0   PUBLIC RECORDS ACCESS: It is the intention of the state to maintain an open and public process in the solicitation, submission, review,
       and approval of procurement activities.

       Bid/proposal openings are public unless otherwise specified. Records may not be available for public inspection prior to issuance of the notice
       of intent to award or the award of the contract.

27.0   PROPRIETARY INFORMATION: Any restrictions on the use of data contained within a request, must be clearly stated in the bid/proposal
       itself. Proprietary information submitted in response to a request will be handled in accordance with applicable State of Wisconsin
       procurement regulations and the Wisconsin public records law. Proprietary restrictions normally are not accepted. However, when accepted,

28.0   DISCLOSURE: If a state public official (s. 19.42, Wis. Stats.), a member of a state public official's immediate family, or any organization in
       which a state public official or a member of the official's immediate family owns or controls a ten percent (10%) interest, i s a party to this
       agreement, and if this agreement involves payment of more than three thousand dollars ($3,000) within a twelve (12) month period, this

30.0   MATERIAL SAFETY DATA SHEET: If any item(s) on an order(s) resulting from this award(s) is a hazardous chemical, as defined under
       29CFR 1910.1200, provide one (1) copy of a Material Safety Data Sheet for each item with the shipped container(s) and one (1) copy with the
       invoice(s).


31.0   PROMOTIONAL ADVERTISING / NEWS RELEASES: Reference to or use of the State of Wisconsin, any of its departments, agencies or
       other subunits, or any state official or employee for commercial promotion is prohibited. News releases pertaining to this procurement shall not
       be made without prior approval of the State of Wisconsin. Release of broadcast e-mails pertaining to this procurement shall not be made
       without prior written authorization of the contracting agency.

32.0   HOLD HARMLESS: The contractor will indemnify and save harmless the State of Wisconsin and all of its officers, agents and employees from
       all suits, actions, or claims of any character brought for or on account of any injuries or damages received by any persons or property resulting
       from the operations of the contractor, or of any of its contractors, in prosecuting work under this agreement.

33.0   FOREIGN CORPORATION: A foreign corporation (any corporation other than a Wisconsin corporation) which becomes a party to this
       Agreement is required to conform to all the requirements of Chapter 180, Wis. Stats., relating to a foreign corporation and must possess a
       certificate of authority from the Wisconsin Department of Financial Institutions, unless the corporation is transacting business in interstate
       commerce or is otherwise exempt from the requirement of obtaining a certificate of authority. Any foreign corporation which desires to apply
       for a certificate of authority should contact the Department of Financial Institutions, Division of Corporation, P. O. Box 7846, Madison, WI

34.0   WORK CENTER PROGRAM: The successful bidder/proposer shall agree to implement processes that allow the State agencies, including the
       University of Wisconsin System, to satisfy the State's obligation to purchase goods and services produced by work centers certified under the
       State Use Law, s.16.752, Wis. Stat. This shall result in requiring the successful bidder/proposer to include products provided by work centers
       in its catalog for State agencies and campuses or to block the sale of comparable items to State agencies and campuses.

35.0   FORCE MAJEURE: Neither party shall be in default by reason of any failure in performance of this Agreement in accordance with reasonable
       control and without fault or negligence on their part. Such causes may include, but are not restricted to, acts of nature or the public enemy,
       acts of the government in either its sovereign or contractual capacity, fires, floods, epidemics, quarantine restrictions, strikes, freight

    embargoes and unusually severe weather, but in every case the failure to perform such must be beyond the reasonable control and without the
    fault or negligence of the party.
