With more than 120 lawyers (including 26 partners) located in London, Paris and New York, the Finance / Project Finance Department (the “Department”) is one of the largest and most highly regarded banking departments amongst the major European law firms, offering French, English, New York and U.S. banking and finance law capability. The Structured Finance Group
Loan Finance
The Structured Finance Group advises on all types of loan facilities, from straightforward single bank overdrafts to syndicated multi-option facilities. Lawyers within this Group have experience in the wide range of financing structures available in capital markets world-wide and know how best to tailor these structures to meet the needs of the Firm’s clients. The Structured Finance Group also has extensive experience in the creation of all types of security interests over a wide variety of assets (receivables, shares, trademarks, patents, bank accounts, etc.). In addition to advising banks, arrangers or companies both in France and abroad, the Group regularly advises on the provision of finance to other types of borrowers such as local authorities and statutory bodies.
Structured Finance
The Structured Finance Group advises on all aspects of leases, loans, hire purchases and conditional sale financing arrangements for a broad spectrum of assets, including real estate, ships and aircraft, as well as on the acquisition and management of lease portfolios for all types of assets. Advice on tax financing is available from members of the Group with the support of the Firm’s Tax Department. In the area of Real Estate Finance, the Department draws on the extensive experience of the Real Estate Department which is well placed to advise on all aspects of the acquisition and development of properties, including municipal and regional planning regulations and the risks linked with environmental law issues.
Treasury Products
The Structured Finance Group advises banks and corporate clients on cash pooling arrangements within large corporate groups and other types of treasury products.
Acquisition Finance
Lawyers within the Structured Finance Group have an established record of advising on a broad range of acquisition finance transactions. In this field, the Structured Finance Group advises on LBOs, MBOs, MBIs and other highly-leveraged acquisition arrangements, compliance with the prohibition of financial assistance and the structuring of financial packages involving several layers of debt and equity. When advising on equity financing, the Structured Finance Group is able to draw on the Firm’s complementary strength in the corporate finance sphere. Expert tax advice is available in relation to the structuring of transactions.
Corporate Debt Rescheduling
As the last few years have shown, borrowers suffering short-term financing problems can often be saved from insolvency by a constructive bank rescue package. The Structured Finance Group is experienced in advising both banks and corporate borrowers on the reorganisation of loans and the provision of security packages for this purpose. Where rescuing is impossible, lawyers in the Structured Finance Group can draw on their wide experience in advising lenders on remedies and dealing with the implementation of insolvency procedures with the support of the Firm’s Insolvency Department. The Group can also provide advice to corporate customers and directors on their duties and responsibilities under the French Insolvency Act.

Trade and Commodity Finance
The Structured Finance Group has substantial experience in a wide variety of issues affecting trade and commodities, including assessing the legal and regulatory environment, issuing reports and documenting and negotiating transactions for all types of trade and commodity finance transactions, ranging from pre-export financings to advance payment facilities, the use of special purpose vehicles and securitisation of trade finance receivables. Among the many types of transaction for which legal service is offered are: Credit facilities of all kinds Commodity Prefinancing documentation Quasi Project Finance (including power, oil, gas, minerals, metals, mining and infrastructure projects) Structured Finance Receivables Financing Secured Financing involving the multijurisdictional taking of security SPV structures Off-balance sheet transactions (such as offshore securitisation) Products in which we have experience include oil, gas, steel, nickel, platinum, copper, cotton, sugar, grain, tobacco, orange juice, gold, coffee, cocoa, aluminum. The Group was initially active in Latin America and Africa, followed by Asia. The practice has rapidly expanded in Eastern and Central Europe, the CIS and the Baltic States during the past few years. The Group has advised major international banks, major trade commodity companies and major oil and gas producers on all kinds of trade and commodity finance transactions. The Group has wide experience in arranging financing from banks or capital markets for oil, gas, minerals and metal exporters.
The Project Finance Group
The Project Finance Group has been named “Projects Law Firm of the Year - Western Europe” at the Chambers Global Awards in 2003. It is ranked as “First Tier Project Finance Practice” by the following legal guides: The European Legal 500 2005, 2006 and 2007, IFLR 1000 2005, 2006 and 2007, PLC Which Lawyer? Infrastructure
The Group has brought projects to financial close in all main areas of international public infrastructure: energy, water, transportation and telecommunications. Lawyers in the Group have represented sponsors, lenders and governments in pioneering BOT and concession projects, often the first such project in a country. Although the Group has worked on infrastructure projects throughout the world, it has particularly extensive experience in Africa, Central and Eastern Europe, China and France.
Public Tender Offers
Working closely with financial advisers, the Project Finance Group has represented governments in planning, launching and awarding public tender offers for infrastructure projects. The Group has also acted as counsel to bidders in public tender offers, many of which have gone on to successful financial close.
Concession Contracts
Concession Contracts drafted by the Project Finance Group have been signed in Europe, Africa and Asia. When representing sponsors, lawyers of the Group have negotiated Concession Contracts in all major areas of infrastructure and are particularly aware of current international "best practice" and "bankability" concerns.
Construction, Supply and Operation
The Project Finance Group has drafted and negotiated fixed price, turnkey construction and EPC contracts as counsel to contractors and concession companies. The Group also has extensive experience in Equipment Supply Contracts and Operation and Maintenance Contracts.

Financing, Sponsor Support and Security
Clients of the Project Finance Group include international financial institutions, export credit agencies, commercial banks and borrowers. The Group has particular expertise in complex international project financings involving numerous lenders, A and B loan structures, Common Terms and Intercreditor Agreements. Lawyers of the Group have negotiated sponsor support arrangements, government and parent company guarantees and Direct Agreements. Working closely with our local offices or with local counsel, the Project Finance Group also advises on drafting, negotiation and registration of security packages.
Privatisation
The Firm has represented the French Government, public companies and banks on the major privatisation programs in France in the 80's and 90's. Internationally, the Project Finance Group has been active in infrastructure privatisations and subsequent financings in Africa, Central and Eastern Europe and Asia. Members of the Group have advised both governments and bidders.
The Group is composed of 9 partners and 25 associates who have an extensive expertise in the English, US and French legal aspects of securitisation transactions and which may rely on the support of other departments whenever the need arises (Corporate, Derivatives, Real Estate, Regulatory, Tax, etc.). The Group is the leading and the largest team of securitisation lawyers' in Paris and includes some of the most highly respected authors on French securitisation. It was elected the "Capital Markets Team of the Year" in 2001 by the legal review Legal Business, "Best Securitisation Team of the Year" in 2002 by the legal review Décideurs, "Securitisation Practice No. 1" in 2006 and 2007 by the financial review Opérations Financières and "First Tier Securitisation Practice" in 2004, 2005, 2006 and 2007 by the legal guides The European Legal 500, IFLR 1000 and Chambers Global. The Group maintains close relationships with the French authorities (including the French Treasury, the Bank of France, the Commission des Opérations de Bourse and the Paris Stock Exchange). All these transactions are set up offshore or by using the French legal framework depending on whatever framework is more appropriate for the underlying assets and the investors basis.
The Securitisation Group
The Securitisation Group is recognised as a leader in the area of securitisation by arrangers, rating agencies and originators. Its practice is unique in terms of number and size of the transactions it has structured and negotiated, both offshore or by using the fonds communs de créances. The Financial Institutions and Services Group combines a broad transactional expertise with a thorough knowledge of the regulatory and technical aspects in the following areas of financial services work.
General Banking and Securities Regulations
The Financial Institutions and Services Group advises French and foreign regulated entities in connection with their structures, products and activities in France, such activities including banking and investment services, together with related activities such as custody, clearing and securities settlement systems. The Group is also involved in insurance regulatory work and life insurance products.

In order to best serve its clients, the Financial Institutions and Services Group maintains close relationships with the French authorities (including the French Treasury, the Bank of France, the Commission des Opérations de Bourse and the Paris Stock Exchange), as well as with French professional associations, and has a strong lobbying capacity at French and European levels; it has advised French authorities on several occasions. Our regulatory practice also involves advising the governments of emerging countries in connection with the modernisation of their banking systems and financial industries.
The Group assists its customers in these areas, as well as in public offering, private placement and solicitation aspects.
Venture Capital / IPOs
The Financial Institutions and Services Group has been involved in a number of M&A transactions entered into by investment vehicles, advising mostly on the investors’ side. In addition, the Group, in close cooperation with the Equity Instruments Group, has broad experience in IPOs on French regulated markets (mainly Second Marché and Nouveau Marché) and on the Easdaq.
Internet Banking and Finance
The Group closely monitors ongoing evolutions and administrative interpretations of current French regulations applying to on-line banking and investment services, in order to provide pragmatic and up-to-date advice to its clients. Internet transactions raise, inter alia, issues of compliance with the banking monopoly, public offering and solicitation regulations, and security of the transactions.
Financial Litigation
The lawyers of the Group have a longtime experience in the area of financial litigation: liability issues in connection with banking or investment transactions, disciplinary and asset management liability, and white collar criminality (e.g., insider trading or money laundering).
Corporate Transactions involving Regulated Entities
The Financial Institutions and Services Group is extensively involved in corporate work concerning its banking and financial clients, including structuring and setting up regulated entities in France, mergers, acquisitions and restructuring of such entities on either a domestic or a cross-border basis. Lawyers in the Group also work in privatisations in emerging countries, in conjunction with the Project Finance Group.
The International Capital Markets Group
Debt/Equity/Warrants Issues
The International Capital Markets Group (the “ICM Group”) handles and advises on all types of capital markets transactions including issues of debt and equity, warrants, investment funds securities, convertible bonds and other equity-related instruments, with particular emphasis on new products such as high-yield bonds and capital instruments of regulated issuers. The ICM Group has significant experience in advising arrangers, issuers and investors, including some of the most prominent French, European and US institutions, in connection with both domestic and international transactions.
Asset Management
Our clients’ asset management activities include individual portfolio management, structuring and creation of collective schemes (mutual funds, open and closed-end investment companies, hedge funds, private equity funds), and the introduction and marketing of foreign or offshore funds in France (both UCIT and non UCIT funds).

The ICM Group’s close relations with French authorities in the relevant sectors (including the French Treasury, the Bank of France, the Commission des Opérations de Bourse and the Paris Stock Exchange) enable the smooth running of day-to-day transactions as well as the introduction of new financial products. The ICM Group has also acquired a thorough knowledge of clearing and payment systems as well as custody and distribution systems. Service to clients of the ICM Group is enhanced by the Firm’s experience in, inter alia, derivative products, securitisation and corporate finance, such that the ICM Group is at the forefront of developments in the bond and equity linked markets.
Education / Documentation
Almost all the partners and associates of the Department have been educated or trained in the United States or in the United Kingdom or have practised law in one of these countries. Some are also US, Canadian, UK and Australian nationals. All are bilingual in French and English and some are multilingual (German, Italian, Arabic, etc.). The documentation generated by the Department is drafted primarily in English and French.
Clientele
The transactions handled by the Department originate from and involve leading international and domestic banking and corporate clients: Major French commercial banks, Major international investment and commercial banks from Europe, the US and Asia, International Financial Institutions and Export Credit Agencies, Major domestic and international corporations in Europe, North America and Asia and international joint ventures involving such corporations, and Governments, territories and municipalities.
Derivatives
Lawyers in the ICM group have extensive experience in financial engineering, structuring, documenting and collateralising OTC derivatives, including forwards (currencies, FRAs, SAFE), swaps (IRS, currency, asset, equity, commodity, volatility, hybrid swaps) and options, with particular emphasis on structured instruments and new publicly or privately offered derivative financial products such as credit derivatives. They also handle litigation and negotiations involving derivative products. Again, specialist tax advice can be provided in this area. The Firm has provided ISDA with the opinions on French law for the Master Agreements, the Credit Support Documents and related issues since 1987.
