Howard Kennedy Advises In Conditional Sale of Shares
Leading West End law firm, Howard Kennedy, has advised existing client Andrew Bourne on the
conditional sale of shares in Bourne Financial Limited (Bourne) to AIM listed company Serviced Office
Group PLC (SOG).
Bourne is a membership organisation tailored to the management and information needs of start-up
and small fast growing financial companies. Members are given access to specialist financial, legal
and FSA compliance services and high spec communications infrastructure conferencing facilities,
space as well as security, secretarial and administration services.
AIM listed company, SOG, owns 21 offices in London and the South East. The company provides
serviced offices, virtual offices, meeting rooms, office share, hot desking, IT Solutions, accounting
services, facilities management and other.
The conditional acquisition is set to complete in January 2011 and will add a further 350 work stations
to SGO as well as enhancing the group’s specialist IT and communication requirements for financial
institutions. SGO will pay an initial £0.6m in new shares at 3p each plus up to £0.6m deferred on the
same basis, subject to performance.
The Howard Kennedy team was led by Partner and Head of the Corporate Department, Alan Banes,
who advised on the conditional sale of the shares. SGO were advised by Fladgate LLP.
