                     The Staff Attorney position provides legal counsel to Golden Spread and its
                     subsidiaries. The area of practice for this position involves both general
                     corporate matters and regulatory compliance. The regulatory issues will include
                     working with Golden Spread staff and outside consultants on management of
                     regulated third party agreements, utility rates and revenue requirements, utility
                     rate design, conservation and energy efficiency, transmission planning,
                     certificates of need and other general utility issues. The general corporate
                     matters include, among others, human resource issues, minor contracting, and
                     contract management.

                     This position requires the skills and experience equivalent to a junior associate
                     in a law firm. Qualified candidates must have a J.D. degree from an ABA
                     accredited law school and must be licensed to practice in Texas. It is preferred
                     that a candidate have 2 or more years of practice in a corporate law
                     department, law firm, government practice or equivalent experience in a
                     corporate or commercial setting. Superior verbal and written communication
                     skills and the ability to work in a collegial environment are required.

                     Golden Spread has not previously employed in-house counsel; this is a new
                     position. It is expected that the successful candidate for this position will
                     experience an intellectually challenging work environment and a career path to
                     more senior positions with the Golden Spread management team.

                     ESSENTIAL JOB FUNCTIONS: Conducts manual and computer assisted legal

                    GENERAL DESCRIPTION
                    Performs moderately complex (journey-level) attorney work for the
                    Enforcement Division at the Metro office location. Investigates and litigates
                    administrative enforcement actions against insurance carriers, health care
                    providers, employees, and employers for violations of the Texas Labor Code and
                    the Texas Administrative Code on behalf of the Texas Department of Insurance,
                    Division of Workers’ Compensation. Performs professional legal work pertaining
                    to the enforcement of workers’ compensation insurance laws in the State of
                    Texas. Handles extensive docket which may include prolonged, complex or
                    unusual legal cases. Works under limited supervision, with considerable latitude

                    ESSENTIAL FUNCTIONS (Duties and Responsibilities)
                    APP. % OF TIME
                    • advocating on behalf of the Texas Department of Insurance, Division of
                    Workers’ Compensation and representing Staff at informal settlement
                    conferences, formal mediation sessions, and contested case hearings at the
                    State Office of Administrative Hearing is disciplinary actions against insurance
                    carriers, health care providers, employees, employers, and other workers’
                    compensation system participants; (30%)
                    • drafting warning letters, notices of violation, notices of hearings,
                    Commissioners’ Orders, legal briefs, legal memoranda, major case memos,
                    discovery requests, motions, pleadings and other legal documents; (20%)
                    • counseling the Commissioner of Workers’ Compensation and Division Staff in
                    regular briefings, client meetings, and strategy sessions primarily concerning
                    the following topics: discussing potential violations of the Act and Rules,
                    drafting enforcement referrals, selecting administrative penalties and sanctions,
                    and preparing for trial; (15%)
                    • prosecuting cases at the State Office of Administrative Hearing and managing
                    all stages of the litigation process from preparing evidence, exhibits, and
                    witnesses (lay and expert) to filing suit, motions, and briefs to conducting
                    extensive discovery to presenting the Division’s case in oral arguments and
                    through effective examination of witnesses; (10%)
                    • conducting and assisting in the investigation and resolution of complaint
                    concerning alleged violations of the Texas Labor Code and the Texas
                    Administrative Code by drafting formal requests for information and questioning
                    system participants; (10%)
                    • preparing regular and timely reports on the status of case work and
                    participating in case reviews every other month; (5%)
                    • assisting the Attorney General and the Office of the General Counsel in the
                    preparation of appeals to District Court; and, (5%)
                    • performing other tasks as assigned. (5%)

                    Education/Experience Required
                    Graduate from an accredited law school with a J.D. or LL.B degree plus
                    three/four years legal experience. Trial experience required. Experience in one
                    or more the following areas is preferred:

                    • administrative law;
                    • workers’ compensation insurance law, claims management, and business
                    practices;
                    • litigation at the State Office of Administrative Hearings;
                    • prosecution of medical malpractice cases;
                    • prosecution of health care providers on behalf of the applicable state licensing
                    authority (e.g., Texas Medical Board, Texas Board of Chiropractic Examiners,
                    The Executive Council of Physical Therapy and Occupational Therapy
                    Examiners);
                    • knowledge of the standard of care in the treatment of injured workers (e.g.,

       Description: The National Association for Urban Debate Leagues (NAUDL) invites associates
                    at your firm to undertake a full-time pro bono Urban Debate Advocacy
                    Fellowship in the coming year. Associates who are deferring their start dates
                    can make a valuable contribution in the interim to the NAUDL and urban debate.
                    Urban debate is a highly-effective program for diversifying the pipeline to the
                    legal profession and dramatically improving academic achievement.

                     The Urban Debate Advocacy Fellow will provide legal advice and assistance to
                     local Urban Debate Leagues (UDLs), run legal education seminars with UDL
                     students, prepare submissions to federal and local governments on matters of
                     public interest, and conduct other legal work, including drafting documents.

                     Background: The NAUDL, the national leadership organization of the urban
                     debate movement, seeks to facilitate participation in organized debate activities
                     for as many urban students as possible. It does so by building new UDLs,
                     promoting UDL sustainability and institutionalization, expanding the capacity of
                     existing UDLs, and connecting UDLs to form a cohesive Urban Debate Network.
                     Over 37,000 students from 400 schools in 24 cities across the country have
                     participated in UDLs.

                     Urban students of color and women with great creativity and potential for future
                     careers in the law unfortunately face many challenges in learning the
                     communication and academic skills they need to enter law school and start legal
                     careers. To counter these challenges, many firms have turned to academic
                     debate in urban schools as an effective mechanism to open a larger, more
                     diverse pipeline of students who are interested in, and well-prepared for, law
                     school and legal practice.

                     The Urban Debate Advocacy Fellow would provide pro-bono legal assistance to
                     help bring debate to more students and more urban schools. By reaching more
                     students nationally, urban debate can train a generation of urban students of
                     color and women to excel in school and become interested in law, policy
                     making, and argumentation. Now is a crucial time for the expansion of urban
                     debate, as the American Recovery and Reinvestment Act and the forthcoming
                     budget provide an opportunity for urban debate to garner unprecedented
                     support as an innovative solution for closing the achievement gap and training
                     America’s future workforce.
                     The Urban Debate Advocacy Fellow will work with the NAUDL’s senior leadership
                     to craft strategies and proposals related to the stimulus. The length of the
                     fellowship can vary with availability, ranging from several months to a whole
                     year. The Fellow will undertake the following projects:
                     Legal Research and Writing: The specific legal expertise of the Fellow can be
                     applied to researching and drafting documents related to rules, regulations,
                     goals, and a general understanding of all components of the public interest
                     concerns related to education funding through the ARRA and the federal and
                     state budgets. This work will focus on the NAUDL engaging decision makers and
                     making proposals effectively.

                     Non-profit Governance Issues: The Fellow will provide legal assistance to local
                     UDLs who are in the process of formally organizing as non-profit organizations.
                     The Fellow will coordinate with local Advisory Boards to identify the needs and
                     goals for their organizations as they move forward and to develop a governance

                    will also include drafting funding and affiliation agreements and documenting
                    policies and procedures that govern the relationships between the NAUDL, local
                    UDLs, and local school systems.
                    Awareness: The Fellow can help craft strategies to increase awareness of urban
                    debate among thought leaders on diversity issues in the legal profession,
                    government decision makers, and school leaders. In many cases, local school
                    leaders, businesses, and politicians have supported debate, but this support has
                    not been made public or leveraged to raise new investment. In other cases,
                    leaders have priorities aligned with debate but do not know that urban debate
                    exists as a proven solution.

                    Policy Development: The Advocacy Fellow can apply specialized expertise
                    toward developing policy documents and proposals related to urban debate and
                    funding from the American Recovery and Reinvestment Act, Title I, Perkins, the
                    Innovation Fund, State Stabilization Funds, the Workforce Investment Act, and
                    other funding sources. Policy development entails identifying the requirements
                    and priorities of funding sources and aligning urban debate submissions with
                    these guidelines. Depending on the development of the stimulus and the
                    budget, the Fellow can support efforts to craft policy statements for proposed
                    initiatives on the local, state, or federal level. This will include through the
                    Department of Education, Department of Labor, and state and local education
                    authorities. In all cases, aiding with research, proposals, strategies, and
                    communications will be a crucial role.

                    There are also three specialized units within the office. The Jurisdiction Unit
                    assists the Court in the initial review of all appeals filed for the purpose of
                    determining appellate jurisdiction. The Issue Tracking Unit serves to track and
                    catalog relevant legal issues. The Motions Unit processes certain substantive
                    motions, including those for in forma pauperis status, certificates of
                    appealability for 28 U.S.C. §§ 2254 and 2255 appeals, transcripts at
                    government expense, and motions to appoint, withdraw, and/or substitute
                    counsel.
                    Staff attorneys work in a highly collegial environment with other recent law
                    school graduates and lawyers coming from judicial clerkships or private
                    practice, as well as with more experienced supervisory staff attorneys and

                    The International Aviation Law Institute of DePaul University

                     *Positions:*

                     The Mississippi Center for Justice and its partners, including the Mississippi
                     Volunteer Lawyers Project, are seeking applicants for up to five AmeriCorps
                     Legal Fellow positions funded by the Corporation for National and Community
                     Service and administered by Equal Justice Works, AmeriCorps, and The
                     Mississippi Center for Justice. The positions will be available between mid
                     August and October 2009 depending on the location. One to two AmeriCorps
                     Legal Fellows will be housed at the Mississippi Center for Justice Jackson or
                     Biloxi offices, two will be housed at the Mississippi Volunteer Lawyers Project in
                     Jackson, and one will be housed at another partner organization in Mississippi to
                     be determined.

                     *Responsibilities: *

                     It is possible that one of the AmeriCorps Legal Fellows will focus on foreclosure
                     prevention including related advocacy and litigation. The remaining Legal
                     Fellows will work together to continue the development and implementation of
                     *pro bono* opportunities for law students and attorneys. The goal in doing so is
                     to expand the availability of legal services to low income, under-served, and
                     elderly community members and to enhance the capacity of each organization.
                     The Legal Fellows will develop leadership and management skills as well as a
                     broad network of partnerships. They will
                     manage outreach, legal clinics, law student interns, teams of volunteer law
                     students, and * pro bono* attorneys. These Legal Fellows may choose to focus
                     on a substantive area addressed by their host site, and they may spend 20%
                     of their time providing direct legal service in order to develop their professional
                     skills and to enable them to train volunteers within the subject.

                     *Requirements: *

                     Such positions require highly productive applicants who are self-motivated and
                     driven and can work well in a team. They must be able to multitask and to
                     absorb and process information proficiently. Applicants need to be flexible in the
                     fast paced, ever changing environment of public interest law
                     and have a positive attitude. The positions require effective communication
                     skills which allow the Legal Fellows to interact compellingly with law students,
                     attorneys, the Bar Association and related entities, law school personnel, media,

                     The Mississippi Volunteer Lawyers Project represents the nation's first formal

                     in 1982, the Project recently celebrated its 25th anniversary. Since its inception,
                     thousands of clients have been assisted only as a result of
                     the participation of volunteer attorneys.

                     *Stipend and Benefits: *

                     The AmeriCorps Legal Fellows essentially donate their time to the community
                     while experiencing the opportunity of a life time. Each Legal Fellow receives a
                     stipend of approximately $22,800 per term. A higher stipend may be available if
                     one of the AmeriCorps Legal Fellows is hired to focus on
                     foreclosure. The Legal Fellows may be offered the chance to renew for a second
                     term. The Mississippi Center for Justice will provide insurance to each. The Legal
                     Fellows are required to work full time, and, if they complete 1700 hours per
                     term, they will receive an education award of approximately $5,000. The host
                     sites may supplement the stipends to a certain extent in order to assist the
                     Legal Fellows with living expenses. Lastly, the Legal Fellows are eligible for loan
                     and interest forbearance during their terms.

                    Depending on individual interest and location preference, the attorney may

                    affordable housing, employment, special education, or juvenile justice. The
                    Legal Aid Justice Center is a nationally recognized, non-profit civil legal
                    assistance program with offices in Charlottesville, Falls Church (Metro D.C.),
                    Petersburg and Richmond. Our dynamic staff of more than two dozen attorneys
                    pursue systemic legal advocacy for all low-income Virginians using a wide array
                    of strategies. Through legal representation, community education and statewide
                    advocacy, the Legal Aid Justice Center works both to eliminate the immediate

                     related to the provision of basic services that are fundamental to human rights.

                    Applicants selected for interviews will be invited to attend the Section’s meeting
                    in Chicago on September 25-26, 2009, and asked to participate in interviews on

                    The Public Service Fellowship program, which began in 2008, reflects the
                    Section’s desire to advance public service efforts in tax law, and to foster a
                    more fair and equitable tax system. Pro Bono service has been an integral part
                    of the Section’s activities for many years. The Section actively encourages
                    member participation in various Pro Bono efforts, holds numerous training
                    sessions to that end, and devotes many of its resources to providing legal
                    services to those in need. The Section recognizes the need for funding and
                    fostering recent law school graduates or judicial clerks who wish to dedicate
                    some portion of their professional careers to public service in tax.

                     The Section will award up to two Fellowships for 2010-2012 to recent law school
                     graduates or judicial clerks. Both LLM and JD candidates are eligible to apply.
                     The proposed employment must involve taxation or administration of tax law
                     and must be with a public-interest, non-profit section 501(c)(3) organization
                     (the “Sponsoring Organization”). Each Fellow is expected to serve a two-year
                     term with the Sponsoring Organization. The applicant must identify and secure
                     a position with a Sponsoring Organization before applying for the Fellowship
                     (although the position may be contingent upon award of the Fellowship). The
                     application must be accompanied by a commitment letter from the Sponsoring
                     Organization that describes the proposed employment with the Sponsoring
                     Organization and explains why the Sponsoring Organization considers the
                     applicant to be qualified to perform the work. The Sponsoring Organization
                     must agree to hire the applicant, if the Fellowship is granted, and to fulfill all tax
                     and other reporting obligations with respect to the amounts paid to the Fellow.
                     The Sponsoring Organization must also describe how the applicant will be
                     supervised. The Section does not expect to select an applicant unless the
                     Sponsoring Organization has identified at least one attorney who will supervise
                     the Fellow throughout the two-year period.

                     The Section provides an unrestricted grant to each Sponsoring Organization
                     equal to the Fellow’s salary, payroll taxes, and benefits, which are formulated to
                     be commensurate with judicial clerkship salaries. In addition, the Section will
                     provide assistance with educational loans for those Fellows who are not covered
                     by a law school low-income-protection plan. The amount of educational loan
                     assistance a Fellow can expect will depend on the amount of debt, the type of
                     loans, and whether the Fellow is eligible for assistance from any other loan-
                     repayment or loan-assistance program. In general, the Section’s objective will
                     be to provide funding sufficient to cover the interest accrued on the applicant’s
                     educational loans during the two-year Fellowship period. The actual amount of
                     the assistance provided will be determined on a case-by-case basis and may be
                     subject to an overall limitation to be determined by the Section, in its sole
                     discretion.

                    The Section will provide each Fellow with access to one or more mentors from
                    the Section’s membership. The Section expects Fellows to join the Section and
                    participate in Section activities during the Fellowship period. The Section will
                    pay for, or waive, the Fellow’s ABA and Section dues for the duration of the
                    Fellowship. Each Fellow will be expected to attend at least two of the three
                    Section meetings per year. The Section will pay travel and meeting expenses
                    associated with each meeting in accordance with ABA and Section
                    reimbursement policies. The Fellows are encouraged strongly to participate in
                    the activities of the Section’s public service oriented committees, such as the
                    Pro Bono Committee and the Low Income Taxpayers Committee.

                    that can be fairly administered. The Section's work supports the integrity of the

                    speak on political and economic aspects of tax policy, such as special tax
                    treatment designed to stimulate the economy, or on shifts in the tax burden
