Trademark License Agreement 1. This agreement is between the Real Estate Standards Organization (RESO), and _________________________________, a(n) ___________________________ (Licensee). Subject to the terms and conditions stated below, RESO grants to Licensee the right to use its “RETS” logo (the Graphic) in its advertising, product packaging and marketing materials for a period of two (2) years following the Effective Date of this Agreement. 2. Each version of each product (collectively, the Product) that uses the Graphic must (a) be separately authorized to use the Graphic, and (b) be compliant with a stated version of the Real Estate Transaction Standard as published by RESO and updated from time to time. The requirement for separate authorization may be met by listing the products and versions below, or by executing a separate copy of this Agreement for each product and version which uses the Graphic. 3. The use of the Graphic by Licensee is conditioned on the Product being compliant with a stated version of the RETS standard, as determined by the matching version of the RETS Test Protocol and Verification Suite (Test Suite) available from the RETS web site. 4. If the Product is found by Licensee or any third party to fail to comply with its stated version of RETS, as determined by the Test Suite, Licensee shall within 30 days either (a) modify the Product so that it complies with the matching version of the RETS specification, or (b) cease using the Graphic in any capacity whatsoever with reference to the affected Product. 5. Licensee agrees that RESO has the right (but not the obligation) to list the Product in its directory of RETS-compliant products. 6. Licensee agrees to use the Graphic only in compliance with the Usage Guidelines detailed below. 7. The Graphic is a trademark solely and exclusively owned by RESO. Except to the extent granted by this License, no transfer of any other rights is intended. Licensee agrees not to do anything inconsistent with RESO’s ownership of the Graphic, such as filing any trademark application anywhere in the world. Licensee will not use the Graphic in any manner that (a) suggests RESO’s endorsement or recommendation of the Product or otherwise creates a false association with RESO; (b) on promotional merchandise (such as mugs, T-shirts, mouse pads or other merchandise); or (c) on or in connection with anything that is unlawful or encourages unlawful conduct. 8. Licensee assumes responsibility for any and all losses or damages that arise out of Licensee’s unauthorized use of the Graphic, or for any personal injury, product liability or other claim arising from the production, promotion, distribution, sale or offer for sale, or the performance of the Product. The Graphic is provided to Licensee on an As-Is basis. RESO makes no warranties whatsoever regarding the Graphic, and in no event will RESO be liable for any losses or damages resulting from Licensee’s use of the Graphic. 9. This License is valid for two years from the date of execution unless sooner terminated. 10. This License shall be governed by the laws of the United States and the State of _____________. This License, including the Usage Guidelines, constitutes the entire agreement between Licensee and RESO concerning the Graphic.
