					                        Domain Name Purchase Agreement

Agreement made on the (date), between (Name of Buyer) of (street address, city, state,
zip code), referred to herein as Buyer, and (Name of Seller), of (street address, city,
state, zip code), referred to herein as Seller.

1.     Upon the terms and conditions of this Agreement, Seller sells to Buyer and
Buyer purchases from Seller the registration of, and all other rights, title and
interest that Seller possesses in, the domain name http://www.xxxxx.com
(collectively, the “Domain”). Buyer and Seller will cooperate with the timely transfer
of the Domain.

2.     Within thirty (30) days of the signing of this Agreement:
       A.     Buyer will irrevocably sell and transfer the Domain to Buyer; and
       B.     Buyer will pay Seller the sum of $_______ as the purchase price for
       the Domain.

3.     Upon payment of the purchase price, Seller will forever cease and refrain
from using, displaying, licensing, commercializing or otherwise exploiting in any
way, for any commercial or non-commercial purpose, the Domain.

4.    Seller will be solely responsible for all taxes, commissions and fees due to
any governmental body or any third party arising from this transaction.

5.     Buyer will be responsible for registration fees in connection with the transfer
of the Domain.

6.     Seller represents and warrants that:
       A.     Seller is the current registrant of the Domain through ICANN (The
       Internet Corporation for Assigned Name & Numbers);

       B.     Seller has all right, title and interest in the Domain;

       C.     No fees are owing to any entity or party with regard to the registration
       of the Domain;

       D.    There are no liens, claims, entitlements or other encumbrances
       against the Domains;

       E.    Seller has not granted any third party any right or option to use or buy
       the domain;

       F.     There exists no actual, pending or threatened litigation, claims or
       other proceedings relating to the Domain;

       G.     No third parties have any claims or rights to the Domain and, to
       Seller’s knowledge; no third parties are using or infringing upon the Domain;
       H.     Seller has not applied or filed for domestic or foreign trademark
       registration for the Domain; and

       I.     Seller is duly authorized to execute and enter into this Agreement.

7.     Buyer represents and warrants that it is duly authorized to execute and
enter into this Agreement.

8.     Seller will indemnify, defend and hold harmless Buyer, his employees,
agents, affiliated entities, successors and assigns, from any and all damages,
claims and other liabilities, including without limitation reasonable and actual
attorneys' fees and costs, whether or not a lawsuit or other proceeding is filed, that
in any way relates to (a) any claims or other actions by any third party arising out of
the ownership of the domain name prior to the transfer to Buyer and (b) Seller's
breach of any provision of this Agreement.

9.     Buyer will indemnify, defend and hold harmless Seller, its officers, directors,
shareholders, employees, agents, affiliated entities, successors and assigns, from
any and all damages, claims and other liabilities, including without limitation
reasonable and actual attorneys' fees and costs, whether or not a lawsuit or other
proceeding is filed, that in any way relates to (a) any claims or other actions by any
third party arising out of the ownership of the Domain after the transfer to Buyer
and (b) Buyer's breach of any provision of this Agreement.
