Becoming a New McCormick or Landini Dealer

Adding exceptional value to your business

International USA, Inc.

A Commitment To Our Dealers

A Word from Our CEO, Doug Rehor

Dear Sir or Madam:

We are very appreciative of you taking the time to consider McCormick USA as a potential

business partner. We realize that you have many choices, and you certainly don’t have a

shortage of equipment makers looking to become part of your business.

You likely know of our brands, know something about our history, and perhaps have even

formed an opinion. But I ask you to think of us from a fresh perspective, because we are

transforming into something unique in the industry. Let me explain.

Most manufacturers think that it is their products that make the difference in this business. But in reality,

the true differentiator is service, not the equipment itself. Good dealers understand this, and so do their

customers. The best dealers can be successful selling and servicing anyone’s brand because it is the dealership that people buy

equipment from, not the manufacturer. Agree?

At McCormick USA, we think that if we take care of our dealers – our customers – in the same way that good dealers take care of

their customers, those same good dealers will buy our tractors. So, our plan is very simple: attract and keep the best dealers by

knowing what they need from us and making sure they continually get it. That’s it. This business really isn’t any more

complicated.

In the following pages you will see a company that is creating something special. We intend to have a significant presence in

markets throughout this great country through continual focus on understanding and meeting the needs of our dealers.

We do not aspire to be the biggest tractor company in the U.S. Rather, we aspire to be the best in the eyes of our dealers, and

the company that becomes identified by the quality of services to complement our great equipment brands.

And by the way, we make great tractors and offer great implements and attachments too!

Best Regards,

Doug Rehor

CEO

History of the McCormick Brand

In 1831, a man named Cyrus McCormick reinvented agriculture in America. His

innovation, leadership and smart business sense ultimately helped agriculture’s

earliest manufacturing pioneers create International Harvester – one of America’s

most renowned agricultural companies.

McCormick’s proud history is a tribute to over 100 years of International

Harvester and the role McCormick played in its formation, its evolution, and

ultimately the rebirth of the McCormick tractor a century later.

In the early 1800’s, the United States was very much an agricultural country.

Nine out of 10 people were employed in labor intensive farming. Good farmers

were lucky to harvest two acres in a single day.

Things changed in 1831. At age 22, Cyrus McCormick took over the design of

his father’s unsuccessful reaper. Within six weeks, Cyrus redesigned, built,

tested and remodeled the reaper. This redesign was subsequently patented

and increased production six-fold.

By 1849, less than 15 years later, production of the reaper moved from

Walnut Grove, VA to a three story building in Chicago, IL, employing over

120 people. Production continued to grow, and in 1871 McCormick was

manufacturing more than 10,000 units annually. It was at this same time

that the unfortunate “Great Chicago Fire” destroyed the works of the

McCormick Reaper. Amazingly the building was rebuilt and production

resumed within one year.

Upon the death of Cyrus McCormick in 1884, the McCormick brand had

an impressive 50% market share in harvesting implements.

Cyrus McCormick Jr. followed in his father’s footsteps and in 1902

formed the International Harvester Company with several leading

equipment manufacturers including Champion, Deering, Milwaukee,

and Plano. The partnership gave the new company 95% market share

in harvesting implements.

1

History of the McCormick Brand

In 1924, production of the McCormick Farmall tractor began; it is still considered to be the

tractor that industrialized the United States. Farmall tractors were painted red for safety

reasons, replacing the familiar gray color. This marked the beginning of “Big Red”. Other

impressive tractors introduced during that time included the McCormick-Deering 10-20

tractor.

Production of the tractors was moved to new plant facilities in Doncaster, Yorkshire, England

in the 1940’s, stopping only for one year, in 1945, to produce ammunition during World War II.

This location continued to produce tractors throughout the 50’s, 60’s, 70’s. In 1985, the

International Harvester Farm Equipment Division was purchased by J.I. Case Company; all

products were rebranded as Case International. In 2000, the Doncaster plant was purchased by

ARGO SpA of Italy, from Case Corporation and became the global headquarters for McCormick

Tractors International LTD.

With this transaction, the ARGO Group became the fourth largest tractor manufacturer in the

world. In 2001, through an alliance with Vermeer Manufacturing Co., the first modern United States

McCormick tractors were introduced in Pella, IA. By 2006, ARGO relocated to Norcross, GA and

merged McCormick USA and its sister brand, Landini, to create one company with two very

successful brands .

By 2004, over 35 tractor models ranging from 37 HP to 280 HP were available to dealers

nationwide. In 2008, McCormick USA introduced the latest versions of the CX, MC and MC Power6

models. McCormick also moved from its Norcross location to the current location in Duluth, GA in

2009. This move was made to accommodate additional space required for assembly and future growth.

As part of the expansion, the company consolidated the Kiel, Wisconsin and Baltimore, Maryland

operations into the new facility to handle light assembly of the tractors.

Today, McCormick USA and its employees continue the same traditions of quality and innovation that

have been synonymous with McCormick for over 180 years.

International USA, Inc.

2

History of ARGO Tractors

With a rich family history in the agricultural industry, Valerio and Pierangelo Morra established ARGO SpA in 1988 to combine several

businesses into one company. This decision allowed for the businesses to be more efficiently and strategically managed. In the same

year, ARGO SpA purchased Fort of Luzzara, a manufacturer of agricultural machines.

Between 1988 and 2000, ARGO SpA purchased additional manufacturers of low powered specialized tractors, combine harvesters and

big balers. Because of its specialty in the medium power bracket with 35-230 HP tractors used in vineyards and orchards, Valpadana

and Landini were two key additions to the agricultural portfolio.

In 2001, as part of its strategic international development, ARGO SpA purchased the widely recognized and historic McCormick brand.

This purchase included plants in England and France where tractors and transmissions were manufactured.

The following years gave way to tactical efforts and focus on agricultural tractors, specifically, the merger of Landini, McCormick and

Valpadana with ARGO Tractors SpA in 2007. Since the unity of the three brands, ARGO SpA has been able to take advantage of

technological and business synergies. This has resulted in a complementary range of technologically advanced tractors that meet the

diverse agricultural needs of customers throughout the world.

In order for dealers to meet the demands of retail customers,

McCormick USA understands that we must provide outstanding

parts and service support to our dealer partners. The following

sections provide an overview of our Parts and Service Operations.

Parts & Service

Parts Warehouse Operations

Over 50% of our 120,000 square foot building in Duluth, GA is dedicated

to stocking replacement parts to meet the needs of dealers and

customers. The parts warehouse is fully stocked to assure a high fill rate

which is measured against dealer requested ship dates. McCormick USA’s

warehouse is backed up by parts depots in Europe and major vendors in

Asia. Parts can be received from each of these locations in three business

days or less.

Flexibility with Shipping Options

Because parts orders must meet the demands of retail customers, Parts

Managers have the option of placing orders as: emergency - shipped same

day, daily - shipped next day, or as stock - shipped ground with free freight.

Additionally, we offer direct ship options, should the need be critical.

27

Partnership to Support Business Growth

In order for dealers to best manage expenses and inventory levels, McCormick offers a

Pre-Season sale. Typically occuring in the fall, Parts Managers may place additionally-discounted orders

with delivery scheduled in time for maintenance season. To further increase dealer profitability, we

regularly offer parts pricing promotions.

Parts Ordering Process

Cyrus Parts On-line, McCormick’s parts ordering system, is easily accessed from Dealer Portal. Parts Man-

agers are provided the flexibility to order parts in three convenient ways: add parts to a

shopping cart, import an order from an Excel spreadsheet, or type in part numbers to place the

order. Cyrus Parts On-line allows Parts Managers to view the status of their orders. The stock status of our

parts warehouses in Europe can also be viewed if the warehouse in Duluth is unable to fulfill the order

immediately.

28

Parts and Service Support

Upon confirmation of the partnership, McCormick will schedule an on-site visit to ensure familiarity with

Parts and Service Operations. Our Service Representative will “walk through” many topics, such as the parts

ordering process, warranty claim submission, and the multitude of ways in which we can support the needs

of the partner.

Service

Technical Service Support Specialists are assigned to each of the districts throughout the United States.

Our goal is to assist dealer technicians in resolving technical issues effectively and efficiently. When

necessary, a Technical Service Support Specialist will make an on-site visit to work on specific issues.

Dealer Support Center

Utilizing a toll-free number, dealers may contact McCormick’s support

center for any number of reasons. Technology facilitates the

management of calls through recognition of phone numbers and

subsequent routing to an assigned representative.

Ask Cyrus

Cyrus is a means for communication between dealers and McCormick.

Ask Cyrus offers a case management capability which allows dealers to

submit questions, comments and issues electronically. As part of the

Ask Cyrus case development, dealers have the opportunity to indicate a

priority level (critical, high, medium, low), which drives escalation rules.

International USA, Inc.

29

On-line, Rapid Warranty Processing and Payment

Prior to performing any repairs, dealers have listings of flat rates allowable for warranty reimbursement.

Service Specialists are readily available to provide technical information and tips to fit the repairs within these

allowances.

Warranty Administrators utilize Xchange to submit and track warranty claims. Our commitment to dealers

is to process all claims within 14 days or less with immediate payment for approved claims. McCormick pays

dealers first and recovers from OEMs afterward.

Training

McCormick offers instructor-led technical training in strategic locations, including headquarters in Duluth,

GA, where we enjoy the opportunity to acquaint dealer employees with operations. For short topics, such as

updates to systems, we offer web meetings and other on-line media delivery for each dealer’s

convenience. Dealers may also access Cyrus at any time to obtain training guides offering instructions

on various topics.

Extended Service Plans

To support customer satisfaction efforts, McCormick has partnered with EPG, a major provider of extended

service plans (ESPs) to the Ag Industry. Not only does an extended service plan offer peace of mind to the

customer, it encourages customer loyalty and becomes a dealer revenue enhancement through commissions

on sales. ESPs for both new and used tractors for full machine and powertrain may be purchased using

floor-plan financing.

30

Ease of Doing Business with McCormick

Introducing “Cyrus,” our simple,

online dealer assistance system

Dealers continually mention responsiveness as one of the

most important measures as to how well they are supported

by their equipment partners. In recognition of this, we

developed Cyrus, an online dealer assistance system which

is named in honor of our founder, Cyrus McCormick.

With “Ask Cyrus,” dealers can simply tell us what we can do

to help with any area of the business: sales, parts, service,

finance, marketing, or transportation. The request is sent to

the correct department, where the dealer can view the name,

picture, and contact information of the employee that is

responsible for providing assistance. Through this process

each query is tracked. If not resolved quickly, the case is

escalated. This simple capability puts organization, structure

and accountability into solving problems. It works!

This use of technology with a human face has made a huge

difference. Issues no longer linger. No more missed phone

calls, unanswered voicemails or confusion over what is need-

ed and when. It has made for a more efficient and responsive

company.

31

“Cyrus” Online Dealer Assistance System

Cyrus offers many more capabilities to help dealers manage

their business. We continue to learn about the information

and tools dealers require in order to sell more, and better

service equipment. Therefore, we put a lot of information

at our dealers’ fingertips.

With Cyrus, dealers can access almost everything they need

to sell and service McCormick products. Here are a

few examples of what Cyrus offers:

• Review all open and completed “Ask Cyrus” inquiries

• See industry market share information by county and region

• See their complete wholegood sales history; what was sold, when and to whom

• Review the status of parts orders; what is on order and when it will arrive

• View wholegoods inventory

• See the inventory of fellow dealers, which helps in situations with a retail

prospect

• See what tractors McCormick has in inventory

• Access all documents related to Sales, Marketing, Finance, Parts, Service, Communications,

and Training

• Search for technical solutions through “Cyrus Solutions”
