                                  TENDER NOTICE

1.   Sealed item rate tenders are invited by Airport Controller, Dehradun
     Airport on behalf of Chairman, AAI from enlisted Firms / Contractors of appropriate
     class of CPWD/MES/P&T State PWD /PSUs/ Specialized Agencies in Mechanized
     cleaning & sweeping for the wo0rk of “Mechanized Environmental Support Services
     (Up-keeping) of passenger terminals at Dehradun Airport” for an estimated cost
     of Rs. 2328064/- Time allowed 24 months. The scope of work includes Mechanized
     cleaning & sweeping of high rise glass and steel structured Airport terminals and paved
     area of city side and air side.

2.   Tender forms will be issued to those contractors who produce certificate from
     clients of having satisfactorily completed (Phase/Part completion of the scope of work
     in a contract shall not be considered) at least three similar works, each of Rs. 9.30
     Lakhs (not less than 40% of estimated cost) or two similar works, each of Rs.11.64
     Lakhs( not less than 50% of estimated cost) or one similar work of Rs.18.62 Lakhs( not
     less than 80% of the estimated cost) during last five years ending last day of the month
     of March 2010.

           Similar works mean – Mechanized cleaning & sweeping of high rise MNC
     Buildings, high rise shopping malls/complex, five /three star hotels, high rise glass and
     steel structured Airport Terminals etc. (Firm showing work experience certificate from
     Non-Government / Non- PSU organization should submit „ Tax Deduction at source
     certificate‟ in support of their claim for having experience of stipulated value of works)
     Firms should produce proof of annualized average financial turnover of Rs. 300
     lacs during last three years 31st March of the previous financial year. The financial
     turnover should be supported with annual report (Abridge Balance Sheet along with
     Profit & Loss Account) of the firm should be submitted along with the application.

3.   Firms / Contractors should produce valid ISO 9000-2000/9001 Certificate as
     Mechanized Cleaning Service Provider of high rise glass & steel structured buildings.
     The certificate shall not be less than two years old and should be current at the time of
     submission of bid. Firms should have a minimum number of 500 of employees on their
     pay role and out of which at least 40% of the staff should be receiving salaries through
     bank.

4.   Firms / Contractors should produce documentary proof of owning, leasing and
     possessing all cleaning machinery (T& P) required for high rise glass & steel structured
     building including Z Boom machines and Hydraulic platform/ Scissor Lifts. (Details are in
     tender document)

5.    The application shall be supported with self attested copies of valid registration,
     permanent Account Number (PAN) and client certificate for experience indicating date
     of completion as per agreement and actual date of completion of work.

6. Firms / Contractors should have valid registration and licenses with all    concerned
   Labour Authorities and also have valid ESI & PF registration. Proof of up to date
   remittances to ESI & PF Authorities should be produced along with application. Firms /
   Contractors should not be black listed by any PSU / Govt under takings. They
   should submit an affidavit to this effect.
7. Application for issue of tender document shall be submitted to Sr. Manager/manager
   (Terminal) up to 14.06.10 along with firm/ company registration certificate, tender fee,
   valid PAN number along with attested copy of PAN card, valid registration certificates of
   PF,ESI and client certificate for experience indicating date of start and completion(part
   completion not acceptable), /performance certificate issued by clients mentioning nature
   of work, value of contract. The financial turnover should be supported with annual report
   and documentary proof of ISO certificate, proof of owning, leasing and possessing
   required cleaning machines and T&P details shall be submitted. Tender forms will be
   issued only to such firms who are complying the above mentioned conditions.
   Consortiums/Joint Venture companies not permitted. Cost of the tender documents is
   non-refundable. (Check list format to be submitted by applicant along with tender
   application is enclosed in Annexure- 1)

8. Security deposit will be 10% of the tendered amount to be deposited before start of work;
   otherwise, will be collected by deduction from the running bills of the contractor. The
   Security Deposit will also be accepted in Cash or in the shape of Govt. Securities, Fixed
   Deposit Receipts and Guarantee Bonds of Nationalized Banks.

9. If any information furnished by the applicant is found incorrect at a later stage he shall be
    liable to be debarred from tendering/taking up of work in AAI. The department reserves
    the right to verify the particulars furnished by the applicant independently.

10 AAI reserves the right to accept /reject any or all applications without assigning any
   reason. AAI reserve the right to disallow issue of tender document to working agencies
   whose performance at ongoing project(s) below par and unusually poor.

                           NOTICE INVITING TENDER

1.    Sealed tenders are invited by Airport Controller, on behalf of Chairman, Airports
      Authority of India from the eligible contractors for the work of Mechanized
      Environmental Support Services (Up-keeping) of passenger terminals at Dehradun
      Airport.
2.    Application for issue of tender documents should reach the Airport Controller, Airports
      Authority of India, Dehradun Airport not later than _14.06.10 .
3.    The tender document containing detail Scope of work, contract terms and conditions etc
      will be sold from the office of the Airport Controller on payment of Rs. 1200/- by way of
      Demand Draft drawn in favour of Airports Authority of India payable at __New Delhi
4.    Willing contractors must attach with their application attested copies of PAN number,
      Completion/Performance Certificate issued by an Officer not below the rank of Executive
      Engineer / Senior Manager or an Equivalent Officer all other particulars as sought in the
      notice inviting tender as per press notification. The successful contractor must submit
      copy of the labour license from Asst. Labour Commissioner with in seven days from the
      date of issue of work order / Award letter. Application must reach up to
      __14.06.10______ .
5.    AAI reserves the right to accept or reject any or all applications without assigning any
      reasons.
6.    The contractors are advised to inspect and examine the site and satisfy themselves
      about the nature of work before submitting their tender. A tenderer shall be deemed to
      have full knowledge of the site, whether they inspect or not and no extra charges
      consequent on any misunderstanding or otherwise shall be allowed/paid.
7.    A contractor should quote in figures as well as in words the rate(s) tendered. The amount
      for each item should be worked out and the requisite totals given. Special care shall be
      taken to write rates in figures as well as in words, and the amounts in figures only in such
      a way that interpolation is not possible. The total amount should be written both in figures
      and in words. In case of figures, the words Rs. should be written before the figure of
      rupees and the words paisa after the decimal figure.
8.    The tender shall be accompanied by Earnest Money of Rs. 46561/-  (Rupees Forty Six
      Thousand Five Hundred Sixty One only) in the form of Demand Draft on any
      Nationalized Bank in favour of “Airports Authority of India” payable at New Delhi
      .
9.    The accepting authority reserves to himself the right of accepting the whole or any part of
      the tender and the contractor shall be bound to perform the same at his quoted rate.
10.   AAI shall have the right of rejecting all or any of the tenders without assigning any
      reasons, as also ordering part of work as per their sole discretion.
11.   The tender for work shall remain open for acceptance for a period of 90 days from the
      date of opening of tenders. If any contractor withdraws his tender before the said period
      or makes any modification in the terms and conditions of tender, which are not
      acceptable to AAI, AAI shall without prejudice to any other right or remedy be at liberty to
      forfeit the full said earnest money absolutely.
12.   On acceptance of the tender, the Earnest Money will be treated as part of Security
      Deposit.
13.    The contractor, whose tender is accepted, shall permit Airports Authority of India at the
       time of making any payment to him for the work done under the Contract to deduct 10%
       amount towards Security deposit. In addition necessary deduction in respect of Income
       Tax or any other Statutory Deduction shall be effected from the payment of the
       contractor.
       (Proforma of performance guarantee (Appendix-A) and form of bank guarantee in
       lieu of security deposit(Appendix-B) are enclosed for reference)

14.    Canvassing in connection with tenders is strictly prohibited and the tenders submitted by
       contractors who resort to canvassing will be liable to be rejected.

15.    Mode of submission of tenders:-
       Tender for the present work shall be submitted in a sealed cover super scribing the name
       of work. This cover shall contain two separately sealed covers superscripted as below.
       Cover No.1: Acceptance of AAI‟s tender conditions and E.M.D
       Cover No.2: Tender documents issued by AAI and price bid (Bill of quantities)

15.1   Cover No.1 shall contain:
       Earnest Money Deposit.
       Unconditional acceptance of AAI‟s tender conditions in its entirety. This acceptance letter
       shall be submitted in this sealed cover along with Earnest Money.
15.2   Cover No.2 Shall Contain:
       Tender documents (Price-bid) issued by AAI, duly signed and stamped on each page by
       the contractor.
       NOTE: Cover No 2 shall contain only the above documents and no other conditions.
       Corrections or over writing, if any, must be signed and stamped by the contractor.
16.    At the stipulated time of opening, cover No.1 shall be opened first. The offers from those
       contractors who are unable to unconditionally accept AAI‟s tender conditions or who fail
       to deposit the required E.M.D will be rejected and Cover No 2 containing tender
       documents shall not be opened.
17.    Once the contractor has given unconditional acceptance to AAI‟s tender condition in its
       entirety, they are not permitted to put any remarks/conditions (except unconditional
       rebate on quoted rates), if any in/along with tender enclosed in cover No 2.
18.    In case the conditions mentioned above is found violated after opening the Cover No 2,
       the tender shall be summarily rejected. AAI shall without prejudice to any other remedy
       be at liberty to forfeit the full said earnest money absolutely.
19.    The notice of tender shall form part of the contract document. The successful contractor
       on acceptance of his tender by accepting authority shall within 15 days from the
       stipulated date of start of the work sign the contract agreement consisting of Notice
       Inviting tenders, General conditions of the contract as issued at the time of invitation of
       tender and acceptance thereof together with any correspondence thereto.
20.    The contract agreement shall be executed on a non-judicial stamp paper of appropriate
       value and the cost of the same shall be borne by the contractor.
21.    The contractor shall be responsible for settling any claim/compensation against all
       damages and accidents caused due to negligence on the part of his employees and
       keep AAI indemnified from any compensation / liability.
22.    Sales Tax or any other Tax on materials and also on the turn over, if any, in respect of
       this contract shall be payable by the contractor and AAI will not entertain any claim
       whatsoever in this respect.
23.    The contractor shall comply with the provisions of State/Central Government rules and
       regulations under Minimum Wages Act -1948, Contract Labour( Regulation and
       Abolition) Act -1970 Employers Liability Act, 1938, Workmen‟s Compensation Act- 1923,
       Industrial Disputes Act-1947, Employees State Insurance Act-1948 or any modifications
       thereof or any other laws relating thereto and rules made there under from time to time.
24.    Work shall commence from the 15th day after the date on which the In-charge issues
       written orders to commence work or from the date of handing over of site whichever is
       later. If the contractor commits default in commencing the work as aforesaid, AAI shall
       without prejudice to any other right or remedy is at liberty to forfeit the earnest money
       absolutely.


Term of contract: 24 months


Date of start of contract 15th Day after award or as per actual site taking over which ever is later.


Date of completion of work 24 month after start.

Sir,
I / We have read the following documents relating to the work of Mechanized Environmental
Support Services (Up-keeping) of Dehradun Airport.

   I/We hereby tender for the work referred to in the aforesaid documents as per the terms and
conditions referred therin and in accordance with the Scope of work, General conditions and
other relevant details.
   In Consideration of I/We are found to be the lowest responsive bidder as stipulated in
condition of contract, I / We agree to keep the tender open for acceptance for 90 days from the
date of opening and not to make any modification in terms and conditions which are not
acceptable to AAI.

conditions, I/We agree that AAI shall without prejudice to any other right or remedy be at liberty
to forfeit the said earnest money absolutely and take suitable action against me/us, as deemed
fit under the terms and conditions of the contract. Further, I/we agree that the contract may be
foreclosed and debar us /me from participating in tender for future works. Besides, AAI may
take any such action against us/me as deemed fit under such circumstances.
       If I/We agree that should AAI decide to forfeit the earnest money as aforesaid, unless a
sum equal to earnest money mentioned above is paid by me/us forthwith, AAI may at its option
recover it out of the deposit and in the event of deficiency, out of any other money due to me/us
or otherwise.
       If the tender is accepted I/We agree that the earnest money deposited at the time of
tender shall be treated as part of security deposit and balance security deposit shall be paid by
me/us or AAI may recover the same by deduction from my/our running bills as per conditions of
contract.

1.0 GENERAL CONDITIONS OF CONTRACT
1.1    The work in general shall be carried out in accordance with the Specifications and as per
       direction of Officer-In-Charge.

1.2    The contactor shall study carefully, the materials, chemicals, machines, equipments,
       specifications, schedule of quantities, frequencies of different operations and conditions
       of the tender documents to fully appreciate the scope of work before quoting his rates.

1.3    As the site of the work is in the restricted area, the contractor is required to obtain Photo
       Identity Card (PIC) for his staff, to be issued by Bureau of Civil Aviation Security (BCAS),
       through AAI. Police Verification certificates are to be obtained for all the staff to be
       deployed by him under this contract. Any other formalities as applicable/ enforced from
       time to time shall be complied with at no extra cost. No claim what so ever on this shall
       be allowed. Incidental expenses incurred towards PIC shall be borne by the contractor.

1.4    The work shall be carried out in the manner complying in all respects with the
       requirements of relevant byelaws of the local body under the jurisdiction of which the
       work is to be executed or as directed by the Officer-in-Charge and nothing extra shall be
       paid on this account.

1.5    The contractor shall comply with proper and legal orders and directions of the local or
       public authority or Municipality and abide by their rules and regulations and pay all fees
       and charges, which he may be liable.

1.6    The contractor shall take all precautions to avoid accidents by exhibiting caution boards,
       red flags, red lights and providing necessary barriers and all other measures required
       from time to time. The contractor shall be responsible for all the damages and accidents
       due to negligence on his employees.

1.7    The contractor shall give due notices to Municipality, Police , Security and / or other
       authorities that may be required under the law/ rules under force and obtain all requisite
       licenses for temporary obstructions / closures and pay all charges which may be leviable
       on account of his execution of the work under the agreement. Nothing extra shall be
       payable on this account.

1.8    The contractor shall not stack building material / malba on the AAI land or road or on the
       land owned by any other authority, as the case may be. In case, the Contractor is found
       stacking the building material / malba as stated above, he shall be liable to pay the
       stacking charges as may be levied and also to face penal action as per the rules,
       regulations and bye-laws of the said body or authority. The Officer-in-Charge shall be at
       liberty to recover the sums due but not paid to the concerned authorities on the above
       counts from any sums due to the contractor including amount of the Security Deposit or
       Retention Money in respect of this contract or any other contract.

1.9    The contractor shall be responsible to arrange at his own cost all necessary tools, plants
       & machinery and all other materials etc. required for execution of the work.

1.10   No assistance of any kind including foreign exchange shall be made available by the
       department for the purchase of equipments, plants, machinery, materials of any kind or
       any other items required to be carried out in execution of work. Payment will be made in
       Indian currency only for the executed work.
1.11   The contractor shall execute his work in such a manner that no damage is made to the
       existing structure.

1.12   The contractor shall arrange his work, so as not to interfere with or hinder the progress or
       completion of the work being performed by other contractor (s) or by the Officer-in-
       Charge and shall as far as possible arrange his work and shall place and dispose off the
       materials being used or removed so as not to interfere with the operations of other
       contractors. He shall arrange his work with that of the others in an acceptable and
       coordinated manner and shall perform it in proper sequence to the complete satisfaction
       of Officer-in-Charge.

1.13   The contractor shall provide at his own cost suitable weighing and measuring
       equipments at site for checking the weight and dimensions as may be necessary for
       execution of the work.

1.14   The contractor shall maintain registers for materials and chemicals as required by the
       Officer-in-Charge. These registers shall be signed by the contractor or by his authorized
       representative and the Officer-in-Charge of the work or his authorized representative.

1.15   Existing drains, pipes. Cables, overhead wires, sewer lines, water lines and other
       services encountered in the course of the execution of the work shall be protected
       against the damage by the contractor at his own expense. The contractor shall not store
       materials or otherwise occupy any part of the site in a manner likely to hinder the
       operations of such services.

1.16   The contractor shall be responsible for the watch and ward of the material provided by
       him against pilferage and breakage during the currency of Contract and thereafter till the
       work is physically handed over to the department.

1.17   Samples of all materials required for execution of the work shall be got approved from
       the Officer-in-Charge. Materials manufactured by Firms of repute as specified in list on
       page 29 shall only be used. Materials classified as "First Quality" by the manufacturer
       shall be used unless otherwise specified. In case materials bearing BIS Certification
       mark are not available, the quality of samples brought by the contractor shall be judged
       by the standards laid down in the relevant BIS specifications. All materials and articles
       brought by the contractor to the site for use shall conform to the samples approved by
       the Officer-in-Charge which shall be preserved till the completion of the work.

1.18   The work is required to be executed in the Airport, which is very important area where
       both speed and quality of execution are to be maintained by the contractor.

1.19   The contractor shall ensure quality work in a planned and time bound manner. Any sub
       standard material/ work beyond set out tolerance limits shall be summarily rejected by
       the Officer-in-Charge.

1.20   Contractor shall furnish manufacturer's test certificate to establish that the material
       procured by the contractor for the incorporation in the work satisfy the provisions of BIS
       Codes relevant to the material and/or the work done.

1.21   AAI shall not be responsible for any loss of material used by the contactor at site.

1.22   Income tax as per Income tax rules & Sales tax as per state sales tax rules will be
       recovered from the gross amount of the bill.

1.23   The water will be made available by the department free of cost.
1.24   The electricity will be made available by the AAI free of cost. However the contractor
       shall arrange the necessary electrical fittings and cables etc. for taking the electrical
       power from nearest electrical point to the work site at his own cost.

1.25   If at any time the work or Conduct of any worker is found unsatisfactory by AAI, such
       persons shall be removed by the Contractor immediately with suitable substitute.

1.26   The contractor shall at their sole cost and expenses furnish and provide for rendering
       services covered by this agreement to the entire satisfaction of Officer – in- Charge .
       The work shall be carried out on all days including Sundays and Holidays.

1.27   The contractor shall attend to any complaints received in connection with the services
       immediately. Any failure will attract penalty as specified in clause 3.36 & 3.37 at pages
       20 to 22.

1.28   The contractor shall comply with all applicable laws, Ordinance, Rules & Regulations and
       prescribed in Contract Labour (Regulation & Abolition) Act 1970, EPF Act, 1952, ESI act,
       1948, Payment of Wages Act, 1936 and Workmen Compensation Act, 1923 and other
       applicable labour laws in respect of this contract and shall pay at his own cost all charges
       in connection there with.
1.29   The work force deployed for this job contract shall be the regular employee of the
       contractor. The contractor shall be responsible for the recruitment, retrainment and
       retrenchment of the employee of their         establishment and for settlement of dispute
       arising out of the terms and conditions of services of the personnel.

1.30   UNIFORMS: The contractor shall provide two numbers over coat with half sleeves for
       each of their work force as per the colour scheme pattern approved by authority. The
       contractor shall ensure that the work force deployed by him wears such uniform while on
       duty. The uniform shall be clean and ironed. Any failure on this account shall attract
       penalty.

1.31   The In-Charge or an officer nominated by AAI shall be authorized to give instructions to
       the Supervisor of the contractor at the premises of Airports Authority of India on all
       matters relating to this work. Similarly, the authorized Supervisor of the contractor shall
       report on all matters concerning the above work to the In-Charge or to the officer
       nominated by Airports Authority of India.

1.32   The contractor has to ensure that the services are not disturbed either due to
       absenteeism or due to willful act of his staff. Maximum care and precautions shall be
       taken to avoid any system break down. In case workforce deployed by the contractor
       resort to any kind of industrial action , the contractor shall arrange to deploy alternate
       work force of sufficient strength and competence to maintain the normal operations.

1.33   AAI reserves the right to immediately step in and to carryout a part or whole of the work
       entrusted under this contract in case of any default or unsatisfactory performance by the
       contractor without resorting to the formalities of issuing notices, etc for rescinding the
       contract and the contractor would have no claim for compensation in such cases.

1.34   Monthly running payments will be made in the following month after deducting any taxes,
       recoveries, penalties, etc which the contractor might have rendered himself liable. The
       contractor has to submit his bill every month for the completed period of one month with
       all supporting documents as required.
1.35   The AAI and contractor shall have the right to terminate the contract after following the
       conditions specified in the tender document with a notice period of thirty days. Such
       notices shall be served by registered post or by hand, at the respective address. Not
       withstanding the above, the contractor shall continue to provide the services as required
       in the contract till alternate arrangements are made by AAI.

2.0 ADDITIONAL CONDITIONS OF CONTRACT
2.1      The contractor shall acquaint himself with the proposed site of work, its approach roads,
         working space available before quoting his rates.

2.2      The contractor shall be responsible for any damage to passengers, public due to his
         activities and shall take necessary insurance coverage in this regard. Contractor shall
         also take all necessary precautions to prevent any nuisance or inconvenience to the
         owners, tenants and to the public in general and to prevent any damage to such
         properties and any pollution of smoke, streams and waterways. He shall make good, at
         his cost and to the satisfaction of the Officer-in-Charge, any damage to AAI property or
         public or private property whatsoever caused thereon by the contractor. Entire waste or
         superfluous materials shall be carried away by the contractor to the satisfaction of the
         Officer-in-Charge.

2.3      The contractor shall take all necessary precautions to keep the noise level to the barest
         minimum in terms of applicable laws/ rules so that no disturbance as far as possible is
         caused to the occupants / users of building.

2.4      No inflammable materials shall generally be allowed to be stored at site. However
         reasonable quantity may be permitted for storage subject to the compliance of all rules &
         instructions issued by the competent authorities and as per the direction of Officer-in-
         Charge.

2.5      In the event of any restrictions being imposed by the Security agency, AAI, or any other
         authority having jurisdiction in the area on the working or movement of labour/material,
         the contractor shall strictly follow such restrictions and nothing extra shall be payable to
         the contractor on this account . The loss of time on this account, if any, shall have to be
         made up by generating additional resources etc.

2.6      General Security restrictions are given as under :
      a) Labour huts / stay of workmen will not be allowed at site.
      b) Names and addresses of labourers, staff etc. working at site shall be furnished.
      c) The labourers / staff should not be changed too frequently once the verification of the
         character and antecedents is done.
      d) After verification of antecedents of workers, Identification badges will be issued to them
         by the contractor under the seal of the Officer-in-Charge or his representative. The cost
         of badges would be borne by the contractor.
      e) As and when there will be security requirements certain additional restriction (s) can be
         imposed as per the requirement of the situation. "
      f) No claim whatsoever will be entertained by the department on account of restriction (s)
         imposed by the security agencies in execution of work including temporary suspension of
         work due to VVIP movements.
      g) The contractor shall be responsible for behaviour and conduct of his labourers. No
         labourer with doubtful integrity or having a bad record shall be engaged by the
         contractor.

2.7      The contractor is to execute the different items of Environmental Support Services (Up-
         keeping) work for all floor heights & levels for which nothing extra shall be paid. Unless
         otherwise provided in the schedule of quantities, the rates tendered by the contractor
         shall be all inclusive and shall apply to all heights, lifts, leads and depths of the building
         and nothing extra shall be payable to him on this account.
2.8    No payment shall be made for any damage caused by rain, snowfall, flood or any other
       natural calamity, whatsoever, during the execution of the work. The contractor shall be
       fully responsible for any damage to the Govt. property and incase of any damage he
       shall make good the same at his own cost.

2.9    The contractor shall visit the site & examine the availability of space in detail for
       execution of the work and deployment of machinery.

2.10   If for any reasons, any area in whole or part of work is not available for work, the agreed
       execution schedule shall be suitably modified. However, under no circumstances the
       contractor shall be entitled to any claim of financial damages, whatsoever, on this
       ground. He shall re-organize his resources to suit the revised schedule within the
       stipulated time of completion.

2.11   Royalty, if any, at the prevalent rates shall be paid by the contractor on all materials,
       chemicals & machineries collected by him for the execution of the work direct to the
       revenue authority of the state government concerned and nothing extra shall be payable
       to him on this account .
3.0 SPECIAL CONDITIONS OF CONTRACT
3.1    The Environmental Support Services (Up-keeping) work is required in Dehradun
       Airport, which is a sensitive and high security zone. The successful contractor has to
       follow the security requirements in his day-to-day work.

3.2    The detailed technical schedule for Mechanized Environmental Support Services (Up-
       keeping) along with the details of machines & chemicals to be used (with specified
       brands & makes) and frequency of various cleaning Operations required to be carried out
       shall be adhered as per the details available in tender document.

3.3    The contractor shall have to clean the area as per minimum frequencies mentioned in
       Annexure-1. However the cleaning shall have to be done more frequently if required for
       proper Environmental Support Services (Up-keeping) upon the instructions of the Officer-
       in-Charge for which nothing extra shall be paid.

3.4    It must be borne in mind that some activities need to be started & completed early in the
       morning. The work shall be carried out on all days in one (01)shift‟s, including Sundays &
       National Holidays at no extra cost. However, in case of emergent work, if more workers
       are required at cite for cleaning etc. the same will be made available at no extra cost.

3.5    The contractor whose tender is accepted shall submit daily Environmental Support
       Services (Up-keeping) plan so as to help the AAI officers to monitor and check that the
       Environmental Support Services (Up-keeping) work is being done according to the
       schedule of frequencies mentioned.

3.6    If at any time it appears to the Officer-in-Charge that quality of work does not conform to
       the approved standards, the contract can be closed by giving 15 days notice.

3.7    The contractor shall work in close coordination with officials working in various rooms
       /halls and modify working schedule if required as per user‟s convenience. No claim,
       whatsoever on this account shall be entertained.

3.8    The AAI shall provide space for storage of machines, material and chemicals as per
       availability for which no rentals for space will be recoverable. However, no extra payment
       shall be admissible for carriage/ shifting etc.

3.9    The existing building is very costly and intricate finishing on walls, ceiling and floors etc.
       The contractor shall make necessary arrangements at his own cost to prevent any
       damage to existing work due to any of his activities. The contractor shall be responsible
       for any damage to the existing work due to his activities and shall make good the same
       at his own risk & cost. The decision of Officer-in-Charge regarding cause and cost of
       damage shall be final. In case the contractor fails to make good the damage to the entire
       satisfaction of Officer-in-Charge, it shall be done at his risk & cost by the Officer-in-
       Charge.
3.10   The information mentioned in the tender documents is being furnished for general
       information & guidance only. The Officer-in-Charge, in no case shall be held responsible
       for the accuracy thereof or interpretations or conclusion drawn there from. The contractor
       shall verify such data to his entire satisfaction before quoting the rates.

3.11   No tools & plants including special T & P etc. shall be supplied by the department and
       the contractor will have to make his own arrangements at his own expense for all
       machines, chemicals, materials, toiletries, consumables etc.

3.12   The contractor shall dispose off garbage malba, rubbish & other unserviceable materials
       and waste at their own cost to the notified/ specified dumping ground and under no
       circumstances these shall be stacked/ dumped even temporarily within the building, or
       the surrounding premises.

3.13   Tendered rates shall be for completed work covering all materials, labour, carriage,
       machinery & equipment, royalties, fees, rent, excise duty, custom duty etc., sales tax,
       sales tax on works contract tax (if any), octroi, entry tax, wages, tools and plants,
       transportation, risks, overhead general and special liabilities /obligations as mentioned
       and profits etc. all complete. Contractor shall pay necessary taxes, such as sales tax,
       central excise duty, customs duty etc. as above to relevant authorities.

3.14   Materials and chemicals required shall have to be brought by the contractor in advance
       for each month at his own cost. It may be noted that the material and chemicals required
       shall have to be brought at site and shall be kept in the safe custody of Officer-in-Charge.

3.15   The standard of sanitation/ cleanliness shall always be to the satisfaction of the
       authorized representative of the Officer-in-Charge whose decision in this regard shall be
       final and binding on the contractor. In case of default, Officer-in-Charge may get the
       improvement done at the cost of agency without any notice.

3.16   The sweeping/ cleaning/ scrubbing / vacuum cleaning / buffing etc. all shall be carried
       out by machines only. However in exceptional cases where cleaning is not possible with
       machines manual cleaning will be permitted with specific approval of Officer-in-Charge.

3.17   The contractor shall arrange the necessary water supply fittings, flexible pipe etc. for
       taking water from the water taps provided in the building for the work of Environmental
       Support Services (Up-keeping)at his own cost .

3.18   The contractor shall take at his own cost, if required, necessary insurance cover in
       respect of staff and other personnel to be employed or engaged by him in connection
       with the afore mentioned services to be rendered to AAI and shall Comply with all
       relevant labour laws as applicable to the area as existing or as may be mentioned during
       the contract period and shall indemnify AAI against all acts of omissions, fault, breaches
       and or any claim or demand, loss, injury and expenses to which AAI may be party or
       involved as a result of contractor‟s failure to comply and of the obligation under the
       relevant act / law which the contractor is bound to follow.

3.19   All the materials/ chemicals / consumables brought to site shall be protected suitably,
       duly wrapped / packed & stored so as to avoid any damage during loading
       /transportation/ unloading & handling due to weather conditions etc. at any stage.

3.20   Materials and chemicals of approved quality as mentioned in tender document shall be
       used. In case any material / chemical required to be used is not available, equivalent
       material of the same of quality as approved by Officer-in-Charge in writing shall be used.
       The cleaning material shall not cause any damage to the floor, fittings and fixtures of
       AAI. The consumption of material and chemicals shall be regulated as per
       manufacturer‟s specifications.

3.21   If any material is not mentioned in tender document, but required at site for
       Environmental Support Services (Up-keeping) work, shall be brought by contractor as
       approved by Officer-in-Charge at no extra cost .

3.22   The room fresheners shall be provided/ sprayed in all the areas of terminal building.

3.23   Machines procured by agency are the property of the contractor and will be maintained
       by agency at his own cost.
3.24   The contractor should deploy minimum number of machines as per requirement. The
       machines brought on site will not be allowed to be taken away except for repairs, till
       completion of work without specific permission from Officer-in-Charge in writing. The
       register indicating machines numbers etc. for identification will be prepared on the day of
       start of work and will be open for inspection by the officers of AAI or otherwise as
       approved by Officer-in-Charge. In case of any short fall on a particular day the recovery
       shall be made at the rate as specified in tender document.

3.25   The contractor should procure/ arrange and demonstrate the required equipments/
       machines for Environmental Support Services (Up-keeping) within seven days of issue of
       letter of acceptance (before the issue of award letter) as per the numbers and machines
       specified in tender document.

3.26   Machines/equipments brought by the contractor should always be in working conditions.
       If any defects occur in the machinery, the same shall be repaired and made workable
       within twenty-four hours. However till such time he has to make an alternative
       arrangements to maintain the premises at his own cost and for this alternative
       arrangement nothing extra is payable. No machine shall be out of order for more than 3
       days. If it remains out of order beyond this time, recovery shall be made at the rates
       specified in tender document for number of days for which machines remain non-
       functional.
3.27   The cost of running charges of machines i.e. for fuel, petrol or battery i/e replacement of
       parts etc. shall be borne by the contractor and nothing extra is payable.

3.28   Contractor is required to produce valid registration/ license for ESI / EPF/Labour license
       before start of work.
3.29   Contractor has to produce documentary evidence regarding payment of ESI, EPF &
       Bonus as per prevailing rates of the Government on quarterly basis or as and when
       asked for.
3.30   The Frequency for cleaning are minimum required. However, in addition to the cleaning
       of works mentioned on page No.33-37 and other cleaning works such as cleaning of
       Tree leaves from the Roads and pavements etc. shall also be cleaned regularly. The
       Building as well as out side Area is required to be maintained as dust free and stain free
       also .
3.31   All Consumables such as Air freshners , Soaps , Deodorizers , Dusters , Brooms ,
       Cleaners , Mops and other accessories and attachments etc. are required to be
       provided by the Agency whose Quality is required to be approved by the Airport in-
       charge or his authorized Representative .
3.32   All machines as mentioned at Page 28 & 30 to 32            shall be exclusively used for
       __Dehradun Airport .
3.33   The nature of work requires mechanized cleaning of 3800     Sq.mtr. of inside of the
       Terminal Building , _390___ Sq.mtr. Toilet Areas ( Gents , Ladies & Handicapped )
       ,___4400______sq. mtr. of glass and façade areas, ___300___sq. mtr. of sofa and chair
       areas, __32500 Sq.mtr. of CC Paved / Stone / Road Area out side the Terminal Building
       .
3.34   The Contractor shall ensure to deploy minimum of                10 (ten)      Workers in
       one shift. (** To be filled by airport as per justified cost of work)
3.35   In the event of failure of the contractor to undertake the full House-keeping at a particular
       location as per the frequency outlined , no payment shall be made to the Agency for that
       particular area as per the following formula :-

                               ARBITRATION AND LAWS
Arbitration:
       Except where otherwise provided for in the contract all questions and disputes relating to
the meaning of the specifications, designs, drawings and instructions herein before mentioned
and as to the quality of workmanship or materials used on the work or as to any other question,
claim, right, matter or thing whatsoever in any way arising out of or relating to the contract,
drawings specification, estimates, instructions, orders or these conditions or otherwise
concerning the works, or the execution or failure to execute the same whether arising during the
progress of the work or after the completion or abandonment thereof shall be referred to the
sole arbitrator as may be appointed by the Regional Executive Director / Northern/Western/
Southern/ Eastern/North Eastern Region of AAI. There will be no objection if the arbitrator so
appointed is an employee of AAI and that he had to deal with the matters to which the contract
relates and that in the course of his duties as such he had expressed views on all or any of the
matters in dispute or difference. The arbitrator to whom the matter is originally referred being
transferred or vacating his office or being unable to act for any reason, the appointing authority
for arbitrator, as aforesaid at the time of such transfer, vacation of office or inability to act, shall
appoint another person to act as arbitrator in accordance with the terms of the contract. Such
person shall be entitled to proceed with the reference from the stage at which it was left by his
predecessor.
       Subject as aforesaid the provision of the Arbitration and Conciliation Act, 1996, or any
statutory modification or re-enactment thereof and the rules made there under and for the time
being in force shall apply to the arbitration proceeding under this clause. In case of disputes
arising between two Government of India Undertakings, provisions as contained in Bureau of
Public Enterprises letter No. BPE/GL-001/16/MAN-2(100-75-BPE) (GM-1) dated 1.1.1976 and
as may be amended from time to time shall apply.
       It is a term of the contract that the party invoking arbitration shall specify the dispute or
disputes to be referred to arbitration under this clause together with the amount or amounts
claimed in respect of each such dispute.
      The work under the Contract shall, if reasonably possible continue during the arbitration
proceedings and no payment due or payable to the Contractor shall be withheld on account of
such proceedings.
              The Arbitrator shall give a separate award in respect of each dispute or difference
referred to him.
       The venue of arbitration shall be such place as may be fixed by the Arbitrator in his sole
discretion. The award of the arbitrator shall be final, conclusive and binding all parties to this
contract.
Laws governing the Contract:
       This contract shall be governed by the Indian Laws for the time being in force.

(All correspondences between the Owner & Contractor before award of work shall form part of

All the aforesaid contract documents shall form an integral part of this agreement in so far as
the same or any part thereof conform to the tender document and what has been specifically
agreed to by the owner on its letter of acceptance. Any matter inconsistent therewith, contrary
or repugnant thereto or any deviation taken by the contractor in its proposal not agreed to by
owner in its letter of acceptance or any other letter which forms a part of contract documents
mentioned sake of brevity this agreement along with its aforesaid contract document shall be
referred to as the agreement.

Article 3.0 Conditions and Covenant :

3.1 The scope of contract, consideration, terms of payment, prices adjustment taxes, wherever
applicable, insurance, liquidated damages, period of completion, defects liability period and all
other terms and conditions are contained in aforesaid tender documents. The contract shall be
duly performed by the contractor strictly and faithfully in accordance with the terms of
agreement.
3.2 This agreement constitutes full and complete understanding between the parties and terms
of the presents. It shall supercede all prior correspondence to the extent of in-consistency or
repugnancy to the terms and conditions contained in the tender agreement. Any modification of
the agreement shall be effected only by written instrument signed by the authorized
representative of both the parties.

4.1 Settlement of Disputes:

It is specifically agreed by and between the parties that all the difference or disputes arising out
of the agreement or touching the subject matter of the agreement shall be decided by the
process of settlement and arbitration under the provisions of the Indian
Arbitration & Conciliation Act 1996 or any statutory modification or re-enactment thereof and the
rules made there under and for the time being in force shall have exclusive jurisdiction over the

4.2 Notice of default:

Notice of default given by either party to the other under the agreement shall be written and
shall be deemed to have been duly and properly served upon the parties here to if delivered

ACCEPTANCE OF AAI’s TENDER CONDITIONS
Sir,


1.     The tender documents for the work of Mechanized Environmental Support Services
       (Up-keeping) of passenger terminals at __________                   Airport have been
       sold to me/us by AAI and I/We hereby certify that I/We have inspected the site and read
       the entire terms and conditions of the tender document and I/We shall abide by the
       conditions/clauses contained therein.


2.     I/We hereby unconditionally accept the tender conditions of AAI‟s tender documents in its
       entirety for the above work.


3.     The contents of clause 17 and 18 of Notice Inviting Tender of the tender documents have
       been noted wherein it is clarified that after unconditionally accepting the tender
       conditions in its entirety, it is not permissible to put any remarks/conditions(except
       unconditional rebate on quoted rates, if any)in the tender enclosed in „Cover No.2‟ and
       the same has been followed in the present case. In case, this provisions of the tender is
       found violated after opening „Cover No.2‟. I/We agree that the tender shall be rejected
       and AAI shall without prejudice to any other right or remedy be at liberty to forfeit the said
       earnest money absolutely,
