ORDER APPROVING TRANSFER; APPROVING TARIFF SHEETS; REQUIRING FILING; AND CLOSING DOCKET BY THE COMMISSION: On April 12, 1996, GCI COMMUNICATION CORP. d/b/a GENERAL COMMUNICATION CORP., GENERAL COMMUNICATION, INC., and GCI d/b/a GCI NETWORK SYSTEMS, INC. (Applicant), filed an application to transfer Certificate of Public Convenience and Necessity (Certificate) No. 419 to GCI COMMUNICATION CORP. d/b/a GENERAL COMMUNICATION, INC., and d/b/a GCI. The application was noticed to the
public on June 4, 1996, with a closing date of July 5, 1996, for submission of comments regarding the application. comments have been received. To date no

The Commission Staff (Staff) reviewed the application and on July 19, 1996, submitted its analysis and recommendation (Report). A copy of Staff's Report is attached to this Order as
an Appendix. Staff's Report sets out in detail the history of the proceeding, the public noticing of and response to the application, and Staff's findings and recommendations regarding disposition of the application. Among other things, Staff recommended
that the application to transfer Certificate No. 419 from the Applicant to GCI be approved. Additionally, Staff recommended
that tariff Sheet Nos. 8, 49 and the tariff Check Sheet filed July 24, 1996, reflecting the merger of GCI Network Systems, Inc. into GCI Communication Corp. be approved. Based on its review of the record in this proceeding, the Commission concurs with Staff that the transfer and tariff Sheet Nos. 8, 49, and the tariff Check Sheet filed July 24, 1996, should be approved. Staff's Report is incorporated herein by
reference and adopted as the Commission's findings of fact and conclusions of law. The Commission notes that the transfer will necessitate the reissuance of Certificate No. 419, which is issued in the name of the Applicant. The Applicant is required to return the current
parchment and Appendix to Certificate No. 419 to the Commission for historical record purposes.1 A new parchment will be issued to reflect the name of the utility to which the Certificate has been transferred as approved U-96-38(1) - (8/27/96) Page 2 of 4

Except for the filing required herein, which can be considered separately, there are no outstanding substantive or procedural issues to be disposed of in this proceeding, and there are no allocable costs under AS 42.05.651 and 3 AAC 48.157. Therefore, this Docket should be closed. ORDER THE COMMISSION FURTHER ORDERS: 1. The application by GCI Communication Corp. d/b/a
General Communication Corp., General Communication, Inc., and GCI d/b/a GCI Network Systems, Inc., to transfer Certificate of Public Convenience and Necessity No. 419 to GCI Communication Corp. d/b/a General Communication, Inc., and d/b/a GCI is approved. 2. Tariff Sheet Nos. 8, 49, and the tariff Check Sheet
filed July 24, 1996, are approved.2 3. By 4 p.m., September 30, 1996, GCI Communication
Corp. d/b/a General Communication, Inc., and d/b/a GCI shall return to the Commission the previously issued parchment and Appendix A of Certificate of Public Convenience and Necessity No. 419. 4. Docket U-96-38 is closed.
