    Document Overview:
Employee handbooks inform employees about company policies, procedures, and practices, and can communicate standards of performance and conduct. In some cases, they are a new employee’s first inside impression of a company. If well-constructed, it can start the employment relationship off on the right foot and can also serve as an important tool to avoid employee lawsuits. Although state and federal laws sometimes require that policies and procedures be posted on bulletin boards or other public places, distributing a handbook to all employees ensures that the company’s critical standards are accessible to all, and that each employee will have a handy reference when questions arise. The enclosed document provides an acknowledgment of an employee’s review and understanding of the handbook he or she received. This can serve to prevent future disagreements and misunderstandings, and can build the framework for a long-lasting employment relationship.

    Document Overview:
In addition to the obvious expenses of salaries, bonuses, and other compensation, employees can cost a company in more subtle ways, requiring further outlays for benefits, payroll taxes, insurance premiums, office space, and equipment. These fixed costs don’t apply to independent contractors: companies can use such individuals for specific tasks as the business requires, and avoid the legal minefields of hiring and firing staff according to the ebb and flow of the market. Organizations can choose experts to perform the necessary work at the time it’s needed, and can avoid the cost and hassle of providing additional education or training to current employees. There are risks, of course, for a business using independent contractors, the most dangerous of which is that those individuals will be reclassified as employees. If this happens, the company that used those contractors will be required to reimburse the IRS or state tax authority for delinquent employment taxes, interest, and penalties. Indeed, the IRS has itself said that written independent contractor agreements may provide dispositive evidence that individuals have not been working as employees. The enclosed document should provide a good starting point for your contracting arrangement. Both parties must continue to discuss the terms of their agreement, settling questions about work parameters, payment, and responsibilities. Once you have agreed on contract terms and have signed the attached form, each party can focus on its area of expertise: the company on the development of its business and the contractor on the tasks assigned.

    Document Overview:
Some believe that the best approach for collecting late payments is aggressive, dogged, threatening correspondence. Although this method does have its place, in many circumstances it will further alienate you from your customer, erase the possibility of future business, and make the payment process a personal tug-of-war. A better strategy is to weigh your options carefully, prepare well thought-out communications, keep accurate records, and be flexible. The letters included in this packet are constructed to help you get what is rightfully yours. They range from polite to tough, from amicable to threatening. In the end, you know your business and your customers better than anyone else: you may want to alter the correspondence to best suit your business needs.

    Document Overview:
Before settling on the final terms of an agreement, negotiating parties may choose to provide a written starting point, setting out a first offer and some general terms. This initial written document is called a letter of intent (sometimes also called a memorandum of agreement or a memorandum of understanding). A letter of intent sets out the basic terms of a proposed transaction, including price, asset description, limitations, and closing conditions. If you follow the enclosed sample and guidelines, you will have a simple document that sets forth the basic terms of your proposed transaction, limiting misunderstandings and showing mutual commitment to the deal. In every way, this lays the foundation for a focused and productive period of negotiation between the parties, and for a final and satisfying agreement.
